STATEMENT OF WORK No. 1

This Statement of Work No. 1 is entered into on 10 Nov 2022 (“SOW Effective Date”) between EY Global
Delivery Services India LLP (“EY GDS” or “EY”) and CMS COMPUTERS LIMITED (“CMS” or “Service
Provider”), pursuant to the Framework Service Agreement entered into on Effective Date 3 October 2022
between EY GDS and the Service Provider (the “Agreement”).

In this Statement of Work, EY GDS and Service Provider is each a “party” and jointly “the parties”. Capitalized
terms not defined in this Statement of Work shall have the meanings ascribed to them in the Agreement.

1 GENERAL

1.1 EY GDS hereby engages Service Provider to perform certain services (“Services”) as described more
fully below.

1.2 Except as otherwise stated herein, by executing this Statement of Work, Service Provider and EY GDS
agree that all the provisions of the Agreement are expressly incorporated into this Statement of Work
by reference and agree to comply with, and be bound by, all of the incorporated terms and conditions
of the Agreement.

1.3 The term of this Statement of Work (“SOW Term”) shall commence on the SOW Effective Date and
shall expire upon 30 June 2024.

1.4 This Statement of Work may be executed in any number of counterparts by the parties hereto and
delivered in person, email or by facsimile, each of which, when so executed and delivered, shall be
deemed original, but such counterparts shall together constitute but one and the same Statement of
Work.

2 SERVICES

The Services to be provided to EY GDS by Service Provider under this Statement of Work, together with a
timetable for the provision of Services are set out hereinbelow.

A) Basic Resource Skillset Expectation:

i. The Supplier’s resources will report to the customer office daily from Monday to Saturday as per
the shift timing assigned
ii. The resources are expected to monitor the Service Now tickets and resolve the Hardware
problems assigned, logging the Hardware calls with the vendor, tracking the tickets towards
closure as per SLA metrics.
iii. IT asset management with asset tagging, scanning, inventory management as per EY policy and
guidelines
iv. Support the IT infrastructure maintenance, AV/ Event management, as per EY process and
guidelines
v. Ensure the PC compliance, imaging the system, loadset, Application support as per OSTS KPIs &
goals

B) Additional Terms to be adhered by the Supplier

i. The manpower employed by the Service Provider shall be well disciplined, medically and physically
fit and skilled enough to carry out the job.
ii. The Service Provider should ensure the daily attendance of their staffs deployed at offices

iii. Transport Facility should be activated by Service Provider automatically for their staffs based on
the unpredictable & unforeseen situations like Pandemic, lockdown, strikes, etc.
iv. Service Provider shall ensure that necessary support is provided to the deployed manpower to work
from home if required due to prevailing conditions and ensure that the work is not discontinued for
such reasons.
v. Service Provider must provide the backup skilled staff (Next Business Day) in absence of the
deployed staff. Onsite Backup /Trainee engineer will be deployed as per E&Y requirements on 10:1
ration of regular engineers without additional cost and no other extra backup will be provided (in
case backup engineer is needed it will be changed on prorate bases and depending on availability
of backup engineer).Leaves management/adjustment for billing(to safeguard deduction) will be
done with working days of buffer Vs leaves taken by all employees across board.
vi. The Service provider must maintain the transparency and timely communication to EY GDS on the
resignation of the deployed staff and plan timely and suitable replacement.
vii. The Service Provider must ensure to provide the 2 months advance notification of their resigned
staff. The skilled staff must be deployed at customer site as replacement 5-7 days prior to last
working day of the staff leaving the project to encourage smooth onboarding & handover
transition.
viii. EY GDS team will provide written confirmation to the Service Provider on successful transition. The
Service Provider has to plan the transition in such a way to ensure that transition takes place to the
satisfaction of EY GDS well in advance to the exit date of the resigned staff.
ix. In case, EY GDS team is not satisfied with the completion of the transition process then the Service
Provider will not be able to charge for the replacement resource until successful transition to be
documented in writing by EY GDS.

C) Resource Skillset

Position Basic Requirements


Desktop Technician a. Graduate/Diploma Engineer Holder
b. At least 1-2 years of Desk side support experience having basic
Knowledge of windows Operating system, PC Hardware, Printer,
Audio and video devices, LAN/WLAN.
c. Good English communication and writing skills
Asset Support a. IT asset management with asset tagging, scanning, inventory
Technician management as per EY policy, guidelines on Tools on daily basis

Backup Resource a. Graduate/Diploma Engineer Holder


b. Good English communication and writing skills
c. Having Potential to be converted as regular desktop support
resource.

D) Work timing – Rotational basis


 First Shift : 08:30 AM – 5:30 PM
 Second Shift : 10:00 AM – 7:00 PM
 Third Shift : 11:00 AM – 8:00 PM

3 CHARGES

3.1 The Charges payable by EY GDS to Service Provider in consideration for the supply of the Services are
set out under this Statement of Work shall not exceed INR 51,00,000.00 excluding travel expenses and
Taxes. The Billing will be as per actuals.

3.2 Such Charges shall be payable by EY GDS to Service Provider in accordance with Clause 3 of the
Agreement.

3.3 Basic Services rates – Monthly rate per resource would be as below.

Engagement Code:

 Vendor is entitled for a 30% markup on the Basic Services price.


 The above rate are average salaries given to the vendor employees and the variation for any
employee should not be more than 5%-7% of the above rates.
 EY has the right to audit the salary slips of the resources at any point in time to ensure
compliance.

4 SOLE RECOURSE

Notwithstanding any other provision of this Statement of Work and the Agreement, Service Provider’s recourse
with respect to any matter (including, without limitation, any obligation of EY GDS hereunder) shall be limited
to the assets of EY GDS and Service Provider shall have no recourse against, and shall bring no claim against
any other EY Network Member (including EY GDS), nor any individual director, partner or employee of EY GDS
or of any EY Network Member.

5 GOVERNING LAW

This Statement of Work is governed by and construed in accordance with the laws of India and any dispute
arising out of or in connection with this Statement of Work will be subject to the exclusive jurisdiction of the
courts of Bangalore, India to which both parties hereby agree to submit for these purposes.

6 RESTATEMENT OF INDEPENDENCE

The Service Provider confirms as of the date of this Statement of Work, that the representations as per Clause
10 of the Agreement continue to hold true.

7 Special Terms

A) Service Review:

 Provide monthly attendance & leave balance report for all deployed staffs on or before 5th of every
month.

 The monthly service review meeting should be carried out for every location with respective location
EY Team Lead and national level review should be conducted with EY GDS India Lead.
 The quarterly performance review must be done for each deployed staff and accordingly their reward
plan or performance improvement plan must be implemented.

B) Penalties

 Attrition should not cross 20% in a year. Else there would be a penalty of 1% of yearly invoiced
amount per every increase in percentage. The attrition clause will be applicable to all billable onsite
resources after completing their induction process in two weeks.
 The replacement resource for any of the attrition cases should report at least 5 days prior to last
working day of the engineer leaving the project. Else a penalty of 10% of the resource monthly fee
per each day delay excluding Sundays. The billing cost of the replacement resource of the
overlapping period should be absorbed by the supplier.

C) Others:
 All resources will be entitled for EY Holiday Calendar of the respective location and Supplier
leave policy.
 Supplier should have a documented process for scaling inkling recruitment, minimum hiring
requirements, training, staff retention & rewarding programs in place.
 EY may expand business operation with new office premises in the existing cities or in any other
Tier 1, Tier 2 or Tier 3 city. Vendor should have capability to provide resources to any of those
locations as per EY’s requirements.
