A PEACEFUL BUSINESS TRANSFER AGREEMENT

I, Nyakundi Marinda Emma, national ID number 30395441 do hereby agree to peacefully transfer full
ownership of Hi-Tech electrical shop to my brother Christopher Nyakundi. I agree to transfer the
ownership of every stock item, fire extinguisher, business permit certificates, all cooking gas cylinders
and their white painted cylinder stand to Christopher Nyakundi.

Hi- tech is an electrical shop that’s worth Ksh 700 000 as of Dec 2021. This value includes the cost of
rennovating the shop from its former state to what it currently is, the cost of compliance and the total
amount invested in stock. This business was began with a capital that I got from both of from my
parents, Mr & Mrs Paul Nyakundi. The initial capital was Ksh 127 000. Whereby Mr. Paul Nyakundi
invested an amount of Ksh 80,000 and Mr.s Nyakundi invested an amount of ksh 47000 to make it a
total of ksh 127000. I acknowledge the input of my little brother Christopher since this shop began.

Christopher has been an essential person in keeping this shop up and running through the purchase and
transportation of stock to the shop with his bicycle. And even when I left the shop in his hands as I went
to open a new shop in a different location, Christopher was able to manage the shop well for one year
and seven months. He was able to bank my share of profits from the shop and I hereby feel like he
deserves the full ownership of this shop.

CONDITIONS FOR THE BUSINESS TRANSFER.

(1) GOODMANAGEMENT AND GOOD CUSTOMER SERVICE.

Christopher should be able to handle all Hi- tech customers well as he has always done. Since I have
managed the shop before and I know it can not fail to make at least Ksh 10,000 per week, that should be
maintained in his management.

(2.) INITIAL PROFITS TO GO DIRECTLY TO CHRISTOPHER’S SCHOOL FEES.

My dad is retired and my mom is old and about to retire too and it was their initial capital that grew this
shop from the ground up, I hereby request that the initial profits from this shop must go directly to pay
Christopher, university school fees. When he graduates with his degree, he will then have full freedom
to choose what he wants to do with his shop profits.

(.3) PAY TITHE EVERY MONTH.

Since this shop was an answered prayer from God when I was jobless and needed something to keep my
mind busy, I have always paid the shop tithes and offerings to the Ujamaa church SDA and this must
continue.

(4.) ALWAYS MAKE SURE THAT MY PARENTS, AS MENTIONED ABOVE, HAVE THEIR COOKING
GAS REFILLED AND THEIR MILK PURCHASED EVERY MONTH
This was my usual routine in my time of running Hi-Tech shop. As Hi-tech, we believe in giving
and therefore this routine must be continued by Christopher.
With Christopher, having agreed to the above terms and conditions, I hereby agree to amicably transfer
this shop ownership to my brother Christopher and wish her all the best in life and business.
This business transfer has been agreed upon and signed in the presence of my lawyer, my father and
mother, and my little brother Christopher.
