PART OF THE SPECIFICATIONS SIGNED BETWEEN MUTANDA
MINING, THE LOCAL COMMUNITIES AND THE CONGOLESE STATE
1. INTRODUCTION
Mutanda Mining SARL (MUMI) is a copper and cobalt production company operated by
Glencore in the Democratic Republic of Congo (DRC). MUMI is located on the
Copperbelt in the Lualaba province of southern DRC, approximately 42 km east of the
town of Kolwezi.
MUMI's activities make a valuable contribution and positive impact on communities,

partners and workers.
In its actions on the ground and its relationships with its partners, as well as through its
commercial, ethical and/or responsible practices, MUMI is committed to respecting
human rights and contributing to social, cultural and economic development.

Mutanda Mining, in accordance with article 285 of the mining code as the holder of a
mining right of exploitation or permanent quarry authorization, is required to develop
specifications defining its social responsibility towards local communities affected by its
mining activities and it isdIn this context, Mutanda Mining is launching the project to
build a technical school in Kawama.
2. PROJECT DESCRIPTION
2.1. BRIEF DESCRIPTION
This project consists of:

At the Bumi Kawama Health Center:
- Construction of a CPN, construction of an operating room, construction of a
dispensary.

- Construction of a morgue.
2.2 PROJECT JUSTIFICATION
In Kawama, there is already one public health center and eight private health centers.
The public health center lacks equipment, so patients go to Lualaba for treatment.
The wish of the head doctor of the public health center is to make this structure a
reference health center since there are four doctors working there.
Needs :
- Build an operating room at the Kawama Bumi health center.
- Morgue at the Kinsenda health center.
- Construction of a CPN at the Kawama Bumi health center.
3. CONTEXT AND HISTORY

Mutanda Mining SARL (MUMI) is a high-quality copper and cobalt producer operated by
Glencore in the Democratic Republic of Congo (DRC). MUMI is located in the Zambia-DRC
copper belt, in Lualaba province, southern DRC, approximately 42 km east of Kolwezi town.
Glencore owns 100% of the shares of MUMI, through Samref Overseas, which is owned by
Glencore International AG and Glencore PLC. As of December 2018, Mutanda's production was
at an annual production rate of 199 ktpa of copper cathodes and 27.4 ktpa of cobalt hydroxide.
Additionally, Mutanda has installed capacity to produce 390 tonnes per day of sulfuric acid and
73 tonnes per day of sulfur dioxide, for use in the hydrometallurgical complex.

Indeed, all mining companies in the DRC are required to comply with DRC legislation included
in the DRC mining code as well as mining regulations and its annexes.
As a mining company in the DRC, MUMI is committed to respecting the latest ESIA and ICMM
principles approved in 2021 as a member of this organization, so in effect, the community

4. GLENCORE SAFETY AND PROCEDURAL STANDARDS

The Contractor must strictly adhere to the requirements set forth in the MUMI standards,
procedures and policies contained in the Agreement to perform this type of work. The contractor
is required to provide sufficient safety measures for personnel working on this renovation work.

- Compliance with COVID protocol
Noticed– During these activities, trainers must comply with the MUMI Safe Work standard in
their work.
5. METHOD STATEMENT

As part of its offer, the contractor must prepare and submit to MUMI a complete and detailed
quote for all operations and be able to correctly provide the service throughout the duration of
the contract.
6. MOBILIZATION AND DEMOBILIZATION
The work taking place outside the Mumi site, the mobilization and demobilization of the
labor and equipment necessary for the contractor's work will be carried out by the
contractor at the location of the operation,
The construction of the 2 health posts in the targeted communities must be completed within
8 months, including all related expenses.
7. TEMPORARY INSTALLATIONS OF THE CONTRACTOR
As part of the scope of the Work, the Contractor must properly maintain and remove all
temporary construction facilities and utilities necessary for the full completion of the
Work.
Facilities and utilities shall be free of waste and debris and shall be restored to near original
condition as approved by MUMI as a condition precedent to completion of the
installation.
8. CONTRACTOR EQUIPMENT
has. The Contractor must provide all labor, required PPE, equipment and maintain to provide
the service satisfactorily.
b. In addition, the equipment must be in good mechanical and physical condition, and it must
ensure that 95% availability of the equipment is necessary to carry out the assigned
activity.
vs. The equipment of the contractor and its subcontractors must always be in good working
order. Use of equipment that does not meet these standards, as determined by MUMI,
should be discontinued until repaired. MUMI reserves the right to order the contractor to
remove substandard equipment from the site.

d. No payment will be made to the Contractor for downtime due to plant failure or otherwise
inoperative equipment. Maintenance and development of the site
As a condition precedent to completion of the installation, the Contractor shall promptly

remove its equipment, debris and excess materials from the site and leave its works,
offices and installation areas in a clean, tidy and safe condition. .
Final cleaning
The Contractor must carry out final cleaning of the work prior to the handover inspection.
Cleaning will consist of leaving each work area in a condition expected of an end user, and to
the satisfaction of MUMI.
The water needs of the health center are:
- Consumption by patients and healthcare staff
- Sanitation facilities
- Cleaning of rooms and medical offices
This requirement will be met by a drilled well, developed and equipped with a solar pump,
which will be placed inside the Health Center. This well will be constructed in
accordance with all technical specifications. Residual water will not be recycled but will
be evacuated to a waste well.
9. SCOPE CHANGES
o Work should not commence on any change in the project scope without approval from
the HOD CSR and Compliance Departments.
o As soon as a potential change is identified, the HOD CSR manager must be informed.
o The HOD CSR Manager will consider the following in relation to the change, the reason
for the change, the estimated work hours and cost of the change, any impact on the
schedule resulting from the change, warranties, insurance and liability for defects.

o The structure will report in detail monthly (financial statements, human resources, state
of teachers' skills, student development, statistics, etc.) on the status and progress of the
project.

The following items are specifically excluded from the scope of work:
o Engaging with communities on behalf of MUMI without authorization from the head of
the social department
11. QUALITY CONTROL

o The structure must formally submit to the MUMI Social Service all the necessary
documents relating to the implementation of this project, the planning of the activities to
be carried out before the start of the project and it is also recommended to submit the
final report at the end of the work.
12. CATERING AND ACCOMMODATION

o The catering and accommodation of the structure's staff are the responsibility of the
structure itself.

14. GENERAL CONDITIONS
The Contractor is responsible for the transportation of its personnel, equipment and other items
necessary to carry out the work. The Contractor must comply with Mutanda Mining policies and
procedures regarding travel and transportation.
The contractor must provide all required Personal Protective Equipment to its employees and all work
safety recommendations. Safework must be implemented at the work site.
The Contractor must always comply with workplace safety rules and regulations set out in Mutanda
Mining's policies and procedures. Site security is a responsibility of the contractor.
No changes to the scope of the project should be undertaken without the approval of the head of the
Social Department of Mutanda Mining.
When a potential change is identified, the head of the Mutanda Mining Social Department must be
informed.
The Mutanda Mining Social Department Manager will consider the following in relation to the change,
the reason for the change, the estimated working hours and cost of the change, any impact on the
schedule resulting from the change, warranties, insurance and recovery periods, liability for defects, etc.
The Contractor's equipment and that of its subcontractors must always be in good working order. Use of
substandard equipment, as determined by Mutanda Mining, will result in its immediate removal from
service until repaired. Mutanda Mining reserves the right to order the contractor to remove non-
compliant equipment from the workplace.
No payment will be made to the Contractor for downtime due to a community problem or other
inoperative equipment.
