UNDERTAKING AGREEMENT

THIS UNDERTAKING AGREEMENT (the "Agreement") is entered into as of DECEMBER 12, 2023, by and between:

PARTY A: Superior Motor Corp.

Represented by: Edgardo Tagarda Dawis Jr., in his capacity as Manager (hereinafter referred to as "Undertaking Party").
PARTY B: Department of Agrarian Reform, Province of Bukidnon (hereinafter referred to as "Beneficiary Party").

WHEREAS, the Department of Agrarian Reform, Province of Bukidnon, has purchased a Hauling Truck from Superior Motor
Corp. for the sum of Eight Hundred Thousand Pesos (PHP 800,000.00);

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the Undertaking Party hereby
undertakes to the Beneficiary Party as follows:

Receipt of Payment: Upon receipt of a Cheque in the amount of Eight Hundred Thousand Pesos (PHP 800,000.00), the
Undertaking Party acknowledges the funds and agrees to commence the necessary actions promptly.

Repair and Maintenance: The Undertaking Party undertakes to initiate and complete all necessary repairs and maintenance
on the Hauling Truck within the month of December 2023, utilizing due diligence and professional expertise.

Delivery in Good Condition: The Undertaking Party commits to delivering the Hauling Truck to the Beneficiary Party in good
condition. The truck shall undergo thorough inspection and testing to ensure compliance with safety and operational
standards before delivery.

Completion Deadline: The repairs and delivery of the Hauling Truck in good condition shall be completed no later than
December 31, 2023.

This Agreement shall be binding upon the parties hereto and shall become effective upon the receipt of the
aforementioned Cheque by the Undertaking Party. Superior Motor Corp. assures the Department of Agrarian Reform of its
dedication to fulfilling these commitments in a timely and professional manner.

IN WITNESS WHEREOF, the Undertaking Party has executed this Undertaking Agreement as of the date first above written.
