 GRAND PLANTERS INTERNATIONAL INC. TERMS AND CONDITIONS

The following terms and conditions and any specifications, drawings, samples and additional terms and conditions which may be incorporated by reference or
appended hereto are part of this Purchase Order. By accepting the Order or any part thereof, the Seller agrees to and accepts all terms and conditions.

1. Terms of the Order – The Seller shall deliver the product to GRAND PLANTERS INTERNATIONAL INC. within the period provided for in the face
hereof.
2. Delivery – Delivery shall be made by the Seller to the place designated in this Order, at his own expense except when specified. In the event of
Seller’s failure to deliver as and when specified, GRAND PLANTERS INTERNATIONAL INC. reserves the right to cancel this Order or any part thereof
without prejudice to its other rights. If GRAND PLANTERS INTERNATIONAL INC. decides to accept these delayed deliveries, Seller agrees to a one
percent (1%) penalty per day on the cost of delayed deliveries.

3. Terms of Payment – Unless otherwise stated on the face hereof, payment shall be made by GRAND PLANTERS INTERNATIONAL INC.thirty (30)
calendar days after date of delivery and presentation of the Sales Invoice together with the Delivery Receipts to the appropriate plant accounting
department duly acknowledged by GRAND PLANTERS INTERNATIONAL INC. receiving personnel.

4. Warranty – The product to be delivered by the Seller shall strictly conform with the orders, standards and specifications set herein, and GRAND
PLANTERS INTERNATIONAL INC. reserves the right to reject or return any item found not in conformity with such orders, standards or specifications.

5. Assignment – It is agreed that this Order is personal to and is not transferable by the Seller unless with prior written consent of GRAND PLANTERS
INTERNATIONAL INC.

6. Force Majeure – It is hereby understood that if the performance required from either party under this Order is delayed or prevented by force
majeure, the period within which said performance is required may be correspondingly extended upon mutual agreement of both parties.

7. Performance Bond – A performance bond shall be posted, if necessary, by the Seller in favor of GRAND PLANTERS INTERNATIONAL INC. the value
of which shall be forfeited by GRAND PLANTERS INTERNATIONAL INC. should the Seller fail to comply with its obligations under this Order.

8. Prices – The prices agreed upon may not be increased by the Seller during the effectivity of this Order, except upon written consent by GRAND
PLANTERS INTERNATIONAL INC. after the Seller has submitted admissible proof that such increases are warranted by economic conditions
prevailing at the time.

9. Termination – GRAND PLANTERS INTERNATIONAL INC. reserves the right to cancel this Order at any time for failure of the Seller to comply with
any of the terms and conditions hereof without prejudice to the right of GRAND PLANTERS INTERNATIONAL INC. to recover any sums due; in the
absence of a bond, the Seller agrees to pay liquidated damages equivalent to 25% of the amount due but in no case less than P1,000.00 plus
attorney’s fees and cost of suit. The proper courts of Makati, Metro Manila or the City of Manila shall have sole and exclusive jurisdiction over the
case.

10. Patent Infringement – The Seller will indemnify the purchaser for all expenses and damage resulting from patent infringement.
