10.4 - The spareparts replaced on the Goods under warranty do not extend the warranty's original duration and will beguaranteed for a periodof 6 (six) months. For the replacement of
these parts under warranty, the customer will bear the expensesfor transportation,transfer, and labour;
- No liability may be attributed to PANATTA S.R.L for any damagethat might occur, directly or indirectly, to people, property, movable and immovable goodsor registered movable goods,
or to animals due to improper use of the Goods or, in any case, due to any use which does not comply with normal diligence, including incorrect and/or omitted and/or late and/or
insufficient maintenance of the Goods, as well as the Purchaser's dutyof supervision or control ("culpa in vigilando") when the Goods are beingusedby the Purchaser's clients or
another third party;
- In the event that anintervention under warranty is requested, whichshould then befound to fall outside the warranty, the customer will berequired to makepayment in favour of PANATTA
S.R.L for thisservice, including for the spare parts, labour, and travel
expenses; 10.5-Nowarranty is provided for Goodsbelonging to the used
line.
Art.11- GOODS WARRANTY. SUPPORT.AND LIMITATIONS FORSALESTOCONSUMERS ORUSERS. THUS QUALIFIEDPURSUANTTOAND FORTHE PURPOSES OFARTICLE 3.PARAGRAPH1. LETTER
A, OFITAUAN LEGISLATIVE DECREE No. 206 of 06.09.2005 (THE ITALIAN CONSUMER CODE)
- The conditions and provisions referred to in article 10 shall also be consideredvalid and binding on the private Purchaser qualified as a "consumer" who, however, will begranted a
warranty of two years from the date on which all the components of the Goods are delivered with the exception of those subject to normal wear and tear such as, purely by way of
example and not limited to, rubber and plastic components, padding, and cables.
- In the event that the Purchaser, who qualifies as a private individual-consumer, uses the Goods for professional purposes and/or in a location open to the public (including parks,
hotels, companies, etc.), the special warranty, as mentioned above, shall expire automatically and the provisions referred to in article10, above, shall apply.
- The warranty on Goods belonging to the used line is for 1 (one) year, starting from the delivery date.
- For any other matter, reference will be madeto the special regulations for the sector.
Art.12) DIRECTOR INDIRECT DAMAGE - HEALTH AND SAFETY AT WORK:
- PANATTAS.R.L is not liable for any injuryor damagesufferedby personnel who collaborate withthedriver in operations to unload the Goodsor in operations to assemble them, nor is PANATTA
S.R.L liable for any damage that might occur to the Purchaser or to a third party in carrying out thesetasks;
- The Purchaser undertakes to adopt all the necessary measures to ensure that the Goods are safe and thatthey do not present any risk to anyone's health and physical well-being, when
they are located, used, cleaned or undergomaintenance;
- The Purchaser undertakesto provide the Seller withall the measuresand information on any interference risksnecessary to correctly execute the installation of the Goods, in compliance with
the regulations on preventingaccidents and health andsafety of workers in those work areas set aside by the Purchaser within which to carry out the installation of the same Goods;
- The Purchaser undertakesto adopt all the necessary measures in its facility/facilities to ensure that the installation of the Goods is done safely and doesnot present risks to the health of
those personnel involved in carrying out the installation of the same Goods. To thisend,the Purchaser indemnifies the Seller, in the broadest way possible, against any liability for
damageto property and/or people thatmight occur in relation to the installation of the Goods, with theexception of wilful misconduct or gross negligence by the Seller or any of its sub-
contractors;
- The Purchaser willalso arrange for a suitable civil liability insurance policy to be taken out to cover any claims that might be made against the Seller's personnel and/or any of its sub-
contractors in carrying out the installation of the Goods.
Art.13TRADEMARKS:
- The Purchaser expressly acknowledges that the Seller or the companies controlled by the same or the companies with which the Seller has a commercial agreement, are the holders
of the Trademarks. Therefore, the reproduction or use - in any form whatsoever - of the Trademarks, and any other distinctive marks that might beaffixed to the Goods, is strictly
prohibited, without the prior, writtenauthorisation fromthe Seller or whoever holds the rights to the Trademark(s)/Distinctive Sign(s) in question. The Purchaser is expressly forbidden from
removing, erasing or, in any case,altering the Trademarks, labels,and any other distinctive marks that might be affixed to the Goods. The Purchaser is also expressly forbidden
fromaffixing any other newtrademark, label or distinctive mark of any nature whatsoever to the Goods.
Art.14TRACEABILITY OFGOODS ANDRECAUS:
- In the event that the Goods are resold by the Purchaser to a third party, the Purchaser shall ensure the full traceability of those Goods and, in the event that suchGoods are recalled,
either through a mandatory or voluntary procedure, due to a production batchdefect, the Purchaser will be required to provide the Seller with its utmost cooperation, as well asto
comply with any other actionthattheSeller might decide to take in this regard.
Art.15- DISPUTES
- Pursuant to article 4 of Italian Law no. 218/1995, for any and every dispute relating to the interpretation and/or to the execution of thiscontract, jurisdiction will always and exclusively
be subject to Italian law,andspecifically, the Court of Ancona (Italy) and, based on the lower value of the dispute, the Justice of the Peace of Jesi [Giudice di Pace di Jest], pursuant
to and for the purposes of articles 28 and 29 of the ItalianCivil Procedure Code,withtheexpress exclusion of any other Court claiming jurisdiction or competence.
Art.16-APPLICABLE LAW
- Pursuant to article57 of Italian Lawno. 218/1995and article 3of Italian Law no.975of 18.12.1984, concerning ratification andexecution of the Convention on the Law Applicable to
Contractual Obligations, adopted in Rome, Italy, on 19.06.1980 and alsoapplicable to parties residing in or based in a non-contractingState, the law applicable to the obligations regarding
this contract will be Italian law, to the exclusion of all others.
Art 17 - INTERPRETATION
-Any differences in interpretation with regard to these general terms and conditions of sale, due to the same being drafted in two languages, will beresolved by making exclusive reference
to the Italian language.
Art.18- PRIVACY
- Goods that provide for an internet connection will automatically send their operating data to a database managed by the Seller, through the use of a software system called, Panatta
Asset Management (PAM). The Purchaser agrees to the anonymous processing of thisdata which is done in order to improve the functionality and operation of the same Goods.
Disabling the PAM system on the Goods may result in costs being incurred and, in any case, could leadto the Goods malfunctioning and/or not functioning properly and/or failing to
update/upgrade.It could also makeit impossible for the Seller to monitor the Goods remotely in order to providesupport and to improve the Goods.
- The Purchaser's personal data that is collected in order to execute the Purchase Order will be processed by PANATTA S.R.L, with registered offices at Via Madonna della Fonte n. 3/C.
Apiro (MC),Italy, asthe Controller, who may be contacted at privacy@panattasport.it.
- Data will beprocessed, as well asto execute the contract or the legal obligations connected to it (suchas, for example, to keep accountingrecords), for marketingpurposes suchas, purely by
way of example, to send informational material or commercial offers. Processing such data is necessary for the sales contract to be executed, to provide services or licences, to
which the Purchaser is a party; processing for marketing purposes is justified by the Controller's legitimate interest. Recipients of this data will be our collaborators, internal and
external, any other companies in the PANATTA S.R.L group,and our distributors, depending on the destination regionof the Goods.
-Should it benecessary to transfer data to a country outsidethe European Union, PANATTAS.R.L guarantees that it hassignedagreements whichcorrespond to the standardcontractual
clauses approved by the European Commission. Data will be kept for a period no longer than that necessary to achieve the purpose(s) for which the data wascollected and, in any
case, for no more than10 (ten) years fromthe last contact, unless it is necessary to keep data for alonger period, in compliance with applicable legislation.
- Access to personal data may be requested by emailing privacy@panattasport.it. Data Subjects may request that their personal data be rectified or deleted, or that processing be
restricted; they mayobject to such processing, or they mayrevoke their consent to processing for marketing purposes based on the legitimate interest of PANATTA S.R.L. Data
Subjects may, in any case, lodge a complaint with aSupervisory Authority (in Italy thisis the Italian DataProtection Authority- Goronte per la protezione dei dati personali), if they believe
that asatisfactory response has not beenmade with regard to exercising their rights.

Art. 19 - DOUBLESIGNATURE PURSUANT TO ARTICLES 1341AND1342 OF THEITALIAN OVIL CODE:


- Orders without a double signature,as indicated at the bottom of thisorder copy in red, will beconsidered invalid and, therefore, rejected immediately.

at work); Art. 13 (Trademarks); Art.14(Traceability of Goods and Recalls); Art.15 (Disputes); Art.16(Applicable law);Art.17(Interpretation);Art.18 (Privacy); Art.19 (Doublesignature
pursuant to articles 1341
and 1342of the ItalianCivilCode).
