UNDERTAKING

GENERAL FRONTIER WORKS ORGANIZATION, Sole Proprietor / Attorney / duly
authorized vide Resolution Of Board Of Directors (copy attached herewith) having my / our
office business at 509- Kashmir Road, RA Bazar, Rawalpindi, do hereby undertake that I /
we shall be responsible of settlement of any and all outstanding Audit Paras in connection
with, or arising out of any and all works executed by me / us under the Contract Agreement
No.ADB/FERP/NCB: Flood Emergency Reconstruction Project: NCB-S-15:
Rehabilitation of Panu Aqil – Dherki (N-5) Road (North Bound), KM 520+000 to KM
554+635 (Total Affected Length 34.635 Km)

We further undertake that if any recovery due from me / us on the basis of the Audit Paras
mentioned ante, I / we unconditionally and irrevocably covenant to pay on the first written
demand of NHA, without cavil or argument, the amount ascertained for recovery from us as
determined during the course of settlement of the Audit Paras relating to work executed by
us under Contract No. ADB/FERP/NCB: Flood Emergency Reconstruction Project:
NCB-S-15: Rehabilitation of Panu Aqil – Dherki (N-5) Road (North Bound), KM
520+000 to KM 554+635 (Total Affected Length 34.635 Km)

For the payment of recovery referred above on the basis of the Audit Paras, I / we bind
ourselves / each of us, in the whole, and our legal heirs, executors, administrators or
assignees, jointly and severally by these presents.

Now the Employers / NHA has consented to pay me / us M/S Frontier Works Organization,
a sum of Rs. 129,200,000/- (Rupees One Hundred Twenty Nine Million Two Hundred
Thousand Only), the amount certified in the Final Payment Certificate / Bill as the sum
finally due to me / us on account of completion of work thereof defect liability period of the
works under Contract No. ADB/FERP/NCB: Flood Emergency Reconstruction Project:
NCB-S-15: Rehabilitation of Panu Aqil – Dherki (N-5) Road (North Bound), KM
520+000 to KM 554+635 (Total Affected Length 34.635 Km)

AND WHEREAS the Employer / NHA has consented to pay the sum stated above before
the settlement of Audit Paras outstanding against the said Contract, if any, subject to
furnishing "Undertaking” to save the Employer / NHA from any loss on account of Audit
recovery, if any, becomes due from me / us in future.
THIS UNDERTAKING is for total amount of Rs. ____________________ (Rupees
______________________________________________) for the work done executed
against Contract in question / total contract price, to save the Employer / NHA from any loss
on account of Audit Paras / Audit recovery, if any, becomes due from me / us in future.

NOW THEREFORE this unconditional undertaking is given to save NHA from any loss
arising from the Audit Paras referred ante so as to enable NHA to make the Final Payment
on account of Contract No. ADB/FERP/NCB: Flood Emergency Reconstruction Project:
NCB-S-15: Rehabilitation of Panu Aqil – Dherki (N-5) Road (North Bound), KM
520+000 to KM 554+635 (Total Affected Length 34.635 Km).

THIS UNDERTAKING is to be construed as being in the nature of corporate security and

indemnity in the hands of NHA for making the Final Payment to us before the settlement of
Audit Paras outstanding against our Contract.

THIS UNDERTAKING is enforceable jointly and severally on the constituent partners of their
legal heirs, assignees and successors-in-interest.

THIS UNDERTAKING shall be effective from the date of Final Payment and shall continue
to remain in full force and effect until all the Audit Paras against Contract
No.ADB/FERP/NCB: Flood Emergency Reconstruction Project: NCB-S-15:
Rehabilitation of Panu Aqil – Dherki (N-5) Road (North Bound), KM 520+000 to KM
554+635 (Total Affected Length 34.635 Km), are finally settled and the sum, if any,
becoming due from us on that account, has been paid by / received from us whereupon the
above written “UNDERTAKING” shall be void, but otherwise shall remain in full force and
virtue. Moreover, I / we undertake not to invoke the jurisdiction of any Court / tribunal in case
of Audit paras.
This document shall be returned to me / us in original after it is discharged.
