AMENDMENT TO LETTER OF AGREEMENT

“Vaccination of animals and raise community awareness against anthrax and strengthen animal disease surveillance,
lab capacity and one health engagements to mitigate outbreaks of zoonotic diseases in Tigray”

The Food and Agriculture Organization of the United Nations (hereinafter referred to as “FAO”) and [Tigray Bureau
of Agriculture and Natural Resources (BoANR)] (hereinafter referred to as the “Service Provider”) (together
hereinafter referred to as the “Parties”) signed the Letter of Agreement attached in Annex C which came into effect on
26 July 2023 and was due to expire on 20 December 2023.

The Parties hereby agree to amend the Letter of Agreement in line with Article XIX. AMENDMENTS of the original
Letter of Agreement and with the terms and conditions described below.

1. Entry into Force and Term

The Parties agree that this Amendment will enter into force on the latest of the dates of signatures by the Parties and
the Services shall be provided until 31 March 2024 (the “Services End Date”), unless terminated earlier in accordance
with the provisions below, or extended by mutual, written agreement. Following the Operational Period there will be
an additional period of 30 calendar days during which the Service Provider shall complete and submit to FAO the
Final Report (the “Closure Period”). The Agreement shall terminate at the end of the Closure Period.

2. Purpose of the Amendment

The purpose of this amendment to the Letter of Agreement (LoA) with Tigray Bureau of Agriculture and Natural
Resources (BoANR) is to extend its duration by three months. The original LoA was prepared and submitted for
approval in early January 2023, but it was signed on 26 July 2023, and the first instalment was sent to the Service
Provider on 28 August 2023 and the LoA was set to expire on 20 December 2023. However, there was insufficient
time to complete the activities outlined in the LoA, and the Service Provider has officially asked for an official
extension of the project (TCP/SFE/3902) by another three months until 31 March 2024 where the extension was
approved. As a result, both parties agreed also to extend the LoA until 31 March 2024.

The main objectives, activities, and budget of the LoA remain unchanged. The Amendment will be effective upon
signature by both parties and will be an integral part of the original LoA. All other terms and conditions of the original
LoA will remain in force.

A detailed description of any additional and modified Services including ones described in this Amendment together
with the new technical and operational requirements, the work plan and timeframe, key performance indicators and
means of verification, as well as additional inputs to be provided free-of-charge by the Service Provider and FAO, if
any, are set out in detail in the Annex A; which together with the new complete amended budget that is presented in
Annex B, form an integral part of this Amendment.

3. Payment Terms

The following payments have been made by FAO on the dates specified below:
(i) ETB 2,184,596 (Birr Two Million One Hundred Eighty-four Thousand Five Hundred Ninety-six) in paid on
28 August 2023 with payment reference number: 1356526448

The following payments will be made after review and approval by the FAO LoA Manager of the relevant technical
and financial progress reports submitted by the Service Provider and the request(s) for payment as follows:

(ii) ETB 3,640,993 (three million six hundred forty thousand nine hundred ninety-three Birr) upon acceptance
by FAO the Progress report on the implementation of technical areas and financial expenditure.
(iii) ETB 1,456,398 (one million four hundred fifty-six thousand three hundred ninety-eight Birr) upon review
and approval by FAO of the Final Report as indicated in the Letter of Agreement in Annex C.

The amounts set forth above will be paid in the currency stated above, in accordance with the detailed banking
instructions provided by the Service Provider in the Letter of Agreement in Annex C.

4. Terms and Conditions; Interpretation of the Contract

All other terms and conditions of the Agreement, except as amended herein, shall remain unchanged and shall continue
in full force and effect. This Amendment shall be an integral part of the Agreement. The Agreement, as modified by
this Amendment, constitutes the complete agreement between the Parties and supersedes any prior written or oral
agreements, writings, communications, or understandings of the Parties with respect to the subject-matter thereof. In
the event of any conflict between the terms and conditions of this Amendment and the Agreement, the terms of this
Amendment shall prevail.

The Parties agree that electronic signature of the agreement using the Adobe-Acrobat tool shall be treated
as valid and legally binding. The Parties further agree that the agreement may be concluded electronically
via email exchange of such electronically signed copies or scanned versions of the agreement signed in
hard copy and that the signed copies exchanged in this manner shall be treated as originals.
