MEMORANDUM OF UNDERSTANDING (MoU)

MoU of Educational Cooperation between TANG & AIT

Guided by the desire to enhance the friendly bilateral relations between China and Pakistan,
in the field of Chinese language education, technical education cooperation and appreciating
the importance of education as a factor of economic development, as well as a means for
further cultivating the people-to-people ties between the two countries, the Company TANG
Chinese Education & Technology Ltd., China (herein referred to as "TANG") and Aligarh
Institute of Technology , Pakistan (referred to as “AIT”) record the following consideration:
● The existence of strong cultural and economic ties between Pakistan and China;
● That multicultural exchange in education is a powerful means of fostering
understanding between Pakistan and China;
● That the Participants strive for cooperation of technical education for talents of
future between Pakistan and China;
● Both the parties will collaborate in proper implementation of CCTE Model Sino-Pak
Dual Diploma Vocational Technical Joint Education program;
● The Dual Diploma program will be a split study / training program as globally
offered by the partner institutes/universities to provide opportunity for specialized
education/ training to candidates/trainees and also enhance mobility of the
candidates/trainees from one profession or institution to another. In China most
TVET institutes provides specialized education and training, therefore the initiative
will provide specialized training to each trainee in the 3rd year at China.
● In the split Dual Diploma program to be offered under CCTE Model Sino-Pak Dual
Diploma Vocational &Technical Joint Education Program, the 1st & 2nd years (part-
7) of the three years Diploma of Associate Engineer (DAE) will be completed by a
candidate/trainee from SBTE Sindh, Pakistan and in part-1 study/training will be
done as per Pakistani approved curriculum/competency standard, whereas the 3rd
year (part- 2) of DAE will include specialization in the relevant field which will be
done by the candidate/trainee from a recognized partner TVET institute by/in China
and in part-3 the candidate/trainee shall study as per Chinese approved
curriculum/standard;
● The students/trainee will be provided dual certification and trainee after receiving
diploma certificate for completion of 3rd year from China would be able to receive
the 3 years DAE certificate from SBTE Sindh, Pakistan as well on confirmation for
completion of study/training, verification of the certificate/credential from the
Chinese partner institute and obtaining equivalence from the Inter Board
Committee of Chairmen (IBCC), Islamabad',
● For candidates’ Chinese language course and Chinese cultural courses will be
required (upto HSK Level-2) to facilitate comfortable living in China and to
overcome communication barriers, further to meet CPEC industries’ HR demand.
● Scholarship will be available for 3rd Year study/training in China, which include
Institute fees, accommodation and food expense and expense for travel to China,
however willing candidates will also be able to avail above opportunity for split Dual
Diploma program on self-funding.

● WHEREAS TANG is a company dedicated to the research and development of IT
based international education products and teaching methods for more than 16
years, aiming at providing people around the world with intelligent teaching and
learning services, including professional Chinese Language Education, Vocational
and Technical Education, continuing and life-long education via internet
technology. At present, TANG has set up subsidiaries in a number of countries,
including South Korea, Thailand, Malaysia, Pakistan and Russia. TANG is also
conducting business in more than 10 countries and served more than 550
universities and colleges through TANG’ products. TANG has its strength in
Modernized Chinese Education, particularly in the areas of smart teaching and
learning tools, informative Chinese Language Curriculum, Chinese Teaching
Training and Consultancy in China-Foreign Dual Degree Program, therefore
approached AIT with aim to establish a constructive and sustainable relationship to
create a joint cooperation with a broader meaning and interests in scope of
Chinese language education sector between China and Pakistan.

● WHEREAS AIT is a technical Institute, running as a no profit organization. AIT’s
educational spirit is rooted in the educational ideals embodied by Sir Syed Ahmed
Khan and the Aligarh Movement. The Aligarh Muslim University Old Boys’
Association (AMUOBA) serves as a forum to commemorate events of historical and
cultural importance. It vigorously advances the ideals and values of the Aligarh
Movement especially with regard to educational advancements for young women
and men. AIT was established in 1989 through AMUOBA’s diligent efforts to meet
gaps in technical education in Pakistan. It offers theoretical and practical training in
a number of technologies leading to the Diploma of Associate Engineering (DAE).
The Diploma is recognized by the Sindh Board of Technical Education. In addition,
AIT also offering Bachelor’s Degree Programs and Master’s Degree Programs in
Computer Science and Information technology. AIT’s mission is to meet the
growing challenges in the new millennium by providing required skills in advanced
technologies. Impart education of the highest standard through value based holistic
teaching and learning by integrating traditional and innovative practices. The
present enrolment of students in AIT stands at 2500 and over the past 33 years,
AIT has successfully produced thousands of Diploma Engineers, providing highly
skilled personnel to the industrial development of Pakistan and that of other
countries. AIT has intended at primer purpose of establishing Modern Smart

Chinese Language Education programs within the institute, and shared a positive
intention for further and deeper development in the scope of educational
cooperation between China and Pakistan.
● Therefore, Now
● BOTH PARTIES will endeavor to encourage and facilitate, as appropriate and in
accordance with the relevant laws and regulations of both countries, the
development of contacts and cooperation between educational institutions,
organization, and other entities of P.R.C and the Islamic Republic of Pakistan and
the conclusion of further arrangements between such bodies for the conduct of
cooperative activities. To this end, Parties has agreed for this mutual associate.

1. OBJECTIVES
Establishment of Modern Smart Chinese Language Education and Training Program
at AIT to be jointly considered between the Parties on the basis of reciprocity and mutual
benefit:
(1) Chinese langugage classes based on modern IT technologies and products shall
be established at across AIT ’s facilities by both parties;
(2) TANG shall provide its international education products, including TANG
International Education Cloud Platform, TANG Classroom APP, TANG Chinese
Courses (English Version, Urdu Version is under development), HSK-Mock IBT
System, for AIT as technical tools and educational resource where Modernized
Chinese Language Training and Education activities can be carried out;
(3) Each student and teacher will have online account to monitor and processing
within the scope of language learning;
(5) AIT shall provide proper facilities including multi-media classroom, Chinese
language teachers, operation and management staffs, and any other necessary
conditions to carry out modernized Chinese language training and education
activities;
(6) Training of Pakistani Chinese Teacher can be also involved with qualified students
in educational career perusing, TANG will support with certificated Teaching
qualification;
(7) TANG shall coordinate to provide volunteers who study in M.A. in Chinese
language education program to give remote teaching assistance from China side, so
that students of AIT can get exposure to Chinese language environment;

(8) Students of AIT who participate in this project will be given preference in the
admission of CCTE model Sino-Pak Dual Diploma/Degree Program of TANG;
(9) Certificate of Chinese language training/education Project may be issued to
students in the name of both TANG and AIT.

NOW THEREFORE, This MoU WITNESSES that in consideration of the mutual promises
and covenants herein set forth, the Parties hereby agree as follows:

1. Role and Responsibilities

● For TANG
- To be responsible for arrangements of the special staff/team in charge of cooperation
matters.
- To be responsible to provide TANG International Education Platform, informationized
TANG Chinese courses, HSK-MOCK IBT System, smart teaching and learning tools and
technical support for AIT to carry out Modern Smart Chinese Language Education
activities under this MoU.
- To be responsible to coordinate Chinese partner educational institutions to provide
volunteers who study in Master of Teaching Chinese to Speakers of Other Languages
Program (MTCSO) to give remote teaching assistance from China side for AIT to improve
its Chinese teaching quality.
- To be responsible to provide AIT’s students who participate in this project with better
opportunity to joint CCTE model Sino-Pak Dual Diploma/Degree Program of TANG.
- To be responsible for quality control to ensure the smooth progress of the program.
- To be responsible for helping AIT’s teachers to go through the procedure of coming to
China for possible training projects.
- To be responsible to give authorization of the utilization of the logo, brand image to AIT for
marketing purpose of this very project only.
- To be responsible to provide free scholarship opportunities which includes free
transportation to and from China, free study, free accommodation, free food etc., for 25 to
50 students of each technology.
● For AIT
- To be responsible for arrangements of the special staff/team in charge of cooperation
matters.
- To be responsible to handle all local approval matters related for the smooth
implementation of the project under this MoU.
- To be responsible for arrangements & allocation of necessary resources at AIT for the
smooth implementation of the project under this MoU, such as Chinese language
teachers, multi-media classrooms, Labs etc.
- To be responsible to actively participate in TANG’s products and services under this MoU.
- To be responsible for student enrollment, allocation, management, as well as the
organization and implementation of any other necessary daily teaching activities, to ensure
the smooth progress of the program.

- To be responsible for quality control to ensure the smooth progress of the program.
- To be responsible to provide employment consulting service to program students who
qualified accomplished the whole program.

2. COORDINATION AND IMPLEMENTATION

1) To facilitate direct dialogue, both the Participants will each designate a work-team
with head representative for the coordination and efficient management of activities
under this Memorandum of Understanding, and advise the other Participant within one
(1) month of the signing of this Memorandum of Understanding.
2) The Participants will meet in person or through internet within three (3) months of the
signing of this Memorandum of Understanding to develop a work plan of cooperative
educational activities through exchange of information via email or WeChat group.
3) The Participants will organize meeting monthly in person or through technology to
jointly develop report on the progress made under this Memorandum of Understanding.

3. OTHER CONSIDERATIONS

1) This Memorandum of Understanding will not create a legal relationship between the
Participants, demonstrate an intention to enter into a legal relationship, or create any
legal, contractual or financial rights or obligations for the Participants.
2) The Participants will conduct the cooperative activities under this Memorandum of
Understanding at their discretion, subject to the availability of resources, on a case-by-
case basis.
3) The Participants will settle any difference in relation to this Memorandum of
Understanding, including any question regarding its existence, validity, termination,
interpretation or application, amicably through negotiation.
● Force Majeure

- Due to fires, natural disasters, military actions of blockades, prohibitions and any
other nature or any other force majeure, one of the parties is unable to perform its
duties, then that party is no longer responsible for unfulfilled or unfulfilled duties.

- The party that encounters the above-mentioned force majeure shall immediately
notify the other and provide details and valid written documents within 30 days.

- When the agreement is suspended or terminated due to force majeure, all parties
to the agreement shall jointly make proper arrangements for the Program
Students and minimize their loss.

● Financial Obligations

- There will be no financial obligations among the two parties under this MOU. This
Memorandum of Understanding is based on mutual consent and agreement of
cooperation.

● Confidentiality

- Parties hereto agree to maintain in confidence and not disclose, reproduce, copy
any materials, documentation or specification which are provided by one partner
to the other partners under this MOU with the request to maintain confidentiality.

● Severability

- If any provision contained in this MOU shall, to any extent, be invalid or


unenforceable, the remainder of this MOU (and the application of such provision
to persons or circumstances, if any, other than those in respect of which it is
invalid or unenforceable) shall not be affected thereby, and each and every
provision of this MOU shall be valid and enforceable to the fullest extent permitted
by law.

● Entire Understanding

- This Understanding (including all agreements entered into pursuant hereto)


constitutes the entire understanding of the parties with respect to the subject
matter hereof and supersedes all prior and contemporaneous agreements,
representations, understandings, negotiations and discussions between the
parties, whether oral or written agreements.

● Relationship of parties

- No Party shall incur any debts or make any commitments for the other. None of
the Parties shall have the authority to bind any other Party.

● Amendment and Modification

- No amendments, changes or modifications to this MOU shall be valid except if the


same are in writing and signed by a duly authorized representative of each of the
Parties hereto.

● Notices

- All notices, consents, requests, and notifications authorized or required to be


given in writing or by notice under this MOU shall be addressed to the other
Party / Parties at the respective address or facsimile number set forth below, or to

such other address or facsimile number which a Party specifies to the other’s
notice.

4. EFFECTIVE TERM

1) This Memorandum of Understanding is effective on the date of its signature and


remains in effect for FIVE (5) years, and will automatically be renewed for FIVE (5)
additional periods, to a maximum of eight (8) years;
2) This Memorandum of Understanding may be reviewed or modified by mutual consent,
any alteration or modification of this Memorandum of Understanding may be done by
arrangement in writing between the Parties.
3) This Memorandum of Understanding may be terminated by either Participant giving
two (2) months written notice to the other Participant;
4) In the event of the termination of this Memorandum of Understanding, the provisions
hereunder will continue to be in effect until such time when the implementation of any
procedures, plans and programmes of cooperation made hereunder have been carried
out to their completion, unless otherwise arranged;

5. THE END

This MOU is signed in English, both texts being equally authentic.
