This agreement is between _______________ (social media influencer –

hereinafter “INFLUENCER”)) and The Law Offices of Steven C. Vondran, (“Vondran
Legal®) for the purposes of engaging INFLUENCER to undertake and provide the
following professional services (check all appropriate boxes):

INFLUENCER shall be paid $____________ for their service within 3 days of

completion of the agreed upon assignment as noted above, and a deadline to
produce acceptable content shall be no later than:___________________ (date).
The undersigned INFLUENCER hereby irrevocably agrees to produce, and hereby
consents to and authorizes the creation of such content as specified above and
agrees to provide all rights and permissions to use the generated content for the
sole and exclusive use by Vondran Legal®, its officers and employees, successors
and assigns, and grants the rights to use and exploit in all media now known, and
which in the future may be discovered or known, in perpetuity, all content
generated under this agreement.
This means, that Vondran Legal® will own all of the intellectual property rights,
including moral rights, to the content generated and created by INFLUENCER
including but not limited to the right to make copies, and derivate works, and to
publicly perform the created work, and to publicly display the commissioned work
created, which shall be deemed a work-for-hire and/or an assignment of all
intellectual property rights.
Vondran Legal® shall have the sole and exclusive right to photograph, publish, re-
publish, adapt, exhibit, perform, reproduce, edit, modify, make derivative works,
distribute, display or otherwise use or reuse the agreed-upon generated work in
connection with any product or service in all markets, media or technology now
known or hereafter developed in Vondran Legal’s products or services, as long as
there is no intent to use the image, voice and/or likeness in a disparaging manner.
Vondran Legal® may exercise any of these rights itself or through any successors,
transferees, licensees, distributors or other parties, commercial or nonprofit. The
undersigned acknowledges receipt of good and valuable consideration in exchange
for this Release.
Indemnity: INFLUENCER agrees that the content they generate is free of third party
claims of copyright, trademark, or other rights. If Vondran Legal® is sued for any
violation of third party rights, the INFLUNCER agrees to indemnify Vondran Legal®
for all claims, losses, damages, lawsuits, or other legal demands including covering
all legal costs and attorney fees incurred by Vondran Legal®.
Entire Agreement: This agreement contains all of the terms of agreement between
the parties in regard to content creation. No other terms not included in this
agreement are enforceable.
Agreement: The undersigned parties hereby agree to each of the terms of this
influencer content creation agreement. Any disputes must be resolved in binding
arbitration with each party to bear its own costs and attorney fees. No attorney
fees shall be awarded to any prevailing party in such dispute resolution.
