That the undersigned, MA. GENNEVIVE CATOLICO BELTRAN of legal age, citizen of
Philippines and a resident of Pallua Norte , TUGUEGARAO CITY (Capital),
CAGAYAN, REGION II (CAGAYAN VALLEY), 3500 of SAN ANTONIO REAL ESTATE
SERVICES CORPORATION desires to be a corporation sole under the laws of the
Philippines and hereby certify:

1. That the rules, regulations and discipline of the aforesaid religious denomination,
sect or church are not inconsistent with his/her becoming a corporation sole and do

not forbid it.

2. That he/she is charged with the administration of the temporalities and
management of the affairs, estate and properties of SAN ANTONIO REAL ESTATE

SERVICES CORPORATION - CORPORATION SOLE.

3. That according to the rules, regulations or discipline of the religious

denomination, sect or church to which he/she belongs, vacancy shall be filled by
appointment of the members of the church; succession and by any other mode.

4. That the principal office of the corporation sole is at BELTRAN GUMABAY

PALLUA NORTE , TUGUEGARAO CITY (Capital), CAGAYAN, REGION II (CAGAYAN
VALLEY), 3506.

5. That I undertake to change the name of the corporation, as herein provided or as

amended thereafter, immediately upon receipt of notice from the Commission that
another corporation, partnership or person has acquired a prior right to the use of
such name, that the name has been declared not distinguishable from a name
already registered or reserved for the use of another corporation, or that it is
contrary to law, public morals, customs or public policy.

6. That I personally prepared and read the contents the Articles of Incorporation and
that all the allegations and statements are known to me to be the Articles of
Incorporation of this SAN ANTONIO REAL ESTATE SERVICES CORPORATION -
CORPORATION SOLE.

7. That the said Articles of Incorporation of this SAN ANTONIO REAL ESTATE
SERVICES CORPORATION - CORPORATION SOLE is true and correct to the best of
my knowledge and belief.

8. That no member of the Board of Trustees shall receive any compensation or
remuneration in cash or in kind for services rendered to the corporation as members.

9. That the level of administrative expenses of the corporation shall not, on an annual
basis, exceed thirty percent (30%) of the total donations received and total expenses
for the taxable year.

10. That in the event of dissolution, the assets of the corporation shall be distributed
to another corporation, organization or association whose purpose/purposes are
similar to the purpose/purposes of the dissolved corporation, or to the State for
public purpose/purposes, or shall be distributed in accordance with an Order issued
by a court of competent jurisdiction.
