STANDARD TERMS & CONDITION

PRICES : ABOVE PRICE IS Ex- WORKS VAPI

TAXES :Extra at Actual.GST Rate will be applicable as per prevailing GST Law applicable
at the time of Invoicing.

DELIVERY TERMS : TO PAY - Customer to pay the transport charges directly to transporter. Risk on
road will be of customer. PREPAID - 3% of Invoice value will be charged as
Forwarding charges (No supporting would be provided and taxes extra will be
charged as applicable)

PACKING CHARGES : 2% of Invoice value or Rs. 500/- whichever is higher will be charged on all
invoices.

INSURANCE : On customer account

DELIVERY PERIOD : 3 to 4 weeks (6-8 Weeks in case of Laser Machine) from the date of receipt of
technically and commercially confirmed Purchase order.

NO LIQUIDATED DAMAGES (LD)
AND/OR PENALTY CLAUSE APPLICABLE
:No Liquidated Damages (LD) and/ or any type of Penalty condition(s) provided for
and/ or against any reason whatsoever in any manner in any of the terms and
conditions mentioned in any document issued by the Customer including but not
limited to Purchase Orders etc. shall be applicable to and binding on Videojet (i.e.
the Company/ Vendor/ Seller/ Service Provider).

TAX COLLECTION AT SOURCE (TCS) : Tax Collection at Source (TCS) @ 0.1% on the sale consideration exceeding fifty
lakh rupees shall be paid to Government on behalf of you as per section 206C (1H)
under the Income Tax Act, 1961 if applicable to you and the TCS will be collected
from you through debit note.

WARRANTY & USAGE OF : Standard Equipment Warranty for parts is 12 months from date of Invoice and
CONSUMABLES for free service is 6 months from the date of Invoice. Free on-site service will be
provided for any break down in Equipment or it's accessories during the period of
6 months from date of Invoice

For detailed warranty terms and condition, pl. refer to Warranty Certificate issued
along with Equipment supplied
EXTENDED WARRANTY/ : Extended warranty (after 12 months from date of Invoice) and/or additional service
ADDITIONAL SERVICE (after six months from date of Invoice) will be charged extra with separate Invoice.
"Such extended warranty/additional service will be charged with GST extra as
applicable for Services".

Printer sold are covered under local Installation and warranty terms, hence Videojet will not be responsible for any
Installation and warranty for the printers which are exported out of India, without prior approval from Videojet and without
advance payment of necessary charges towards International Warranty and Installation

JURISDICTION : All the disputes arising out of this quotation shall be subject to the exclusive

Restriction to Export : All our products are restricted from exporting to any of the following countries and
thus Customer agrees and undertakes that, they shall not sell or export any Products
purchased from Videojet to any of the following countries: - countries and thus

purchased from Videojet to any of the following countries: - Cuba, Iran, North Korea,
Syria, Russia, Belarus, Donetsk, Kherson, Luhansk, Sevastopol, Zaporozhye, Crimea
Region and, Sudan.

Trade Regulations : One may need NOC from Central Bureau of Narcotics (CBN) for exporting
Consumables containing Methyl Ethyl Ketone (MEK).Such exporter is advised to
check and comply with legal &regulatory provisions related to export of such
Consumable containing MEK. Similarly, the end consumer of such exporter based in
foreign country may need to comply to legal and regulatoryprovisions of its’ Country
for importing Consumables containing MEK. Exporter is advised to ensure
compliance of such local laws.and regulations by the end consumer while exporting
Consumables containing MEK

Installation and Warranty for Export
: Printer sold are only covered under local Installation and Warranty terms,hence
videojet will not be responsible for any Installation and warranty for the printers
which are exported out of India, without prior approval from Videojet and without
advance payment of necessary charges towards International Warranty and
Installation. The Customer shall pay Cross Border Sales Fee in advance for availing
the installation and Warranty in exporting country.

 Installation Guidelines

To make your installation go as smoothly as possible and ensure your facility is properly
prepared for our arrival on-site, please review the following guidelines carefully.
Videojet Customer Service and Installation Scheduling Support: 1800 103 4812(8.00AM-8.00PM
on weekdays and 9.30AM To 6.30PM on Saturdays)

Videojet will be responsible for: What is included with the installation package:

 Taking inventory of all equipment and fluids shipped for the installation
upon our arrival
 Assembling equipment and preparing it for production (configuring
equipment, adding ink, etc.)
 Placing equipment on the production line at the customer’s designated
position and ensuring print performance meets equipment
specifications
 On-site labor required to complete the installation and prepare the
equipment for production
 Videojet’s User Instruction Course – delivered by a Certified Service
Engineer – to train the customer’s operators on the key features and
functionality of the installed technology

To ensure a smooth installation, the customer is responsible for: Videojet also offers these other valuable services:

 Verifying all equipment and fluids are received  Training for additional shifts or operators on subsequent days
 Determining where the printer(s) is/are going to be located on the  Maintenance level training, above and beyond standard operator training
production line  Additional visits to the site at the customer’s request for application or
 Providing AC power supply dedicated for printers through stabilized integration support

incorporated herein by reference and made a part of this Service Agreement. No other terms or conditions apply, including but not limited to
those attached to or referenced in customer's documents.

Service delivery scope:

1. Under this agreement all labor and travel are delivered during normal local business hours, [09:30 am to 05:30 pm]
2. Labor and travel are also delivered during normal working days, which exclude local holidays, and weekends
3. Service coverage is based on travel not exceeding 150 km of the local Videojet service centre
4. Parts replacements will be new parts or equivalent to performance of new parts
5. For Startup Care Contracts for Model Nos. VJ1240, VJ1280 and VJ1580 replacement of Service Modules shall be applicable during
the Term of the respective Contract, as mentioned in below table:

TERMS AND CONDITIONS OF SERVICE AGREEMENTS

1. Acceptance. These Terms and Conditions of Service
Agreements (''Terms'') supplement the Service Agreement Order
Form signed by the parties (these Terms, the Service Agreement
Order Form and any other standard form Service Agreement
document provided by Company in connection with the Service
Agreement purchased by Customer hereinafter referred to as
''Service Agreement''). CUSTOMER'S SIGNATURE ON THE
SERVICE AGREEMENT ORDER FORM ACKNOWLEDGES CUSTOMER
HAS READ AND UNDERSTANDS THE SERVICE AGREEMENT AND
CONSTITUTES ITS ACCEPTANCE OF THE SERVICE AGREEMENT.
2. Services. (i) SUPPORTIVE, ALL SUPPORTIVE LITE, STARTUP -
Company shall provide the labour maintenance services
("Services") for the equipment identified with Serial number
("Equipment") in the Service Agreement ("Contract") (b) The
pricing in the Service Agreement is based on Company performing
Services at the Customer Site provided in the Contract. If
Customer relocates Equipment, Company may revise the Price if

or remedies available to it under applicable law or otherwise,
Company may suspend provision of Services hereunder until all
past-due accounts of Customer are fully satisfied. (b) Company's
rights and remedies herein are in addition to, and not in lieu of,
any other rights or remedies Company may have at law or in
equity. (c) EXCEPT AS OTHERWISE PROVIDED BY LAW, IN NO
EVENT WILL COMPANY BE LIABLE FOR SPECIAL, INDIRECT,
EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, THIRD PARTY OR
PUNITIVE DAMAGES INCLUDING WITHOUT LIMITATION THOSE
BASED ON BREACH OF WARRANTY, BREACH OF CONTRACT,
NEGLIGENCE, TORT, OR ANY OTHER LEGAL, EQUITABLE OR
STATUTORY CLAIM, CAUSE OF ACTION OR LEGAL THEORY.
MOREOVER, COMPANY'S MAXIMUM LIABILITY HEREUNDER
REGARDLESS OF LEGAL THEORY WILL NOT EXCEED THE
AMOUNTS PAID BY CUSTOMER TO COMPANY PURSUANT TO THE
SERVICE AGREEMENT. COMPANY WILL NOT BE LIABLE FOR ANY

such relocation increase the cost of providing Services (ii)
COMPREHENSIVE AND COMPREHENSIVE LITE (c) In addition to
Services mentioned in (i) above these Contract will include
replacements of parts failed in Equipment ''Parts'' covered under
Price. Any replacement parts provided pursuant to the Contract
will be at no extra cost and Company will be responsible for the
performance of parts till the end of contract period. Company will
not have any liability against any claim towards the failure of parts
after end of contract period. Company will ensure that the parts
replaced are in good running condition and will ensure the smooth
functioning of Equipment. Customer acknowledges certain parts
may be subject to discontinuance by the manufacturer, in which
event Company's obligation shall be limited to making reasonable
efforts to replace such discontinued parts with an equivalent part.
This provision shall be strictly applicable for Equipment covered
under Contract. (d) Company shall provide Services during
Company's standard local business hours, which excludes
weekends and Company holidays. Any service requirement on
OFF days / Night hours shall be charged extra than normal
rate as per existing company policy. Company will provide
Services on Customer's premises unless it is necessary to remove
Equipment for Service, or a portion thereof, to the Company's
repair depot for maintenance. (e) The following services are not
included in the Service Agreement and Customer shall be charged
separately for any such service, unless otherwise expressly
provided in the Service Agreement: (1) maintenance of
accessories or attachments; (2) maintenance of Equipment if
Customer's modification of Equipment has materially increased
cost of maintenance; (3) overhauling or rebuilding of Equipment;
(4) replacement of thermal transfer print-heads; and (5) de-
installation or reinstallation of Equipment or any part thereof at
Customer's request. The Service Agreement does not cover
repairs or maintenance resulting from: (i) Customer misconduct,
accident, neglect or misuse; (ii) failure of installation site to
conform to Company's applicable specifications; (iii) failure or
inadequacy of electric power, humidity or air control; (iv)
Customer's use of supplies and other consumables not approved
by Company for use with Equipment; (v) Customer's failure to
follow operating procedures provided by Company; (vii) service or
maintenance performed by a third party or an unauthorized
representative of Company; and (viii) Force Majeure. (f) In order
to ensure committed response time, Company may provide
service through a Videojet service engineer or through service
engineer employed by an authorized Videojet Distributor.
3. Billing and Payment. (a) Payment shall be made by the
Customer in ADVANCE alongwith signed contract unless otherwise
agreed in writing by Company. (b) The fee for the Service
Agreement is based on Company performing Services at the
location identified in the Service Agreement Order Form. If
Customer relocates Equipment or any part thereof, Company may
increase the fee if such relocation affects Company's cost of
performing its obligations hereunder. (c) Notwithstanding anything
contained herein, Videojet i.e. the Company shall be entitled to
further review the prices of the products at any time and increase
the same, as it may deem fit and necessary, which shall be
binding on the Customer. (d) Unless otherwise specifically
indicated by Company, prices are exclusive of all duties & taxes,
shipping and related fees, except only taxes based on Company's
income. Any certificates or other evidence of applicable
exemptions to such taxes or duties must be provided to Company
prior to invoicing or such taxes or duties will be charged to
Customer; provided, however, if Company does not collect such
items from Customer and Company is later requested or required
to pay the same to any taxing authority, Customer shall promptly
make payment to Company or directly to such taxing authority if
requested by Company. (e) If Equipment is located beyond
Company's standard local service area, Customer agrees to pay
prevailing travel rates incurred by Company or Company's
authorized representative in connection with performing its
obligations hereunder. (f) Payments are not subject to setoff or

DAMAGES OR COSTS RESULTING FROM ANY DELAYS IN
PERFORMANCE.
7. No Liquidated Damages (LD) and/ or Penalty Clause
Applicable.. No Liquidated Damages (LD) and/ or any type of
Penalty condition(s) provided for and/ or against any reason
whatsoever in any manner in any of the terms and conditions
mentioned in any document issued by the Customer including but
not limited to Purchase Orders etc. shall be applicable to and
binding on Videojet (i.e. Company/ Vendor/ Seller/ Service
Provider).
8. Terms.. (a) The Service Agreement is effective during the
Term identified in the Service Agreement Order Form.
9. Force Majeure. Except for Customer's payment obligations,
neither party shall be liable for delays in performance or
nonperformance, in whole or in part, resulting from causes beyond
its reasonable control, such as acts of God, pandemic, fire, strikes,
embargo, acts of the government, or other similar causes (''Force
Majeure''). In such event, the party delayed shall promptly give
notice to the other party. If an Event affects Company's ability to
meets its obligations at the agreed upon pricing, or Company's
costs are otherwise increased as a result of such Event, Company
may increase pricing accordingly upon written notice to Customer.
Notwithstanding anything contained herein, in case the Company
is unable to provide services to the Customer at any time during
the term of this Agreement due to force majeure reason including
but not limited to pandemic, then the Customer shall not be
entitled to deduct any payment(s) from the invoices raised as per
agreed price in contract and/or to extend the contract period for
availing services missed during force majeure period on free of
cost basis.
10. Assignment; Successors and Assigns. Customer may not
assign the Service Agreement without Company's prior written
consent. Any assignment contrary to this Section shall be null and
void. The Service Agreement shall apply to, inure to the benefit of
and be binding upon the parties hereto and their respective
successors and permitted assigns.
11. Governing Law; Venue; Actions; Attorneys Fees. The
Service Agreement is governed by and construed in accordance
with the laws of country viz. India and local geographic
designation in which Company's main place of business is located,
without regard to conflicts of laws provision. Any dispute/issue
with regard to this Agreement should be resolved amicably by and
between the parties to this Agreement at very first instance, if
both the parties fail to resolve their dispute/issue amicably, such
dispute/issue shall be referred to the Arbitration. Wherein both the
parties shall appoint their own Arbitrator independently, such
appointed Arbitrators shall mutually appoint an Umpire/Third
Arbitrator. The proceedings of Arbitration shall be in English
language and place of such Arbitration shall be in Mumbai. Any
objection/action brought by Customer pursuant to the Service
Agreement must be commenced within the earlier of one (1) year
from the date of delivery of Services or occurrence of the event,
giving rise to the claim, or such claim will be forever barred.
12. Miscellaneous. The documents comprising the Service
Agreement are the sole and exclusive terms and conditions
applicable to the Service Agreement purchased by Customer.
Company hereby objects to and rejects any other terms and
conditions appearing on, incorporated by reference in, or attached
to, Customer's orders or other documents. In the event of any
conflict between any of the documents comprising the Service
Agreement, the descending order of precedence will be the
Service Agreement Order Form, these Terms and any standard
form Service Agreement document provided by Company in
connection with the Service. If any provision of the Service
Agreement to any extent is declared invalid or unenforceable, the
remainder of the Service Agreement will not be affected thereby
and will continue to be valid and enforceable to the fullest extent
permitted by law. Any modifications hereto must be in writing and
signed by both parties. Either party's failure to strictly enforce any

recoupment for any present or future claim Customer may have.
4. Customer's Obligations. Customer shall: (i) exercise
reasonable care in operation and normal maintenance of
Equipment; (ii) operate Equipment within Company's published
specifications (including, without limitation, all environmental
specifications); (iii) maintain Equipment in conformance with
Company's maintenance standards, which shall include following
and performing Company's recommended customer care and
cleaning program between calls of Company's service
representative; (iv) properly maintain installation site and
operating environment; (v) provide necessary utility services for
use of Equipment in accordance with Company's specifications;
and (vii) use only Videojet branded consumables and fluids with
the Equipment. In case it is found that the Customer has violated
any of the terms and conditions mentioned herein including using
of only Videojet branded consumables and fluids with the
Equipment, then the Company shall be entitled to terminate this
AMC with immediate effect without requiring to give and/or be
liable to pay any compensation and/or damages to the Customer
of whatsoever nature. In such scenario, the Company shall not be
responsible and/or liable to the Customer in any manner
whatsoever for the condition of respective Equipment.
5. Limited Warranty. Company represents and warrants that for
30 days after delivery of the Services (or a different period
provided by Company's warranty practices) the Services will be
performed in a professional and workmanlike manner in
accordance with applicable industry standards. THESE
WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER
WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT,
AND COMPANY GIVES NO OTHER WARRANTIES IN CONNECTION
WITH ANY GOODS OR SERVICES PROVIDED PURSUANT TO THE
SERVICE. No employee or agent of Company, other than an officer
of Company by way of a signed writing, is authorized to make any
warranty in addition to the foregoing. Customer's sole and
exclusive remedy for breach of warranty shall be, in Company's
sole discretion, repair or replacement, or refund if the foregoing is
not possible.

of these terms shall not be considered a waiver of any of its rights
hereunder. If any term in the Service Agreement is declared
invalid or unenforceable to any extent, the remainder of the terms
in the Service Agreement will not be affected thereby, and will
continue to be valid and enforceable to the fullest extent
permitted by law. The expiration of the Service Agreement will not
affect the survival and continuing validity of any provision which
expressly or by implication is intended to continue in force after
such expiration.
13. Proprietary Rights: -
Seller i.e. the Company shall retain all right to technical data and
information, technical process and business methods, whether
patentable or not, arising out of or evolving as a result of Seller
rendering engineering services to and designing systems and
goods for Buyer's use. Buyer agrees not to enforce against Seller
or customers of Sellers any patent rights, the scope of which
includes a system process method utilizing goods or engineering
service delivered hereunder by seller, and which relates to an
invention made by or Buyer (in a date subsequent to the date of
Seller's offer hereunder.
14. Hazardous Materials: -
Buyer i.e. the Customer acknowledges that certain supplies
covered by this Agreement may be, or become, considered as
hazardous materials under various laws and regulations. Buyer
agrees to familiarize itself (without reliance on seller except as to
the accuracy of special safety information actually furnished by
Seller), with any hazard of such materials and their applications
and the containers in which such materials are shipped. Buyer
agrees to inform and train its employees or customers based (in
allegations relating to any such hazards except where such claims
arc based on failure to meet written specifications or the
inaccuracy of specific safety information actually furnished by
Seller.
15. Trade Regulations: -
One may need NOC from Central Bureau of Narcotics (CBN) for
exporting Consumables containing Methyl Ethyl Ketone (MEK).
Such exporter is advised to check and comply with legal &
regulatory provisions related to export of such Consumable
containing MEK. Similarly, the end consumer of such exporter
based in foreign country may need to comply to legal and
regulatory provisions of its Country for importing Consumables
containing MEK. Exporter is advised to ensure compliance of such
local laws and regulations by the end consumer while exporting
Consumables containing MEK.
16. Confidentiality: -
Both the Parties shall maintain all the Confidential Information in
strict confidence and shall not disclose the same to any third party
or person without seeking prior written consent of the Disclosing
Party.
