RE: REQUEST FOR INCLUSION AS A SHAREHOLDER/PARTNER AT

PESHAWAR GENERAL HOSPITAL

Dear Sir,

My name is Dr. Naveed Anwar (D.O.B: 22/05/1974) and I had expressed my concerns about non-
inclusion of my name as a shareholder/partner at Peshawar General Hospital multiple times in the
recent past by both, implied and express methods. I appreciate that after my continuous efforts, at
least some board members did adhere to the ultra-vires conduct of the board by not including my
name in the list, however, till this date, the matter remains in limbo, and my grievance stands intact.

It is pertinent to note, that initial consideration or the offer was extended to me by the members of
the board to join Peshawar General Hospital as one of the partner, these were extended when they
visited my former hospital (Rehman Medical Institute), which I later dully accepted it from this very
intention. The board then allocated my share to be PKR 200,00000/- (2 Crores). It is pertinent to
note that in Board of Directors meeting held on 27th August 2022, which was also attended by me, it
was decided that a leeway would be granted to me, and that 75% of the total amount to be paid by
me in the next month, which I dully accepted (This can be referred to in serial No.1 of the Minutes of
the Meeting Dated: 27/08/2022). Hence therefore, this amounted to an express exemption in my
case, hence revising the general principle of full payment as set earlier.

In context of the above situations, I had given a legally valid express consideration amount vide
cheques dated: 01/10/2022, 01/10/2022 and 25/10/2022 in-favour of Peshawar Healthcare Private
Limited, totalling to PKR 150, 00000 (1.5 Crores). It is pertinent to note that at the time of
submission, the said amount was accepted without any express objection or concerns. Hence,
making me worthy and eligible as a Stakeholder.

With utmost humbleness I would like to express my extreme displeasure that throughout the
process I feel that I have been not dealt justly and contrary to the process of natural justice. An
example of this is of a letter from Chairman to all the members, bearing reference no: CEO/PGH007,
Dated: 07-10-2023, where it was expressly written by the worthy CEO to inform all the members
about the elections, voting and nominations. Unfortunately, despite this, I was blatantly ignored and
denied a right to vote, despite legally fulfilling all my duties and consideration as prescribed.

Hailing from the community of doctors, I have a great respect for the professionalism and dignity of
each and every member of this esteemed organisation. Therefore, I would urge the worthy CEO and
the respected Board Members to consider the matter in-context of the given submissions therein
and giving full effect to the principles of natural justice and fairness. I am hoping for an amicable
solution to the matter, because such disputes may create un-necessary nuisance for all of us and
also for this esteemed organisation.
