This STYLE AMBASSADRESS PROGRAM AGREEMENT (the “AGREEMENT”) is made and entered into this ___

day of ____ 2017 (“EFFECTIVE DATE”) in Pasig City, by and between:

STYLEGENIE INCORPORATED, a corporation duly organized and existing under and by virtue of the laws of
the Republic of the Philippines, having its principal business address at 2F Zeta II Bldg., 191 Salcedo, San
Lorenzo, Makati City, Philippines (hereinafter referred to as the “STYLEGENIE”);
and
____________________________________________, of legal age, and resident of the Philippines, having its address at
_____________________________________________________________________________________________________, (hereinafter referred
to as the “AMBASSADRESS”);
WITNESSETH THAT-

WHEREAS, STYLEGENIE (further referred to as “COMPANY”), is a retail subscription business with a website
address of www.stylegenie.ph (further referred to as "BUSINESS").

WHEREAS, the abovementioned AMBASSADRESS, is a brand/influencer with public social media accounts
dedicated to regularly publishing posts on the lifestyle category.

NOW, THEREFORE, in consideration of the foregoing premises and mutual obligations contained herein, with
both parties intending to be legally bound, both hereby agree as follows:

1. STYLE AMBASSADRESS PROGRAM, (hereinafter referred to as “PROGRAM”) aims to further an

effective business relationship between AMBASSADRESS and STYLEGENIE through an affiliate
partnership, which helps both parties earn profits.
2. STYLEGENIE ACCOUNT: The AMBASSADRESS shall only have one (1) registered StyleGenie account.
Self-referrals for affiliate or merchant accounts are strictly prohibited.
3. PROMOTIONS: AMBASSADRESS agrees to promote STYLEGENIE at least twice (2) a month on his/her
social media accounts including but not limited to Facebook, Youtube, Instagram, Snapchat, Tumblr,
Twitter, Pinterest or own website as shown on Annex 1.
4. CORPORATE BRANDING: AMBASSADRESS shall comply to STYLEGENIE’S branding guidelines
including but not limited to the right usage of its logo, tagline, hashtags, links, and brand colors.
5. FRAUD: Fraud is defined as any action that intentionally attempts to create sales, leads, or click-
throughs using robots, frames, iframes, or scripts, for the sole purpose of creating commissions. ANY
 ATTEMPTED FRAUD OR FRAUD WILL RESULT IN MEMBERSHIP TERMINATION AND VOIDED
COMMISSIONS.
6. COMMISSIONS: STYLEGENIE shall remit commissions earned by the AMBASSADRESS starting from
the date of effectivity stated above. The computation for commissions shall be guided according to the
earning matrix shown on Annex 2.
7. LOYALTY POINTS: AMBASSADRESS can also earn corresponding STYLEGENIE Points per other
qualifiers approved by STYLEGENIE’s Marketing Team as shown on the table below.

Video post 500 points each

Each STYLEGENIE point is equivalent to one peso (Php 1.00) and can only be redeemed on the
website. STYLEGENIE points are not convertible but transferrable to other registered users of the
website.

8. PAYMENT SETTLEMENT: A STATEMENT OF ACCOUNT (SOA) shall be issued within the first seven
(7) business days of every month via email. This SOA shall contain a summary of all successfully
delivered orders only. Cancelled/Refunded orders are not valid and not counted as sale. Payments
shall be settled via check issued seven (7) days after SOA submission.
9. TERMS AND TERMINATION. This agreement is valid for one (1) year from Effective date stated above.
Both parties have the right to terminate this agreement provided that the other party is given prior
notice at least thirty (30) days before termination.
10. NON DISCLOSURE. Ambassadress agrees that disclosure of any confidential information not disclosed
to the public is a breach of this agreement.
