AGREEMENT FOR

CONTINGENT EXECUTIVE SEARCH SERVICES

This Agreement is between:

Coach Guru Pvt Ltd has its corporate office at 91 Springboard, Ground floor, NH8,
Gurugram,

Haryana-122008 and the registered office at 3399/D3 Vasant Kunj, New Delhi-110070, India,
hereinafter referred to as “Coach Guru.”

And

having its registered office at ,

hereinafter referred to as “the Client.”

The Client is in the business of ---------------------------------------------

and has sought the services of Coach Guru to fill positions with suitable candidates on the following
terms:

1. Terms of Engagement

A. Coach Guru will provide 5-6 shortlisted candidates for each position after due diligence and a
screening process.

B. While Coach Guru endeavors to provide accurate information, the client will satisfy himself as to
the information provided and the suitability of the candidate. The onus is on the client before
making a final decision to recruit.

C. All information provided by the client shall be treated as confidential.

D. The client agrees to notify Coach Guru once an offer for employment has been made to the
Candidate.

E. Further, any candidate introduced by Coach Guru will fall under the ambit of this agreement should
the candidate be employed by the client within 24 months of introduction.

 F. The Client indemnifies Coach Guru against any claims whatsoever and from whomsoever with
respect to services provided to the client.

G. This contract is valid for a period of one year from the date of signing.

2. Consultancy Fee

A. The fee is based on the Total Annual Gross Remuneration of the candidate. For clarity:

This shall cover all benefits received by the candidate. Besides salary, this would include, a company
vehicle, share options, performance bonus, and allowances for transportation, housing, and other
benefits whatsoever as mutually agreed upon for employment.

B. The success fee would be 6.5 % GST of the CTC upon each selected candidate. GST
and other applicable taxes if any would be extra.

3. Payment Schedule &Terms

A. Payment of the Fee is due on completion of 60 days from the date of commencement of
employment by the candidate. The fee is non-refundable.

B. The Client agrees to pay Coach Guru the fees in full as outlined under section 2.

C. Should the candidate leave the employment within 90 days which will be deemed as the
guaranteed period, Coach Guru will provide an appropriate replacement candidate for the same
role.

D. The reasons for retrenchment, redundancy, and change in job content or on account of any internal
reasons within the client company from what was initially understood by both parties shall deem
this guarantee null and void.

E. All fees should be made payable to Coach Guru Pvt Ltd. For an electronic transfer, the account
number will be communicated on the invoice.

This agreement is governed by the laws of India and is subject to the jurisdiction of the Courts only in the
state of Delhi.

These Terms of Engagement and Fees apply to each business conducted between the Client and Coach
Guru and cannot be changed without the written consent of a Director of Coach Guru and an authorized
representative of the Client.
