OEM AGREEMENT FOR SUGAR SYRUP

1. AGREEMENT TERMS

1.1 This OEM Agreement ("Agreement") is entered into on [Date] ("Effective Date") by and

7. INTELLECTUAL PROPERTY

7.1 Any intellectual property related to the sugar syrup, including but not limited to
formulations, recipes, and branding, shall remain the property of the Buyer.

7.2 Manufacturer agrees not to use, disclose, or reproduce the intellectual property without
the written consent of the Buyer.

8. CONFIDENTIALITY

8.1 Both parties agree to keep confidential any proprietary or confidential information
disclosed during the course of this agreement.

9. TERMINATION

9.1 Either party may terminate this Agreement upon written notice in the event of a material
breach by the other party.

9.2 Termination shall not relieve either party of any payment obligations accrued prior to the
termination date.

10. GOVERNING LAW

10.1 This Agreement shall be governed by and construed in accordance with the laws of
