MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This agreement made and entered into this _____________ in Davao City, Philippines, by and
between:

GEORGE B. ROSALES, of legal age, Filipino, married and a resident of Prk. 7, Nograles Avenue,
Bucana, Davao City herein referred to as the OWNER;
-and-
TRISHA ANN JASMIN VILLAFUERTE, also of legal age, Filipino, married and a resident of
University Avenue, Juna Subd., Matina, Davao City herein referred to as the DENTIST;
-WITNESSETH-
WHEREAS, the OWNER may/may not be a trained dental technician and has equipment and facilities
to operate and maintain a dental laboratory.

WHEREAS, the DENTIST is a duly licensed dentist located at 2 nd floor Villafuerte Bldg. Anda Street
Brgy.-3-A, Poblacion, Davao City.

NOW THEREFORE, the OWNER and the DENTIST hereby agreed that the latter shall provide
consultancy in the field of dental matters to the OWNER in the operation of Rosales Dental Laboratory
Located at Prk. 7 Nograles Avenue, Bucana, Davao City.

That the DENTIST as the DENTIST CONSULTANT to the OWNER in the operation of the said dental
laboratory, the DENTIST shall oversee the quality and the standards of the delivery of the delivery of
the laboratory services.

That as DENTIST CONSULTANT, the DENTIST shall see to it that the OWNER and any of his/her
personnel will not do illegal practice of dentistry such as taking of impressions, tooth/teeth extractions,
selling of orthodontic appliances/retainers etc.

That as DENTST CONSULTANT, the DENTIST will act as the overall adviser for the OWNER
whenever the latter encounter problems or concerns with the fabrication of dentures and other dental
appliances as prescribed by the other dentist-clients.

That the OWNER will refer all patients who comes to his laboratory asking for denture fabrication to
the DENTIST, where the DENTIST will be the one to take impression & do all those procedures
allowed by his/her profession and thus refer laboratory procedures to the OWNER.

IN WITNESS WHEREOF, the parties have here unto affixed their signatures as evidence of their
consent to the foregoing undertaking on ________________ in Davao City, Philippines.
