SUBJECT: - Intent for management Basis.

Dear sir,

We are Nexus Hospitality Services, hotel and restaurant management brand by Park enterprises.

Nexus Hospitality Services is giving you this later of intent, with the primary aim of (hotel).
Below are the terms and conditions which we feel are material to proposed agreement between us,

Nexus Hospitality Services and you, (hotel). Given as they are still for proposal and subject to our
final covenants, these terms and conditions are non- binding and will require to be made in final
contract for execution.
Pleased to present the following proposal,
Nexus Hospitality Services: -

1. Management charges will be 6% on gross sale per month. (cash or net banking)
2. Restaurant staff reporting and staff decisions will be taken by
Management only.
3. On duty if any accident happens management will be not responsible for such, this
comes in under hotel owner.
4. Any property damage or else in during operation, management will be not
responsible for that.
5. Staff advance will be done by hotel owner, and can cover as per brand policy.
6. All operations related to hotel will be held under management, if any quires hotel
owner can directly ask to management.
7. Management and hotel owner meeting will have held in every 7 days.
8. For weekly meeting management and manager (if require) will be present for,
 Upcoming events/offers.
 Revenue meeting
 Staff requirement or any staff regarding quires.
 Sale reports
 Monthly budget/business forecast
 Marketing strategies
 To develop the brand, standard, concept and brand culture.
9. Managements responsible person can give their time as per there plan.
10. All supplier payments done by neft/cheque in every 15 days.
11. Staff training will be done by management.

CONFIDENTIALITY: -

In the case that any confidential information should be exchanged between the parties, resulting
from negotiations under the terms and condition of this later, both parties shall agree to make any
necessary efforts to keep all information’s confidential.

The Nexus Hospitality Services concurs and commit to accept and hold the confidential
information with utmost care and assurance. Both parties possess and exchange certain
information considered as proprietary confidential information and properties. With this, both
parties agree to make available to the other any and all confidential information which may be
needed by the other for the submission and accomplishment of the business transactions.
PAYMENT TERMS:

 One time signing fee for hotel operations, management & Set up Rs. 3,00,000/ Rs. Three
Lac only.
1. 50% payment at the time of signing agreement
2. 50% Payment at the time of Opening date.

 Management charges
6% on Gross Sale or Rs. 60000/- per month whichever is higher.

TimeLine:

• The contract is valid for a period of 5 Five years with the lock in one year from the date of signing
of the Agreement, which includes project & pre-opening phase.

Terms & Conditions:

• Any additional area to be planned in futures which are not included in our present scope of work
will be chargeable extra.
• All boarding, lodging & Traveling Expenses will be borne on actual, by the client.
• In case of hold up of project or termination of agreement, bills raised till date of termination of
agreement will be paid in full. Service tax as applicable.

Disclaimer:

• Nexus Hospitality services., will be responsible for identifying various vendors for all
contractual works, sourcing, procurement of Equipment’s & the decision (for the area of scope of
work) to retainer & payments will be the sole responsibility of the client.
• Nexus Hospitality services. is only responsible for effective project consulting & is not
responsible for any delays in project due to untimely deliverables/execution by the architects,
interiors & other outsourced consultants & vendors.
• Nexus Hospitality services. Is NOT responsible for the Drawings and Coordination of MEP
Services i.e. HVAC/Plumbing/ DG/ Solar Panel/ Electrical Panel/ Transformer/Lifts etc.
