behalf of a private limited company with the name " MERCAN PROPERTY
COAST, LDA ", formerly known as “COMPATIBLE RECIPE, LDA.”, NIPC and
Tax number 516 411 918 headquartered at Rua Oliveira Monteiro, nº289, 2nd floor,

price of ONE HUNDRED AND EIGHTY-THREE THOUSAND FIVE

signatory, free of any liens or encumbrances, one four hundred and ninety-fifths

west - João Filipe Lopes do Rosário, described in the Land Registry Office of
Portimão, under number ten thousand one hundred and forty-four, registered in
favor of the selling company, in terms of presentation six thousand one hundred
and sixty-eight, of January thirteenth two thousand and twenty-three, inscribed in

------- 65 rustic, section AA, with a patrimonial value of € 76.34 and assigned of
ONE EURO;-----------------------------------------------------------------------------------

CENTS.
------- That, the selling company does not own any other rural properties adjoining
the aforementioned article and that this contract does not result in any acts of

------- TWO: For ONE HUNDRED AND FIFTY THREE THOUSAND FOUR
HUNDRED AND EIGHTEEN EUROS AND NINE CENTS, the urban
property, comprising building land - two hundred and ninety two dwellings, four
floors, destined for a tourist village, called "Lot number two", located in Vale da
Rocha, parish and municipality of Portimão, registered in favor of the selling
company, in terms of the presentation one thousand and seventeen, of October
seven of two thousand and twenty-two, described in the Land Registry of Portimão,
under number seven thousand three hundred and sixty-two, registered in the
matrix under the article 14235, with the patrimonial value of EUR 4.212.201,68.---

------- That, the authorization for allotment, titled by permit number eight bar ninety-
two, is registered by presentation fifty, of July eight, two thousand and three. ------
-----DECLARED BY THE SECOND GRANTOR: -----------------------------------
-----That, for whom it represents, accepts the present sale. ------------------------------
-----DECLARED BY BOTH GRANTORS IN THE INDICATED QUALITIES:

-----That the price in the amount of one hundred and eighty-three thousand five
hndred and one euros, indicated above, as well as the amount of ninety-six
thousand five hundred euros (including value-added tax), regarding
rehabilitation works to be performed in the building identified above, according to
the respective work contract, was paid today, in the amount of two hundred and
eighty thousand and one euros, through interbank transfer with the IBAN number
HU16135975391230101000226224, of Hdb Bank Europe Ltd. (Hungary), to the
account with IBAN number PT50 0007 0000 0065 7507 5172 3, of Novo Banco,
SA of which the first grantor grants discharge after good collection.-------------------
----------DECLARED FURTHER BY THE GRANTORS IN THE INDICATED
QUALITIES AND UNDER THEIR FULL LIABILITY: ---------------------------
------------That, the buyer acknowledges that seller's rights to develop and sell the
Quotas under a brand name and associated trademarks (collectively, the
"Trademarks") are governed by a License Agreement with that Brand. The
Trademarks will not continue to be associated with the Shares following termination
of such License Agreement for any reason. Neither the Trademarks nor any right or
license to use the Trademarks shall be deemed to be part of the Shares to be acquired
pursuant to this Agreement. Buyer acknowledges that it is not acquiring any right,
title or interest in and to the name or any of the Trademarks licensed to Seller. The
Brand does not have any ownership interest in the Shares or the Hotel, or any
responsibility or liability for the offering, marketing, sale or management of the
Shares. The purchaser has read and understands the relationship of the units to the
brand name and trademarks. -----------------------------------------------------------------
--------- The Buyer understands that seller has licensed the right to use the Brand
name and Trademarks and is not acquiring any rights to such name or Trademarks
by purchasing the Share.-----------------------------------------------------------------------
--------The Buyer understands that the Brand does not have (i) ownership interest in
the Hotel or the Shares, or (ii) any responsibility or liability for the marketing, sale
or management of the Shares.----------------------------------------------------------------
--------The Buyer understands that the Brand name and Trademarks will not continue
to be associated with the Hotel or Shares after termination of the License Agreement
between seller and such Brand for any reason. --------------------------------------------
------So they granted it. -----------------------------------------------------------------------
------I informed the representative of the selling company, of the obligation to
present to the representative of the buyer an energy certificate concerning the urban
article described in UM, hereby transmitted, pursuant to Decree-Law no. 118/2013,
of August 20, having warned them of the misdemeanors, fines and accessory
penalties provided for in the same diploma, by virtue of such omission.---------------
------After, pursuant to Article 40 of Law 15/2013 of February 8, warning the
grantors of the criminal liability they incur, they declare that there was no
intervention of any real estate agent in the conclusion of the business titled herein.-
-----I have verified the aforementioned registries and property elements by
consulting the permanent certificates with access codes PP-2708-46840-081103-
010144 and PP-2531-60855-081103-007362.----------------------------------------------
-----A photocopy, certified by the lawyer with professional card number 11490P, of
the certificate issued by Portimão City Hall on May 24, 2023, proving the favorable
opinion for the increase in number of compartments, is filed in this registry office to
instruct the deed drawn up on sheets Ninety four, of the respective Book One

the Algarve, within the scope of the purchase and sale contract herein titled;---------
------c) Copy certified by the lawyer with the professional card number 59115P, of
the certificate issued on 13/01/2023, by the Faro Notary's Office, under the
responsibility of the Notary Luís Rodrigues Valente, of the deed of purchase and
sale signed there on the same date, recorded on page thirteen of Book Four Hundred
and Eight, proving that for the urban part of the building described in ONE, was
issued use permit number 30, issued on 11/02/1982, by the Portimão City Council.-
-----This deed, to which I give PUBLIC TRUST, on behalf of the Portuguese State,
was dispensed reading, for all the interveners have so declared because they know
its content, having the same been expIicited. ----------------------------------------------
