PURCHASE RECEIPT/UNDERTAKING

WHEREAS:

1. Under and by virtue of an agreement dated ____of ______________, _______,

Mr. Lateef Abiola Kazeem sold his parcel of land/half of a plot at No.30,
Paul Okpla Street, Off Jamiu Lawal Crescent, Baruwa, Ipaja, Alimosho
Local Government Area, Lagos State to Mrs. Olanrewaju Aminat
Agbeke for her absolute use.

2. The Vendor has remained and enjoyed undisturbed possession of the

said parcel of land since then.

3. The Vendor has for valuable consideration agreed to sell, transfer and
convey his entire interests and rights in and over the land to Mrs.
Olanrewaju Aminat Agbeke (the present PURCHASER) free from all
encumbrances and the Purchaser has agreed to acquire same.

NOW IN CONSIDERATION of the payment of the sum of N10,500,000.00

(Ten Million Five Hundred Thousand Naira only) paid by the Purchaser to
the Vendor (the receipt of which the Vendor hereby acknowledges), the
Vendor as BENEFICIAL OWNER DEMISES UNTO the Purchaser the said
parcel of land for its absolute use.

THE VENDOR COVENANTS AS FOLLOWS:-

1. To indemnify Mrs. Olanrewaju Aminat Agbeke – the Purchaser against
all rival claimants on the said parcel of land.

2. To sign all documents, the Purchaser may need to perfect its title to
the land whenever the Purchaser needs his assistance or that of his
predecessor-in-title at no extra or new cost.

3. That this document shall serve as VALID RECEIPT for the sum of
N10,500,000.00 (Ten Million Five Hundred Thousand Naira only).
