DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ASSIGNMENT is made and executed by:

_____________, of legal age, Filipino, with postal address

_________________________., hereinafter called as the “ASSIGNOR”;

- and –

__________________, of legal age, Filipino, with postal address at

__________________________, hereinafter called as the “ASSIGNEE”.

WITNESSETH:

WHEREAS, the ASSIGNOR, is a stockholder of _________________ (hereinafter

referred as the “Corporation”) where he is a registered owner of ___________________
(___________) shares with a par value of One Hundred (Php 100.00) Pesos per share or an
aggregate amount of Two Hundred Thirty Four Thousand Three Hundred (Php 234,300.00)
Pesos, of which he has paid the total amount of _________________________ Pesos

WHEREAS, for valuable consideration, the ASSIGNOR has offered to assign,

transfer and convey unto the ASSIGNEE, his rights and interests to the aforesaid shares
of stock in the Corporation, and which the ASSIGNEE hereby accepts;

NOW THEREFORE, for and in consideration of the amount of

hereby acknowledged by the ASSIGNOR, the ASSIGNOR hereby assigns, transfers and
convey unto the ASSIGNEE all the rights, title, interest and claims in and to the

One Hundred (Php 100.00) Pesos per share, with an aggregate value of
________________________ (Php _____________) Pesos, recorded in the name of the
ASSIGNOR, including all the benefits pertaining to said shares, free from all claims,
liens, charges and encumbrances and ASSIGNOR do hereby request the corporation to
cancel the said shares registered in his name and to subsequently record the same in the
name of herein ASSIGNEE with the same force and effect given to and enjoyed by
all existing stockholders of the corporation.
