ADDENDUM TO THE CONTRACT OF LEASE FOR THE RENEWAL

OF THE TERM THEREOF AND OTHER CONDITIONS

KNOW ALL MEN BY THESE PRESENTS:

This Addendum is made and entered into by and between:

_______________________, a corporation duly organized and existing

under and by virtue of the laws of the Philippines with principal place of business
address at ________________________________________ represented by its
General Manager, _________________, hereinafter referred to as the “LESSOR”;

_______________________________, corporation duly organized and

existing under and by virtue of the laws of the Republic of the Philippines, with
office address at _________________________________________, represented
by its __________, Mr./Ms._______________, hereinafter referred to as the
LESSEE.

WITNESSETH: That

WHEREAS, on _______________, the parties executed a Contract of Lease before

Notary Public _______________ and entered in his/her Notarial Register as Doc. No.: _____;
Page No.: _____; Book No.: _____; Series of _____, for the lease of __________ of the
commercial area known as the Northdrive situated at Ouano Avenue, North Reclamation Area,
Mandaue City, for the period from __________ to __________;

WHEREAS, the term of the aforesaid Contract of Lease has expired on __________;

WHEREAS, the parties have agreed to renew the term of the Contract of Lease by
extending the period from __________ to __________ and to incorporate other amendments
agreed upon;

NOW, THEREFORE, for and in consideration of the foregoing terms and conditions
herein stipulated and for the strict compliance thereof, the parties have agreed to the following
terms and conditions:

1. RENEWAL/EXTENSION OF THE TERM. The parties have agreed to renew and extend
the term of the Contract of Lease covering the area of __________ square meters for
_________ (_____) years from __________ to __________. In the event that the LESSEE desires
to renew or extend the term of the lease, it shall notify the LESSOR in advance by serving on the
latter written notice of such intention at least six (6) months prior to the expiration of the
renewed or extended term.

2. RENTAL and CUSA FEES. The parties have further agreed that the monthly rental shall
be _________________________.

3. VALIDITY OF ORIGINAL CONTRACT OF LEASE. All other terms and conditions contained
in the Contract of Lease dated __________ including all annexes and attachments thereto and
such other related documents shall remain valid, existing and enforceable insofar as they are
not inconsistent herewith.
