This RFP does not purport to commit or bind Ashghal in any manner whatsoever to proceed to the RFP
stage or to the awarding of a contract. Ashghal reserves its absolute, complete and unfettered right to, at
any time and for any reason whatsoever, disregard all Bids and to terminate at will the competitive selection
process and may, at its discretion, proceed with the Project in some other manner, with no liability to any
party whatsoever.
Each Respondent is solely responsible for all costs it incurs in the preparation of its Bid, including without
limitation all costs of providing information requested by Ashghal, attending meetings and conducting any
due diligence. Under no circumstances will Ashghal or any of its advisors be liable for any costs or expenses
borne by the Respondent or any of its advisors in this process, nor shall they be liable for any damages or
consequential damages whatsoever, which may arise out of the process.
Ashghal reserves the right, in its absolute discretion, with no liability whatsoever to:
a. amend the scope of the Project, modify, cancel or suspend the RFP process or any or all stages of the
procurement process, at any time for any reason;
b. waive a defect or irregularity in the form or content of any RFP;
c. re-advertise for new responses, call for tenders, or enter into negotiations for this Project or for work
of a similar nature;
d. make any changes to the terms of business opportunity described in this RFP; and
e. extend, from time to time, any date, time period or deadline provided in this RFP.
All Bids submitted to Ashghal shall become the property of Ashghal immediately upon such submission.

Definitions
Capitalised terms used in this Schedule have the respective meanings set forth in Agreement or as defined in the
Schedule 4 (Service Requirements).

Acceptance Tests has the meaning as defined in the Agreement

Agreement has the meaning as defined in the Agreement

Approvals has the meaning as defined in the Agreement

Ashghal has the meaning as defined in the Agreement

means the facility under the control of Ashghal, which is not part of the
Ashghal Master Operations Centre Project, but the Project Company shall be obligated to connect the SCADA
facilities under the Project for monitoring and reporting purposes

means management of Project Assets by the Project Company as per the

requirements of the Asset Management Plan

mean a plan (including the Asset Register) as prepared and submitted

means the plan prepared and submitted by the Project Company pursuant to
section 3.2.13 of Schedule 9 (Reporting and Submission Requirements) and in
Traffic Management Plan (services) line with requirements set out in section 2.12 of Schedule 4 (Service
Requirements) including any other obligations set out elsewhere in the
Agreement

TSE Delivery Points has the meaning as defined in the Agreement

TSE Pump Station has the meaning as defined in the Agreement

1. General
1.1 General Obligations

The Project Company shall provide the services as described in this Schedule 4 (Service Requirements)
throughout the Commercial Operation Period which shall commence from the Project Commercial
Operation Date as certified by the Commercial Operation Certificate issued under Schedule 3 (Acceptance
and Availability Test Requirements).

During the Commercial Operation Period, in general terms the Project Company shall operate and maintain
the Project Assets in accordance with the Agreement, this Schedule 4 (Services Requirements), Schedule 6
(Guaranteed Output Performance Requirements), Schedule 7 (Metering and Monitoring Requirements)
and shall remedy any defects in the Project Assets.

1.2 The Services

The Project Company shall be responsible for providing the following services at all times during the
Commercial Operation Period:

(i) ensure, in coordination with Ashghal and other Competent Authorities, that the Approvals for
Operations and maintenance of the Project Assets are valid;

(ii) ensure that the Project Assets remain fit for purposes intended;

(iii) recording and making available to the Ashghal all information related to the performance of the
Project Assets, as set out in the Agreement;

(iv) ensuring the adequacy, stability and safety of all operations on the Project Site and of all Project
Assets;

(v) providing the Project Assets and Project Company’s documents specified in the Agreement, and all
Project Company’s personnel, goods, consumables and other things and services, whether of a
temporary or permanent nature, required to meet the Project Company’s obligations under the
Agreement;

(vi) operation of the TPS to continuously receive, screen and pump all Influent from the MTS as it arrives
at the TPS to STW Facilities without allowing storage of foul sewage flow in the MTS even under the
Peak Influent Event, Off Specification Influent Event and Polluted Influent Event, except under
conditions that are outside the control of the Project Company;

(vii) operation of the STW Facilities to continuously receive and treat all Influent from the TPS as it
arrives except under conditions that are outside the control of the Project Company in a manner that
meets the Guaranteed Output Performance Requirements set out in Schedule 6 (Guaranteed Output
Performance Requirements).

(viii) operation of the STW Facilities to continuously receive and treat all Influent from the Tanker
Reception Facility as it arrives except under conditions that are outside the control of the Project
Company and other obligations set out in Agreement in a manner that meets the Guaranteed Output
Performance Requirements set out in Schedule 6 (Guaranteed Output Performance Requirements).

(ix) operation of the Sludge Treatment Facilities to continuously receive and treat all primary and
secondary sludge from the Liquid Treatment Facilities and produce USEPA Class B sludge in a
manner that meets the Guaranteed Output Performance Requirements set out in Schedule 6
(Guaranteed Output Performance Requirements) except under conditions that are outside the
control of the Project Company and also meet all other obligations set out in Agreement.

(x) operate renewable energy facilities and generate, recover heat and / or power from the digester gas
produced from anaerobic digestors to offset the electrical power demand of the Project Assets in a
manner that meets the Guaranteed Output Performance Requirements set out in Schedule 6
(Guaranteed Output Performance Requirements) except under conditions that are outside the
control of the Project Company and also meet all other obligations set out in Agreement.

(xi) perform Availability Testing for the Project Assets pursuant to the requirements and conditions
stipulated in Schedule 3 (Availability and Acceptance Test Requirements) and Schedule 7 (Metering
and Monitoring Requirements) and any other obligations mentioned elsewhere in the Agreement.

(xii) proper treatment, handling and management of all residuals generated from the Project Assets,
including transport and disposal of coarse screening, rubbish, Grit, Fine Screenings and Dewatered
Sludge Cake generated and/or treated by the Project Assets in line with the Agreement and this
Schedule 4 (Service Requirements) and Schedule 6 (Guaranteed Output Performance
Requirements);

(xiii) operation of the Project Assets to continuously control odour and air emissions in a manner that
meets the Guaranteed Output Performance Requirements set out in Schedule 6 except under the
conditions that are outside the control of the Project Company;

(xiv) continuously operate Project Assets in a manner that meets the Guaranteed Output Performance
Requirements set out in Schedule 6 including the pathogen log removal stipulated in Part 1 Project
Overview and Design Requirements, Schedule 2 Design and Construction Requirements except
under the conditions that are outside the control of the Project Company;

(xv) provision and management of transport of Grit, Fine Screenings, Dewatered Sludge Cake, coarse
screenings and rubbish to a designated landfill located within a maximum radius of 75 km of the
Project Site or beneficial use sites such as waste to energy facility or any other site as per the Disposal
Management Plan and as agreed with Ashghal;

(xvi) coordination with Ashghal concerning the quantities of TSE distribution to the TSE Delivery Points
as per the direction of Ashghal. The Project Company shall manage storage or disposal of excess TSE
through Deep Injection Wells or evaporation when there is a difference between supply and demand;

(xvii) carry out continuous metering and monitoring, sampling, laboratory analyses, and reporting, as
necessary for process control and for demonstrating compliance with the Guaranteed Output
Performance Requirements set out in Schedule 6 in line with Schedule 7 – Metering and Monitoring
Requirements and Schedule 9 – Reporting and Submission Requirements;

(xviii) provide Ashghal with the ability to monitor specified processes and systems and to check all data,
records and process control status reports via Ashghal Master Operations Centre data link. Proper
documentation related to operations and maintenance must be presented for review upon request
by Ashghal;

(xix) carry out continuous maintenance and preventative repairs of the Project Assets in accordance with
the Asset Management Plan, prepared in accordance with Schedule 9 (Reporting and Submission
Requirements); and

(xx) undertake equipment replacement and capital maintenance as needed proactively and in accordance
with the Asset Management Plan as per the requirements stipulated in this Schedule 4 Service
Requirements and any other obligations set out elsewhere in the Agreement.

2. Key Service Delivery Requirements


Operation and Maintenance Requirements

The Project Company shall, for the duration of the Commercial Operation Period, implement, regularly
update, and comply with the Operation and Maintenance Plan, prepared and submitted in accordance with
section 3.2.1 of Schedule 9 (Reporting and Submission Requirements) describing how the Project Company
intends to deliver the services described therein, as well as the Operation and Maintenance obligations set
out elsewhere in the Agreement.

Operations and maintenance shall include but not be limited to:

 Monthly Reporting (section 2.2)

 Asset Management (section 2.3)

 Disposal Management (section 2.4)

 Odour Management (section 2.5)

 Scheduled and Unscheduled Maintenance (section 2.6)

 Capital Maintenance (section 2.7)

 Contingency Management (section 2.8)

 Staffing (section 2.9)

 Management Systems (section 2.10)

o Quality Management System

o Environmental Management System

o Health and Safety Management System

 Traffic Management (section 2.11)

Monthly Reporting

During the Commercial Operation Period, the Project Company shall prepare the Monthly Operating
Reports. The submission requirements of the Monthly Operating Reports are set out in section 3.2.15 of
Schedule 9 – Reporting and Submission Requirements.

Apart from that the Project Company shall prepare and provide daily reports as set out elsewhere in the
Agreement.

Asset Management

For the duration of the Commercial Operation Period, the Project Company shall provide Asset Management
in accordance with the Asset Management Plan (including the Asset Register) as prepared and submitted
pursuant to clause 3.2.2 of Schedule 9 – Reporting and Submission Requirements and in accordance with
the requirements for the Assets Management set out herein, and any annual review and updates of the Asset
Management Plan, as well as Asset Management obligations set out elsewhere in the Agreement.

The Project Company shall deliver Asset Management so as to:

 ensure monitoring of the condition and performance of the Project Assets; and

 implement processes and the procedures to ensure that assets are managed, operated and maintained
and renewed such that they are fit for purpose and are capable of delivering the required services during
the Commercial Operation Period and meet the requirements set out in Schedule 8 Handback
Requirements.

 provide an appropriate balance of innovation compared with convention to ensure a cycle of continuous
improvement; and

 enable the Project Company to meet any investment requirements of or agreed by the Project Company
with Ashghal and any other Competent Authorities.

Disposal Management

For the duration of the Commercial Operation Period, the Project Company shall provide Disposal
Management in accordance with the Disposal Management Plan prepared and submitted pursuant to section
3.2.4 of Schedule 9 – Reporting and Submission Requirements and in accordance with the requirements for
the Disposal Management set out herein, and any annual review and updates of the Disposal Management
Plan, as well as Disposal Management obligations set out elsewhere in the Agreement.

Disposal from the Project Site shall comply with the following requirements:

 The Project Company shall ensure that TSE, Dewatered Sludge Cake, Grit, Fine Screenings comply with
the Guaranteed Output Performance Requirements set out in Schedule 6 (Guaranteed Output
Performance Requirements) prior to disposal.

 TSE:

o TSE complying with the Guaranteed Output Performance Specification set out in Schedule 6
(Guaranteed Output Performance Requirements) shall be dispatched to TSE Delivery Points
as per TSE Dispatch Requirements described in the Agreement.

o The TSE quantity, rate of disposal and the destination (TSE conveyance network or Deep
Injection Wells) shall be coordinated with Ashghal as part of TSE Dispatch Requirements

o TSE shall not be disposed to any other location without written agreement from Ashghal.

 Dewatered Sludge Cake: Dewatered Sludge Cake complying with the Guaranteed Output Performance
Requirements set out in Schedule 6 (Guaranteed Output Performance Requirements) shall be delivered
by truck to a landfill or beneficial use site as agreed with Ashghal.

 Grit and Fine Screenings: Grit and Fine Screenings from the inlet works shall be transported by truck
to a landfill or waste to energy facility site or beneficial use site as agreed with Ashghal.

 Coarse screenings and any rubbish generated from the Project Site shall be disposed safely in an
environmentally acceptable manner and comply with local regulations by the Project Company.

The landfill site shall be located 75km or less from the Project Site. The Project Company shall submit details
of the selected landfill site as part of the Disposal Management Plan.

It is envisaged that a waste to energy facility will be developed by MME in the near future Ashghal may
request the Project Company to deliver the By-Products to the waste to energy facility site or any other
beneficial use site instead of the landfill site, the Project Company is obligated to deliver the By-Products as
per Ashghal’ s request without any additional cost.

All fees and charges associated with the disposal and use of the landfill site or waste to energy facility site or
any other beneficial use site shall be paid by the Project Company. The Project Company shall be responsible
for obtaining any Approvals required for the use of the landfill site or waste to energy facility site or any other
beneficial use site.

Ashghal shall only provide assistance with Approvals where stated in Clause 4.2 - Ashghal’ s obligations in
relation to Approvals of the Agreement.

The Project Company shall be responsible for transporting Dewatered Sludge Cake, Grit, Fine Screenings
and any other materials or items that require removal from the Project Site in coordination with Ashghal.
Any vehicle, equipment or machinery used for the transportation process shall be fit for this purpose and
designed to prevent environmental and health hazards. Dewatered Sludge Cake stored at the Project Site
shall be contained inside sealed vessels.

Odour Management

For the duration of the Commercial Operation period, the Project Company shall provide Odour
Management in accordance with the Odour Management Plan prepared and submitted pursuant to section
3.2.5 of Schedule 9 (Reporting and Submission Requirements) and in accordance with the requirements for
the Odour Management set out herein, and any annual review and updates of the Odour Management Plan,
as well as Odour Management obligations set out elsewhere in the Agreement.

Odour Management, as set out specifically in the Odour Management Plan shall include an odour response
plan and odour control practices, as well as odour reporting procedures for the Project Assets.

Odour Management shall comply with section 3.3.1 Guaranteed Output Performance Requirements set out in
Schedule 6 and shall include but not limited to:

 implementation of daily Project Site boundary surveys by the Project Company personnel at the
beginning of each day shift, to detect and record odour intensity and characteristics and for determining
the potential on-site or off-site source of any detected odour along the perimeter of the Project Site.
Such information shall be recorded in a permanent log;

 installation of portable hydrogen sulphide (H2S) detectors at strategic locations at each site to monitor
and record the air quality and which are set up to trigger an alarm when levels exceeding pre-set limits
are detected;

 installation of a weather station at the Project Site, to continuously monitor and record weather
conditions, including wind direction and speed, air temperature, barometric pressure, humidity and
precipitation;

 implementation of odour control operating, maintenance and housekeeping procedures at the Project
Site to eliminate odours;

 development and implementation of an operating checklist or log forms to record the status of odour
control system equipment for each odour control system. The information to be recorded for each odour
control treatment unit shall include airflow and pressure drop across the unit;

 standard operating procedures to optimise the performance of all odour control systems, including
chemical addition measures, checking for breakthrough of odours from odour control systems, checking
the condition of media, etc. The procedures shall identify what parameters shall be monitored and the
procedures to be followed to maintain the target operating range for each odour control system and
determine when replacement of odour control materials, such as media, is necessary to maintain
effective odour control;

 maintenance schedule and procedures for all odour control systems procedures to address odour
control when an odour control system is out of service for preventative or corrective maintenance;

 procedures to confirm that air is being properly collected from individual process units through pressure
monitoring and smoke testing:

 establishment of an odour response plan to investigate all odour complaints related to the Project
Assets. Ashghal shall be notified of any odour complaint within a reasonable period but in no event later
than 24 hours after the Project Company’s receipt of the complaint; and

 the Project Company shall submit an Odour Management Plan update to Ashghal on monthly basis,
with all the activities carried out as part of the Odour Management.

Scheduled and Unscheduled Maintenance

The Project Company shall be obliged to ensure that the design capacity of all the Project is available at all
times during Commercial Operation Period and provide all services listed in section 1.2 of this Schedule 4 (
Service Requirements) including times during scheduled maintenance, unscheduled maintenance and
Capital Maintenance.

Scheduled Maintenance

For the duration of the Commercial Operation Period, the Project Company shall provide Scheduled
Maintenance in accordance with the Scheduled Maintenance Programme prepared and submitted pursuant
to section 3.2.7 of Schedule 9 (Reporting and Submission Requirements) and in accordance with the
requirements for the Scheduled Maintenance Programme set out herein, and any review and updates of the
Scheduled Maintenance Programme, as well as Schedule Maintenance obligations set out elsewhere in the
Agreement.

 The Project Company shall prepare a Scheduled Maintenance Programme for each quarter of the
Commercial Operation Period, prepared and submitted in accordance with section 3.2.7 of Schedule 9
(Reporting and Submission Requirements), with all Scheduled Maintenance activities included in
compliance with this Schedule 4 (Service Requirements) and the Agreement. The Project Company shall
put in place a computer maintenance management system to manage all maintenance activities,
including all reporting requirements. This system will address the following matters:

 Scheduled Maintenance;

 failures of mechanical and electrical equipment;

 assessment of failure events;

 work orders;

 reporting; and

 stock management.

2.7.1 Unscheduled Maintenance

For the duration of the Commercial Operation Period, the Project Company shall undertake maintenance
that is not included in Schedule Maintenance as follows:

In case of unscheduled maintenance, the Project Company shall use reasonable endeavours to avoid or
minimise interruption to provision of the services. However, this shall in no way relieve the Project Company
of the Project Company’s contractual obligations, and the services stipulated in section 1.2 of this Schedule 4
(Service Requirements).

Capital Maintenance

For the duration of the Commercial Operation Period, the Project Company shall undertake Capital
Maintenance for all Major Equipment, in accordance with the Capital Maintenance Programme prepared
and submitted pursuant to section 3.2.8 of Schedule 9 (Reporting and Submission Requirements).

Major Equipment includes all equipment with an installed value of one hundred thousand Qatari Riyals
(QAR 100,000.00) or more.

The Project Company shall complete and submit a Capital Maintenance Programme indicating the most
probable years the Project Company will perform Capital Maintenance and/or replacement of each piece of
Major Equipment in accordance with Good Utility Practice and manufacturer’s recommendation.

Project Company shall carryout the repair and replacement of membrane filtration modules as per
manufacturer’s recommendation. Shall consider carrying out necessary monitoring of all the
critical parameters in agreement with Ashghal.

Contingency Management

The types of Contingency Events to be included within the Contingency Plan, shall include, as a minimum:

 contamination disposals;

 the occurrence of any epidemic or disease in the human, farm animal or wild animal populations that
has affected or prevented or may affect or prevent, the carrying out of the services;

 breach of security at any asset;

 loss of the services;

 electrical power outages;

 significant asset damage;

 any event likely to cause significant press, public or media interest;

 labour strike or shortage;

 pollution of the environment; and

 a civil emergency or any event threatening national security.

For the duration of the Commercial Operation Period and in the event of any of the Contingency Events, the
Project Company shall adhere to the actions set out in the Contingency Plan that has been prepared and
submitted in accordance with section 3.2.9 of Schedule 9 (Reporting and Submission Requirements).

The Project Company shall review and update the Contingency Plan on an annual basis on the anniversary
of the Project Commercial Operation Date.

Staffing

For the duration of the Commercial Operation Period, the operators and maintenance personnel for the
services provided by the Project Company shall be appropriately qualified, skilled and experienced in their
respective trades or occupations to perform the services.

For the duration of the Commercial Operation Period, with respect to staff the Project Company shall:

 provide sufficient, experienced personnel to provide for the effective management, operation, and
maintenance of the Project Assets on a continuous basis (i.e. twenty-four (24) hours per day, seven (7)
days per week);

 provide all the personnel required for the managerial, technical, supervisory and administrative roles
and responsibilities and the labour necessary to operate and maintain the Project Assets safely and
efficiently;

 ensure that the qualifications and capability of personnel are appropriate for the task they are assigned
to perform;

 ensure that all personnel are properly trained and/or supervised in the operation and maintenance of
the Project Assets;

 keep and maintain records of training of all personnel at the Project Assets. The Project Company shall
make available such records for inspection by Ashghal on request;

 ensure that new personnel and any personnel reallocated to different duties, are properly trained and
supervised until they have been fully trained and are sufficiently experienced to carry out their new
duties independently; and

 ensure that all personnel are appropriately supervised and managed to provide the services and
maintain the Project Assets to the required service standard in a safe manner.

The submission requirements of the Staffing Plan are set out in section 3.2.10 of Schedule 9 (Reporting and
Submission Requirements).

Management Systems

The following sections set out requirements of the Project Company’s Management System.

2.11.1 General

For the duration of the Commercial Operation Period, the Project Company shall implement:

(i) a Quality Management System;

(ii) an Environmental Management System; and

(iii) a Health and Safety Management System.

The Management Systems shall cover all aspects of the Project sufficient to demonstrate that the Project
Company shall meet all the Project Company’s obligations under the Agreement.

Ashghal shall be entitled to audit any aspect of the Management Systems. Details of all procedures and
compliance documents shall be submitted to Ashghal for information prior to commencement of Project
Commercial Operation Date.

Where the Management Systems are required to be certified, the Project Company shall ensure that the
Management Systems and the implementation of the Management Systems are audited by an independent
third-party assessment body.

The Management Systems shall be appropriately linked to and/or integrated with the various plans required
by Schedule 9 (Reporting and Submission Requirements) of the Agreement to be developed and maintained
by the Project Company.

Details of the Project Company's Management Systems shall be set out in the Quality Management Plan
(services), the Environmental Management Plan and the Health and Safety Management Plan.

2.11.2 Quality Management

The Project Company shall adhere to a Quality Management System, which it shall prepare and submit in
accordance with Schedule 9 (Reporting and Submission Requirements).

The proposed Quality Management System shall comply with applicable regulations and in accordance with
governing Laws, Good Utility Practice and as per agreement with Ashghal.

The Project Company shall institute a Quality Management System to demonstrate compliance with the
requirements of the Agreement.

Ashghal shall be entitled to audit any aspect of the system. Details of all procedures and compliance
documents shall be submitted to Ashghal for information prior to commencement of Project Commercial
Operation Date.

The Quality Management System shall as a minimum:

 comply with the requirements of ISO 9001 or equivalent (or such other quality standards as may replace
or supersede the same); and

 address the training needs of the Project Company’s personnel (the Project Company shall assess the
training needs of its personnel at least annually and shall maintain records of education, experience,
and training of personnel);

 with regard to services, include procedures such that a successor to the Project Company could, if
required, commence the provision of the services without undue expenditure immediately on expiry or
termination of the Agreement.

The Project Company shall submit his certificate of certification to ISO 9001 to Ashghal for information
purposes.

The Quality Management System shall incorporate requirements of the Quality Management Plan (services,
including certification of the Quality Management System) set out in Schedule 9 (Reporting and Submission
Requirements), and any annual review and updates of the Quality Management Plan (services).

2.11.3 Environmental Management

The Project Company shall, at all times during the Commercial Operation Period, take all reasonable steps
to protect the environment (both on and off the Project Site) and to limit damage and nuisance to people and
property resulting from pollution, noise and other results of his operations.

The Project Company shall ensure that emissions, surface discharges and effluent from the Project
Company’s activities shall not exceed the values prescribed by governing Laws or Approvals.

The Project Company shall adhere to an Environmental Management Plan, which it shall prepare and submit
in accordance with Schedule 9 (Reporting and Submission Requirements).

The Project Company shall implement an Environmental Management System which shall comply with the
requirements of ISO 14001 or equivalent and in accordance with IFC Performance Standards.

The Project Company shall obtain certification of the Environmental Management System in respect of the
services.

The Environmental Management System shall incorporate requirements of the Environmental Management
Plan (including certification of the Environmental Management System) set out in Schedule 9 (Reporting

and Submission Requirements), and any annual review and updates of the Environmental Management
Plan.

As part of the Environmental Management Plan, the Project Company shall develop an Operational
Environmental Management Plan (OEMP). The OEMP would cover the operation of all components of the
Project Assets and address all environmental management of the operational activities.

Such OEMP developed by the Project Company must also be approved by the Ministry of Municipality and
Environment (“MME”), prior to Project Commercial Operations Date.

The required OEMP should be prepared by specialist environmental consultant registered with the MME.

OEMP shall be submitted for the MME much prior to commencement of Acceptance Tests in such a way that
there shall be no permit-related delays. OEMP typical requirements are listed below, however it is advised
that the Project Company shall take into consideration all the latest MME requirements based on proper due
diligence:

a) details of proposed maintenance and monitoring programs;


b) normal working hours and procedures for ‘on-call’ management;
c) responsible personnel and defined responsibilities;
d) established operating procedures for all site activities, including normal and abnormal operation,
routine and major maintenance;
e) environmental quality controls;
f) response plans for contingency events;
g) non-compliance handling procedures;
h) reporting requirements and auditing procedures;
i) the appropriate standards and protocols for the necessary controls, monitoring and remediation
measures;
j) monitoring systems and management review of plans and progress toward achieving objectives and
goals;
k) community liaison, contacts line, complaints register and feedback systems; and
l) environmental training and education at all levels.

2.11.4 Health and Safety Management

The Project Company shall at all times during the Commercial Operation Period take all reasonable
precautions to maintain the health and safety of the Project Company’s personnel, in compliance with all
applicable safety regulations and in accordance with QCS 2014, governing Laws, Approvals, Good Utility
Practice and as per agreement with Ashghal.

The Project Company shall take care for the safety of all persons entitled to be on the Project Site and use
reasonable efforts to keep the Project Site clear of unnecessary obstruction so as to avoid danger to these
persons.

The Project Company shall adhere to a Health and Safety Management Plan, which it shall prepare and
submit in accordance with Schedule 9 (Reporting and Submission Requirements). The content of the Health
and Safety Management Plan shall be in compliance with QCS 2014, governing Laws, Good Utility Practice
and as per agreement with Ashghal.

The Project Company shall implement a Health and Safety Management System which shall comply with the
requirements of OHSAS 18001 or equivalent and in accordance with IFC Performance Standards.

The Project Company shall obtain certification of the Health and Safety Management System in respect of
the services.

The Health and Safety Management System shall incorporate requirements of the Health and Safety
Management Plan (including certification of the Health and Safety Management System) set out in Schedule
9 (Reporting and Submission Requirements), and any annual review and updates of the Health and Safety
Management Plan.

Traffic Management

The Project Company shall adhere to a Traffic Management Plan (for services), which it shall prepare and
submit in accordance with Schedule 9 (Reporting and Submission Requirements).

During the Commercial Operation Period, the Project Company shall obtain any Approvals from relevant
Competent Authorities for road closures or diversions and provide appropriate traffic control or diversion
signs if needed.

The Project Company shall be responsible for traffic management of all vehicles arriving and departing the
Project Site including septage tankers to the Tanker Reception Facility, trucks and other vehicles disposing
off coarse screenings, Grit, Fine Screenings, Dewatered Sludge Cake and any other material.
