WE, the undersigned are desirous of forming a Society namely “SRI DURGA
MALLESWARI EDUCATIONAL SOCIETY! under the Societies Act 35 of 2001 in
pursuance of this Memorandum of Association of the Society.
We further declare that :-
(a) Certified that the Organisation is formed voluntarily and with no profit motive
in its working ;
(b) Certified that the Organisation would not engage in agitational and wade union
activities to ventilate its grievances
(c) Certified that the Office bearers are not paid from the funds of the Society and
all the funds/Income of the Soceity will be solcly utilised towards the objecis
of the society and no portion of it will be used for payments to the office
bearers/members by way of Profit or otherwise :
(a) That it is formed voluntarily for Charitable purpose and this instrument did
not contain any provisions for the transfer or application wholly or partly ol
income for the purposes of other than Charitable.
(e) That no activity of the Society will be carried out anywhere outside India,

ARTICLES OFASSOCIATION
1. Name of the Society: SRIDURGA MALLESWARI EDUCATIONAL SOCIETY"

3. Membership : The membership of the Society is open to all who
accepts/endorses the aims, goals and objectives of the
Society and having a philanthropic and charitable
outlook and pledge his/her services for the Society's
growth irrespective of caste, creed, race, religion or sex
subject to the approval of Governing Body; Every
member shall pay Rs.1000/- as entrance fee (one time)
and Rs.100/- per annum regularly as membership fee
during the month of April every year, in order 10 be
eligible to be enrolled/renewed as a general body
member, every year.
4, Termination of the
membership : The membership shall get terminated :~
a. On Resignation:

c. On adjudication as
insolvent;
. The governing body giving a finding by 2/3rds
(Two-
thirds) majority thet the activities of any members(s)
is/are detrimential to the interests of the Society and
the same shall be ratified by the General Body.
5. GENERALBODY
The General Body of the Society shall consist of the members as mentioned in

R Vewkals Keo —6 FUNCTIONS OF THE GENERAL BODY :
01. The General Body shall meet once in every year in month of June or extended
date as may be decided upon by the Governing Body and such meeting shall
be called “ANNUAL GENERAL MEETING
02. ‘The General Body shall have the power and authority to transact
a) to review the activities of the society and also to scrutinise and accept
the various action plans as submitted by the Governing Body :
b) to review and approve the audited statements of accounts af the Society
and the institutions under review its management.
©) to discuss and pass the Annual Budget(s) as recommended by the
Governing Body for the ensuing year
d) to set up guidelines and targets for the achievement of the objects of the
Society ;
03. The General/Body shall have the power to appoint auditors, who shall hold
office till the conclusion of the next annual general body meeting ;
04. The General body shall have the power to write off any arrears or authorise the
Governing Body to deal with or compromise any litigation proceedings :
05. THE GENERAL BODY SHALL ELECT ON
MEMBERS OF THE GOVERNING BODY FROM AMONG ITS
(IN THE ANNUAL GENERAL MEETING) ;
06. THE GENERAL BODY SHALL HAVE THE POWER TO ADD, AMEND.
REPEAL, CANCEL FROM TIME TO TIME ANY OF THE CLAUSES OR
RULES OF THE SOCIETY, BY RESOLUTION WITH 3/5ths (three-fifths)
MAJORITY OF THE TOTAL MEMBERS PRESENT ;
07. MEETING (s) OF THE GENERAL BODY :
1. ‘The Ordinary meeting of the General Body should be convened by
the Secretary with fifteen clear days notice once in a year in the
month of june or such extended date as may be decided upon by the
Governing Body and such meeting shall be called as ‘Annuel
General meeting! and it will be held once and only once every year.
I. Emergency meeting : The Chairman or the Secretary may convene
meeting on his/her own initiative to transact any matters of urgent
importance with notice’ of 3 clear days ;

place and time of the meeting with details of Agenda and shall be
despatched under certificate of posting or delivered personally
obtaining acknowledgements :
IV, Emergency meeting-by requisition ; On a requisition made by the
1/3rd (One-thirds) members of the General body, the Secretary shal)
convene a meeting of General body to discuss the matters mentioned
- in the requisition meeting. If the secretary fails to convene such
within 15 days after the receipt of the requisition notice, the
chairman may convene such meeting within 7 days thereafter and if
the Secretary and Chairman also fail to convene the meeting as
stated above, the members, orginally requested for the meeting may
by themselves convene the same by giving 7 days notice to all the
members and the proceedings of such meeting shall be valid and
binding on all the members of the Society.
V. Procedure : Any member of the General Body shall have the right
to send proposals in writing to the Secretary for inclusion in the
Agenda at least 10 days before the General Body meeting, All
mattets in the General Body shall be decided by & vote of simple
majority of the members present Fat the meeting and in the event of
atie, the Chairman shall have a casting vote.
VI. Quorum ; The quorum of the General Body meeting shall be 1/3rd
(one-third) of the total members and shall not be less than 4 at any
time. If there is no quorum, the meeting shall stand adjourned to the
same day in the next week. If there is no quorum at such a re-
convened meeting also atleast tivo members attending the said
reconvened meeting will be a valid quorum to conduct the
proceedings.
08. Management
‘The management and administration of the Society shall vest in the Governing Body
of the Society duly constituted under para (9) below.
09. GOVERNING BODY :
The Governing Body shall consist of a total seven members consisting of Chairman,
Vice-Chairman, Secretary & Correspondent, Joint Secretary, Treasurer and Six
Members.
The members of the Governing Body shall be elected once in every three years at the
‘Annual General Meeting of the General Body in the month of June or such extended
date as may be decided upon by the Governing Body and that such extension shall not
= exceed 3 months. They shall hold office for a period of 3 years from the date of their
“election or until the members of the new Governing Body are elected.
‘The Goveming Body members shall elect a Chairman, Vice Chairman, Secretary &
Correspondent, Joint Secretary from among themselves within 48 hours from the

The Governing Body shall have the power and authority to Co-opt persons not
exceeding 4 (four) from different walks of lite, viz, Philanthropists, men of repute und
letters, elected representatives and officials from various Government agencies.
undertakings and departments, and other resource persons to the Governing Body and
~ these persons shall hold the Governing Body membership (office) upto the last day of
the term of the existing Governing body as on the date of their Co-option. ‘The
General membership norms and procedures of election shall not apply to this category
of Governing body members.
10. FUNCTIONS OF THE GOVERNING BODY
The Governing body shall ;
a) exercise General control over the policies of the Society establish and
maintain good traditions to attain ‘the aims and ideals for which the managing
committee is formed ;
b) have the power to lease, sell, transfer or purchase any properties for the
Society and on behalf of the Society under its management ;
©). call on reports from the adminstrators/managers/principals and other officers
and incharges of the institutions under its management from time to time
review the same ;
4) maintain, construct or alter any structures of the buildings and provide
amenities to the staff, beneficieries, patients, and students;
©) have power to appoint persons to posts to control them and to deal with them,
through the Chairman ;
f) make arrangements for the audit of the accounts of the Society under its
management by the auditors who shall be appointed by the General Body;
8) have power to admit members prior to 3 months of the election to the
Governing Body;
h) make rules and regulations or bye-laws for the administration of the Society
run by the Governing body
i) to act as the custodian of all the properties of the society ;
J) have power to borrow or otherwise raise funds on behalf of the society under
its management and to spend the same for the fulfilment of the aims, goals and
objective of the Society.
11. MEETING OF THE GOVERNING BODY,
a) Emergency meeting : The Chairman may call for an emergency meeting on
his\her own initiative to transact matters of urgent importance with such notice
as may be practicable under the exigencies‘of the circumstances. The notice of
the every meeting shall indicate the time, place and date of the meeting
together with agenda and may be sent cither under certificate of Posting or by
personal delivery, However, this does not apply for emergency meeting which
can be convened by employing other modes of communication acceptable to
all the members, The quorum of the Governing body shall be 2/3rd

months. Notice shall be given by the Secretary ( convene such meeting;
Every member of the Governing Body shall have the right 10 send proposals in
writing to the Chairman for the inclusion of the same on the agenda three days before
the meeting date. With the permission of the chairman, any matter may be moved for
consideration in the meeting hy the member.
All matters shall be decided by a vote of majority of the members present
The Chairman can exercise his/her casting vote in the event of tie.
The quorum for the meeting of the Governing bedy shall be four

2) He shall have the right to preside over all the meetings of the Soviely viz.

b) The Chairman shall have the right to call for an emergency meeting of the
General body or the Governing body for transacting matiers of urgent
business;
©) He shall also be the Chief functionary of the Society and all the institutions
managed and run by it.
d) He shall be liable to sue and be sued only in the name of the society and he
shall not be held responsible for any act of ucts/decisions donedaken by him
on behalf of the Society (in his personal capacity) and he shall not be sued his
personal capacity ;
13. VICE CHAIRMAN :
‘The Vice-Chairman shall preside over the meetings in the absence of the Chairman.
14, SECRETARY & CORRESPONDENT:
a) He shall be the in-charge of all the records of the Governing Body of the
Society and shall be responsible for their proper and safe custody ;
>) shall maintain or cause to be maintained the minuites of the meeting of both the
General body and Governing body of the Society which shall be signed by the
Chairman of the Society. He shall maintain the permanent record of the
Governing Body ;
©) He shall convene the meeting of the General Body and the Governing Body as
per the articles of Association of the Society in consultation with the Chairman
4) He shall prepare the agenda for:the meetings of the general body and the
governing body in consultation with the chairman.
2) He shall look after the day-to-day adminisiretion of the institutions managed by
the Society and he is authorised to call for and obtain from the Director,
Principal, Head(s) of the institution(s) managed by the Society all the
information required from time to time ;

15. JOINT SECRETARY
He shall discharge all the functions of the Secretary in his continuous absence for a
period of not less than 30 days.
16. TREASURER :
1. Treasurer shall be the custodian of all the funds and accounts of the Society.
2. He/She shall place at the A.G.M. the budget estimates. for the ensuing year and
audited annual accounts including all the institutions managed by the Society
17, HOLDING OF PROPERTIES & BORROWING POWERS :
a. The society is empowered to purchase, construct, buy, sell, develop, acquire all
types of immovable and movable properties in the name of the society for the
attainment of the aims and objects of the society.
The Governing Body of the society is hereby empowered to borrow funds for the
attainment of aims and objects of the society and/or for the
purchase/development/construction of properties, buildings etc., in the name of the
society and it is hereby authorised to borrow funds for the smooth and efficient
conduct and running of the Society from public, banks, financial institutions.
corporations, companies, Government Departments, other undertakings and private
concerns at the prevailing market rates by pledging, hypothecating and/or mortgaging
the assets of the Society to execute necessary promissory notes and other documents
and to do all other necessary acts and things in connection with the raising of such
loans and borrowings that are necessary, expedient and incidental for carrying on the
objects of the society ;
18. Funds & Bank Accounts
a) Funds of the Society hereby constituted inchide the contributions, donations,
fees, sale of publications, handicrafts, articles/products manufactured and prepared in
the organisations, other publications and products sold by the SOCIETY grants
received from the members, donors, publie, both within the country and outside the
country ftom individual donors, Organisations, Institutions, Companies, Corporations.
Registered Charities, accretions thereon and also loans if any raised from the public or
any financial institutions, Banks, ete.,
b) Funds of the Society shall be deposited ip a Scheduled Bank(s) and the bank
account{s) shall be operated only as mentioned in point No. 16(e) below
¢) The funds shall be spent for the attainment of the objects of the society, and no
portion thereof shall be paid, transferred or diverted direcily or indirectly to any of its

4) The funds of the Society shall be invested as per the provisions of subescetion
(3) of Section 1] and also Ufs.13(1)(d) of the Income-tax Act. 1961 +
€) Bank Account / accounts shall be opened in the name of the soviety with any
Bank(s) and obtain loans from such Banker or Bankers either or cash Credit
overdraft accounts, other priority and non-priority loans, etc., and it is hereby
authorised that any two of the Chairman, Secretary & Correspondent and
‘Treasurer to jointly to open and operate all kinds of accounts with any of banks ;
19), ACCOUNTS:
The accounts of the Society shall be maintained on the Financial year basis. ie
31st March every year (from first April to thirty first march every year) ;
‘The accounts of the Society shall be audited every year by a Chartered Accountant
and be submitted at the time of the Annual General Body meeting every year for the
review and approval ;
20. No Confidence motion
a) All or any members of the Governing body may be removed from the Governing
body membership(s) by 2/3rds (Two thirds) majority of the members of the General
Body in meeting called on specifically for that purpose. No such resolution can he
passed within one year from the date of election of such members of the Governing
body. Notice of requisition of such a meeting shall be signed atleast 1\3rd (one=
thirds) of the total members of the Governing Body :
b) The successors in office shall be elected in the same meeting from amongst the
existing members of the General body who shall hold office for the unexpired portion
of the terms of the office bearers who vacate under clause (a) above

a) at any meeting, if both the Chairman and the Vice-Chairman are absent, any
member shall be elected by the members present to preside over the meeting :
b) Whenever, a vacancy arises in the Governing Body, then the Governing Body
shall co-opt a member for such vacancy and such member shall be there till the end of

©) Any vacancy or vacancies in the Governing Body not filled, can not invalidate the
proceedings of the Body concerned ;
4) Notice shall mean and imply notice delivered in person or by post and the validity
of the meeting of the Governing Body or General Body shall not be effected by any
typing mistakes/other irregularities in the service af the notice ;
e) A subject once disposed off either in the Governing Body or in the General Body
shall not be re-opened within six months of such disposal, but it shall be open to the

f) Rules and regulations as mentioned herein in the Articles of Association shall be
in force unless and until otherwise revised or modified ;
22. DISSOLUTION
— In the case of the dissolution off the Society on any grounds, no portion of the
income or the assets of movable or immovable nature thereof shall be paid transterred
or directed directly (01) indirectly to any of its members through any means before or
after the dissolution, 3/Sths of the members present should vote and confirm the
dissolution ;
Alll the properties and the funds standing in the name of the Society available on
the date of the dissolution will be adjusted to some other society having similar
objects and also having registered U/s.12A and to which the provisions of the Section
80G(5) of the Income-tax Act, 196] do apply.

‘No amendments or alterations shall be made in the purpose of the Society unless it

confirmed by the 3/5 (three-fifths) of the members present in a second special general
meeting at an interval of one month fiom the former meeting as per the provisions of
the Societies Registration Act, 2001
AND all the alterations, amendments, deletions or additions to the Memorandum of
Association or Articles of Association shall be made only with the Prior approval of
the Commissioner of Income-tax having jurisdiction over the case/society.
24. Application of the Act :
The General provisions of the Societies Registration Act, 1860 shall apply to all
other matters for which no Provision is made in this Articles of Association of the
Society.
