MEMORANDUM
OF
ISLAND DEVELOPMENT ORGANISATION (IOD)
Name of the Society : The name of the society shall be ISLAND DEVELOPMENT
ORGANISATION_which will be abbreviated as “IDO” and hereinafter may be called the
Association Society.
Registered Office : The Registered Office of the society shall be situated in
the Union Territory of Andaman & Nicobar Islands, at present it is at; 99/P/C/C1,
Austinabad, Port Blair, Andaman & Nicobar Islands. Pincode 744103.
AIMS & OBJECTIVES:
(A) The main aims objectives for which the society is established shall be as under:
(i) To create a congenial environment for all around development for all around
development, welfare and upliftment of all the individuals/group of
individuals/societies of rural and urban areas of Andaman & Nicobar Islands with
particular emphasis on the weaker sections including women, children, senior citizen,
physically handicapped, labourer, downtrodden, deprived Scheduled Tribes including
economically, socially or otherwise backward classed by ensuring justice, education,
health, healthy social-cultural trends better economy and employment by adopting all
appropriate measures within the framework of its constitution.
(ii) To inculcate the sense for self-analysis and realization of one’s responsibility
towards the societies to establish a self-perpetuating chain for development of
progressive and rationale societies of A & N Islands and the Nation.
(iii) To promote and make available the latest innovations in the fields of science,
technology, communications, media, arts and culture, entertainment, trade,
commerce, tourism, education,training, labour, industries, foresties, agriculture,
animal husbandry, fisheries, health hygiene, drinking water, sanitation, housing,
banking, digital services and other basic amenities eventually leading to the
modernization, rationalism self dependents and development of the societies of the A
& N Islands & the Nation.
(iv) To protect the rights, interest, help remove grievance uphold honour, dignity
and awareness and to foster the spirit of cooperation, brotherhood, solidarity and
tolerance and generate confidence among the members in particulars and public in
general with the framework of its constitution.
ANCILLARY OBJECTIVES:
(I) To receive and collect any gifts, funds, subscription and donations either in cash
or in any kind, or acquire by any other lawful ways and means and spend the same in
fulfillment of the all or any of the aims and objectives of the society. The income and
property (ies) of the society shall be applied solely for the promotion and fulfillment
of the aims and objectives of the society provide if any particular objectives of the
society such as contribution, donation, subscriptions, shall be spent towards the
promotion of that particular objectives only.
(II) To acquire by purchase, take on lease, gift and hold any movable or immovable
properties of any right, or privileges that may be deemed necessary or useful for the
achievement and objectives of the society.
(III) To generate income from any activities (any products making, manufacturing,
media and broadcasting, technical activities, etc) as per the objectives of the
organization and utilization of the revenue generated to fulfill the objectives an aim of
the society.
INCOME AND PROPERTIES:-
All the incomes, earning movable & immovable properties of the society shall be
solely utilized and applied towards the promotion of its aims and objectives only as
said forth on the Memorandum of the society and no profit on there of shall or
transferred directly or in any manner whatsoever to present or past members of the
society or to any person claiming through any one or more of the present or past
members of the society. No member of the society shall have any personal claims on
any movable or immovable properties of the society or make any profit whatsoever
by virtue of his membership.
ACTIVITIES AND METHODOLOGY:-
To consider, interpret, express its view in all questions, schemes, projects,
programme, policies, guidelines and laws of India affecting the individuals/groups of
individuals /societies of A & N Islands and the Nation regarding justice, education,
health , economy, development, employment and culture, initiate or watch over or to
take such steps and to adopt such measure from time to time regarding the same as
may be deemed expedient or necessary towards the achievement of aims and
objectives of this society.
(i) To ascertain the role of community participation and factors creating problems in
all round development, welfare and upliftment of the rural and urban societies to
investigate the circumstances and to provide remedial measures in order to help
remove such factors within the frame work of the constitution of this society.
(ii) To organize conferences, lectures, seminars, symposiums, workshops,
exhibitions, meetings, demonstrations and to conduct campaigns programme, crops
surveys, schemes, tours, tournaments humanitarians, cultural programme activities,
media broadcasting making society aware and vigil activities and other activities
towards in achievements of aims and objectives of this society.
(iii) To produce and broadcast digital media contents and publish papers, periodicals,
journals, magazines, books reports pamphlets, posters and such material in order to
encourage information, education and communication and creativity for up gradation
and promotion of individuals/groups of individuals/society of rural and urban A & N
Islands and the Nation.
(iv) To impact formal and non-formal education training including vocational and
others to take all appropriate measures for the awareness against and unscientific,
social and cultural, historical customs and traditional evils.
(v) To take appropriate measures for social welfare including research and
implementation of newer methods for generation of gainful and productive
employment.
(vi) To open, run and manage educational institution including colleges, schools,
welfare centre, training centers, coaching centers, centers for language, painting,
modelling, dancing, yoga & physical education, libraries etc, and to ensure other
basic amenities including safe drinking water, proper sanitation , housing, clothing
and nutrition.
(vii) To open internet channels, television channels, radia channels, internet
radio channels, web castings channels, websites and media center and produce,
broadcast and publish any videos, texts, images or any such contents for welfare,
awareness, promotional purposes which may fulfill the aim and objectives and
wellbeing of the society.
(viii) To adopt appropriate measures for survival protection and development of
Tribal, Children, women, Elder, labour and other weaker and deprived sections of the
society by all social evils including communalism, casteism, beggary, unemployment,
illiteracy, prostitution, destitution, alcoholism, drug addiction, improper sanitation and
unsafe drinking water etc for their upliftment of status and sociocultural development
eventually bringing them into the mainstream of A & N Islands & the Nation.
(ix) To ensure the health of the individuals of the Tribal & other societies, adopt all
such measures for elective implementation and coordination for all the
programme/schemes/policies at national, state or any other levels regarding health
and health related sectors for provision of preventive pro-motive and curative care
towards the goal of “HEALTH FOR ALL” including all traditional and alternative
systems of medicine, pharmacy and health care.
(x) To create public awareness, remove he myths and malpractices to provide relief
regarding general health practices communicable diseases, disasters, natural and
other calamities and inculcate the sense of significance of physical, mental and social
health for a progressive and healthy societies of urban and rural areas of A & N
Islands and the Nation.
(xi) To establish and maintain hospitals, dispensaries, nursing homes, laboratories
and other institutions including drug centre for counselling, drug addiction,
rehabilitation and camps for regular physical and mental
check-up and also the social reforms.
(xii) To take suitable steps towards bringing up communication gap by
establishment of computerized or manual networks of information centers in various
parts of A & N Island and the country to facilitate the flow of information regarding
governmental and non-governmental initiatives/projects/schemes/programme/
Policies/laws/at any level including national and state/UT levels for the achievement
of aims and objectives of the society.
(xiii) To ensure the better transportation, network for proper intermingling of the
people of various regions towards the achievement of aims and objects of this
association.
(xiv) To create environmental consciousness and to conserve and nature natural
habitat along with the welfare of local communities, bio-diversity, gene-pool and
other resources.
(xv) To encourage research, development and adoption of environmentally
commutable technologies to adopt all suitable measures for pollution free
environment.
(xvi) To ensure and provide assistance for justice of all kinds including social
legal justice within the framework of the constitution.
(xvii) To ensure the upliftment and welfare of the labour class (men/women)
through awareness among them regarding their rights including minimum wages,
working conditions etc., labour laws, policies, guidelines, facilities, services available
etc.
(xviii) To take suitable measures for the protection of children fallen out of
broken families, alcoholic parents etc and prevention of child labour.
(xix) To ensure employment for all eligible individuals through dissemination of
collected information regarding employment opportunities, counselling and
generation of employment by cooperative schemes, small scale and labour intensive
industries.
(xx) To own purchase, maintain, construct, take on lease utilize or accept
property, buildings, hostel, houses, shelters, old age homes, creches, orphanages,
libraries, nariniketan, social shelters etc., towards of the achievement of aims and
objectives of this society.
(xxi) To ensure the availability of latest technologies and innovations and
establishments of centers for health, education, training, communication, research,
management, hand-looms, arts and handicrafts, industries, farming and forestry,
fisheries, eventually the achievement of aims and objectives of this society.
(xxii) To promote, protect and advance the cultural heritage by understanding
different religious, casties and ethic problems by promoting values and finding out
remedial measures.
(xxiii) To confederate and affiliate this society to any other organization /society
/association/union having similar aims objectives and vice-versa.
(xxiv) To provide and generate funds for economic betterment of this society
within the legal and constitutional means towards the achievement of aims and
objectives of this society.
(xxv) To formulate and execute all such things as are cognate with the aims and
objectives of this society and are incidental or conductive towards the achievement of
aims and objectives of this society.

RULES AND REGULATIONS
CHAPTER I
( Organization and its membership)
1. Name of Society: The Name of the Society shall be
ISLAND DEVELOPMENT ORGANISATION (IDO)
2. Membership:
The Society shall comprise the following classes of members:
(a) Ordinary Member
(b) Active Member
(c) Life Member
3. Admission & Qualification of Membership:
All the Persons who have the attained the age of majority and have subscribed to
aims and objectives of the Society subject to the approval of the Governing Body will
be entitles to be its Ordinary/Members/Active Members and Life Members on
payment of their subscriptions as here after. The decision of the Governing Body in
this regard shall be final.
4. SUBSCRIPTION:
(a) Ordinary Members:
Every ordinary member shall have to pay an amount of Rs. 100/- (Rupees One
Hundred only) as annual subscription and Rs. 10/- (Rupees Ten only) as enrolment
fee.
(b) Active Members:
Every Active Member shall have to pay an amount of Rs. 1000/- (Rupees One
Thousands) as annual subscription and Rs. 10/- (Rupees Ten Only) as enrolment fee.
(c) Life Members:
Every Life Members shall have to pay an amount of Rs. 5000/- (Rupees Five Thousand)
only) at once only and Rs. 10/- (Rupees Ten only) as enrolment fee.
5. CEASATION OF MEMBERSHIP:
The Governing Body Shall has the power to expel a member from the Society/ to
cease membership of any member on the following terms and condition.
(a) On his/her written resignation.
(b) Non-payment of subscription activities the grace periods of 3 months.
(c) He/She is unfit due to insanity or indulges in illegal/criminal/antisocial activities or
any other activities, which are against the interest or achievement of the aims and
objectives of the society.
(d) He/She has not attended three consecutive meeting of the General
Body/Governing
Body without any information.
6. APPEAL AND RE-ADMISSION
All the appeals should be referred to the Governing Body of the society, the decision
of Governing Body shall be final and binding. The reason for rejecting shall be
communicated to the member concerned. On the last address registered in the
records of the society.
In case, of the member is expelled by the Governing Body the same can be re-
admitted, provided the member concerned appeal within one month after its
expulsion/cancellation of cessation of membership/readmission, rejoining or if he
pays all up to date dues. The Governing Body may review the decision but this review
decision shall be final and no more appeal will be entertained in this regard.
7. RIGHTS AND PRIVELEGES OF THE MEMBERSHIP:-
(i) Every member shall be subject to the constitution of the society, and rule and
regulations and Bye laws as in force from time to time together with rules framed
there under.
(ii) Only Life Member & Governing Body Members shall have the rights to inspect the
books of accounts subject to the prior sanction of the Governing Body during working
hours by giving prior notice.
(iii) All the Ordinary Active/Life members have right to attended the meeting.
However only Life Members shall have right to vote in General Body Meeting
(iv) No Member shall use or cause to be any indecent UN-parliamentary or abusive
language in any meeting. Every member shall conduct him in decent and respectful
manner and extend corporation to the Governing Body.
(v) If any member, whose subscription, is not paid up to date shall not be entitled to
receive notice of the meetings at least 15 days before and attend the same.
(vi) Any member, who wishes to resign from the society, may do so by giving a
resignation in meeting to the Secretary General.
CHAPTER II
( General and Governing System)
1. GENERAL BODY:-
(i) General Body Defined: There shall be General Body of the Society consisting of
all kinds of its registered members:
(ii) Powers, Duties and Functional of the General Body:
(a) To consider the annual report audited statement of the accounts.
(b) To consider the programme and budget for the ensuring year as presented by
the Governing Body.
(c) To elect the members of the Governing Body by secret Ballot or show of Hands.
However only the active and life member have the right to vote.
(d) To delegate any of its power to the Governing Body, as may be found necessary
to facilitate the day-to-day administration of the work of the society and the
implementation of its various programme.
(e) To consider any amendments or alteration of the existing
rules/regulations/provisions of the memorandum of the society for which the votes of
the Governing Body is necessary.
2. Notice of the meeting and periodicity of the meetings:- A meeting of
the
General Body shall be held at least once a year. The notice of the meeting shall be
served to each and every member for not less than 21 clear days in advance.
However the periods of notice could be reduce to a minimum of 7 days under
extraordinary circumstances if the President of Secretary General deems it
necessary. The reasons for reducing the period of notice shall be recorded. The
quorum for the meetings of the General Body will be one-third of its total
strength and decision will be taken on majority vote.
(iii) The Governing Body will elect its Office Bearers among them by showing
hands or ballot papers.
(iv) The meeting of the Governing Body shall be convened by the Secretary General/
Joint Secretary with at least 7 days notice to all members of the Governing Body who
shall be informed of the agenda of the meeting. However prior of the notice could be
reduced to a minimum of 3 days by him under extraordinary circumstances, if the
President or Secretary General deems if necessary the meeting may be called at
short notice. The reasons for reducing the period of the notice shall be recorded.
(v) A decision on any resolution can also be taken by circulation among all the
members of the Governing Body and it shall be deemed passed on receipt of it by a
majority of its members of the Governing Body.
(vi) The Quorum of Governing Body shall be 2/3 of the total number of Governing
Body members.
(vii) If there is any vacancy in the Governing Body during the existing term the
vacancy will be filled by the Governing Body itself.
8. RIGHTS AND DUTIES OF GOVERNING BODY:-
(i) The properties of the Society shall best in the Governing Body. However, the
General Secretary and President shall conduct all the affairs of Society, receive or
remit money, issue receipts discharge liabilities, acquire and hold properties and, if
necessary, may sell, lease, transfer, take over exchange or borrow with proper
scrutiny.
(ii) The Governing Body may authorize any member or members to execute any
deed or document for and purpose sanctioned by it.
(iii) It is open to the Governing Body/ President/ Secretary General to invite persons
or corporate bodies in sympathy with the aims and objectives of the society to
become it Patrons/Chef Patron. The rules regarding the enrolment of patrons under
different categories may from time to time, be framed by the Governing Body.
(iv) Any Vacancy arising in the governing Body may be filed up by co-operation. The
person so co-operated can continue in office until expiry of the terms of that
Governing Body.
(v) The Governing Body shall appoint the staff of its Institution/Offices etc, fix the
salaries and the remuneration of their employees/staff/Guests & others.
(vi) The Governing Body will approve the expulsion/suspension of any of its
employees/staff/members of the society or related to the society. However President /
or secretary general is empowered to terminate/suspend/expel/take disciplinary or
any other action if necessary. It needs approval of Governing Body within 6 month.
(vii) The Governing Body shall appoint an auditor for auditing the accounts of the
society.
(viii) The power of admit/remove the members of the society will best in the
Government Body.
(ix) The Governing Body may open officers or its branches at different place/different
levels to save the interest of the society.
(x) The Governing Body will consider the reports submitted by the Advisory Board/
Committee which are.
(xi) The Governing Body may take any decision in the interest of the society and may
frame the rules from time to time as per the constitution of the society.
The following shall be the office bearers of the Governing Body of the
society.

2. Vice-President : One
3. Chief General Secretary : One
4. General Secretary : One
5. Joint Secretary : One
6. Organization Secretary : One
7. Treasurer : One
8. Executive Member : Three
The Bearers of the society shall be elected by the Governing Body, whose ensure
shall be for a period of three years whose eligible to appointment.
(A) PRESIDENT
(i) The President shall preside over all meetings of the society. Meetings will normally
be called for by General Secretary , but in case emergency the President is
authorized to call a meeting of the Governing Body at any time. The reason of
emergency will be recorded.
(ii) He will supervise the work of other office Bearers of the Governing Body from
time to time.
(iii) The President shall be the office to sue or be sued on behalf of the society.
(iv) The President shall be entitled to sign all correspondence, documents, Deeds
or other legal instruments including issue of a power of Attorney and sinning of
Vakalatnama for the Society’s legal advisor for and in the name of Society.
(v) The President is also empowered to receive moneys from Government or semi
Government or non Governmental Bodies and sign agreements, deed or other
documents in token of receipt of such money’s and for the purpose therein
mentioned in implementation and fulfillment of the aims and objectives of the
society.
(vi) The President shall conduct all the affairs of the society, receive or remit
money, issue receipt, discharge liabilities, acquire and hold properties and, if
necessary, may sell, lease, transfer, take over, exchange or borrow with proper
security.
(vii) In case of tie, Present has power of casting vote.
(B) VICE PRESIDENT
(i) The Vice President will preside the meetings in absence of President.
(ii) He will empower all the duty and the responsibilities as authorized by the
President/Governing Body.
(C) CHIEF GENERAL SECRETARY
(i) The Chief General Secretary will be the supreme authority of General Secretary and
will look after the activities been carried out by the General Secretary.
(ii) The Chief General Secretary will supervise and allocate works to General Secretary
and Other members.
(iii) He/She may supervise and issue necessary approval to General Secretary for any
activities as per the requirements.
(iv) He/She may do all such activities as provision of General Secretary.
(D) GENERAL SECRETERY
(i) To attend the correspondence of the Society.
(ii) To convince and attend the meetings of the society and duty record the
proceedings of such meetings with approval of Chief General Secretary in written or
verbally.
(iii) To prepare the Annual Report under the guidance of the Governing Body.
(iv) The General Secretary will be in charge of keeping all the records of the Society,
including the Registers of members, which contains the names, address and other
information. He shall be his duty to see the implementation of the resolutions passed
by the Governing Body. He shall on receipt of such moneys or execution of such
documents forth with reports the same to the Governing Body for its information.
(E) JOINT SECRETARIES
(i) The Joint Secretary shall be look after the duties of General Secretary in absence
of Secretary General.
(F) JOINT SECRETARIES
(i) The Organization Secretary shall be look after the duties of General Secretary in
absence or along with Joint Secretary.
(ii) He/She will be responsible for development of organization in all manner and may
take steps for the development of organization in all manner.
(G) TREASURER
(i) The Treasurer shall be responsible for receipt and payment of money. He/she
shall frame the Budget for the ensuing year to place before the Governing Body.,
he/she will maintain proper accounts and manage the subscriptions. He/she shall also
from time to the Governing Body and considered by the General Body as required.
(ii) He/she will organize fund-collection drives under the guidance of General
Secretary and President and do all such thing as may be necessary or desirable by
them of the Governing Body further the objectives of the society and or in the name
of the Society.
CHAPTER III
( Provision to appoint Director and Create Departments)
1. DEPARTMENTS:
i) The Departments defined as a committee which will be headed by a Director
and function with a Deputy Director and other staffs as appointed by the
Director with approval from Governing Body.
ii) The Director of the various Departments will be focus on the departmental
works as allotted by the Governing Body.
2. RIGHTS AND RESPONSIBILITIES OF DIRECTORS OF DEPARTMENTS:
i) The Director will be responsible for all the issues and actions of the
department and will supervise the department and its activities.
ii) The Director will be reporting all the activities on monthly or quarterly or
annually basis to the Governing Body.
The Director has reserve rights to suspend or dismiss any of his department staffs by
communicating valid reasons with approval from the Governing Body.

CHAPTER IV
(Rules to be followed for meetings and dispute resolution)
1. NOTICE AND QUORUM OF THE MEETINGS:
A clear twenty one days notice shall be given to members for holding the General
Body Meetings addressed to the members at last known address. However period of
notice could be reduced to a minimum of clear ten days, under extraordinary
circumstances, the President or Secretary General deems it necessary. The reason for
reducing the period of notice shall be recorded.
2. QUORUM
The QUORUM for the General Body meeting shall be one third of its members
and for the Governing Body Meeting two-third of its members. If within an hour
from time fixed for the meeting the Quorum is not present the meeting shall
be adjourned undecided has to be communicated to the Secretary
General/President, Minimum in necessary for such a adjourned meeting.
3. FILLING OF THE CASUAL VACANCIES:
The casual vacancies arising if any shall be filled by Governing Body. If any casual
vacancies arises of the office bearers of the Governing Body, for its remaining tenure.
4. SOURCES OF INCOME:
The sources of income of the society shall be:
(a) The membership fee and enrolment fee.
(b) Special contributions, donations, charity and gifts.
(c) Finance assistance from Governmental and non-Governmental Agencies of all
levels including State National and International, loan if possible.
(d) From the sale of products if any.
(e) By organizing charity shows etc.
5. AUDITING ACCOUNTS:
The accounts of the society will be audited by a qualified auditor appointed by
the Governing Body. The auditor will submit his report annually.
6. OPERATION OF BANK ACCOUNT
The Bank Account of the society shall be opened in a nationalized Bank office or A &
N State Co-op Bank in the name of the society. The Account shall be operated by the
Treasurer and bay one out of the Secretary General and President. However in special
circumstances the power to operate the bank account shall rest with the President
and the Secretary General.
7. ANNUAL LIST OF GOVERNMENT BODY:
Once in every year a list of the Office Bearers and member of the Governing Body
shall be filled with the Registered of Societies. As required under section 4 of the
societies Registration Act 1860, as applicable to the UT of A & N Islands.
8. LEGAL PROCEDINGS:
The society may sue or be sued in the name of the President jointly with General
Secretary as per provision laid down under section 6 of the societies Registration Act
of 1860, as applicable to the UT of A & N Island. Any legal disputed shall be subject to
A&
N Islands (Calcutta Judgement).
9. AMMENDMENT:
Alteration,extension of abridgment purpose of change of name under section 12 and
12-A:- Any kind of amendment in the memorandum and Rules and Regulations of
society will be made as per provisions of sections 12 and 12-A of the societies
Registration Act of 1860 as applicable to the UT of A & N Islands.
10. DISSOLUTION:
If the society need to be dissolved as per provision laid down under section 14 of the
Societies Registration Act of 1860, as applicable to the UT of A & N Islands.
11. APPLICABLE OF THE ACT:
All the provisions under all the sections of the societies Registrations Act of 1860 as
applicable to the UT of A & N Islands shall apply to the society.
