ELECTION RULES AND GUIDELINES

This Election Rules was promulgated by the Election Committee on March 17, 2023
in accordance with R.A. 9520 and the By-Laws of the cooperative to ensure smooth and
orderly election.

RULE 1. QUALIFICATIONS OF VOTERS (Article II Section 9 of By-Laws)

Section 9: Member Entitled to Vote. Any regular member who meets the, conditions is a
member entitled to vote:

a. Paid the membership fee and the value of the minimum share required for
membership;
b. Not delinquent in the payment of his share capital subscriptions another
accounts or obligations;
c. Not violated any provision of this by-laws, the terms and conditions the
subscription agreement; and the decisions, guidelines, rules and regulations
promulgated by the board of directors and the general assembly;
d. Completed the continuing education program prescribed by the B of Directors;
and
e. Participated in the affairs of the cooperative and patronize businesses in
accordance with cooperative's policies and guidelines.

Failure of the member to meet any of the above qualification mean loss of right to vote as
declared by the board of director the same has been lifted upon the determination of the
latter.

RULE 2. QUALIFICATIONS OF CANDIDATES TO THE BOARD OF DIRECTOR / COMMITTEE


MEMBER / OFFICER
All members entitled to vote, which have the time and willingness to serve, are
qualified to be voted as directors. (Article II Section 9 of By-Laws);

RULE 3. DISQUALIFICATIONS FOR CANDIDATES TO THE BOARD OFDIRECTOR (Article IV


Section 4)

a. Holding any elective position in the government, except that of a party list
representative or being an officer of a cooperative he or she represents;
b. The members of the board of directors shall not hold any other position directly
involved in the day-to-day operation and management of the cooperative;
c. Having direct or indirect personal interest with the business of the cooperative;
d. Having been absent for in three (3) consecutive meetings or in more than fifty
percent (50%) of all meetings within the twelve (12) month period unless with
valid excuse as approved by the board of directors;
e. Being an official or employee of the Cooperative Development Authority;
f. Having been convicted in administrative proceedings or civil/criminal suits
involving financial and/or property accountability; and
g. Having been disqualified by law.

RULE 4.FILING AND SCREENING OF CANDIDACY


a. All the candidates must file their Certificate of Candidacy. Filing of Certificates of
Candidacy will start on MARCH 6-12, 2024 at 9:00 a.m to 12:nn .
b. Candidates will use only 3 official’s entry names as stipulated on the Certificate of
Candidacy.

Election Committee will screen the candidates 3 days after the filing of COC and results of
screening will be posted on the third day prior to the schedule of General Assembly

RULE 5. ELECTION OF DIRECTORS (Article IV Section 5)

The members of the Board of Directors shall be elected by secret ballot by members
entitled to vote during the annual regular general assembly meeting or special general
assembly meeting called for the purpose. Unless earlier removed for cause, or have
resigned or become incapacitated, they shall hold office for a term of two (2) years or until
their successors shall have been elected and qualified; Provided, that majority of the elected
directors obtaining the highest number of votes during the first election after registration
shall serve for two (2) years, and the remaining directors for one (1) year. Thereafter, all
directors shall serve for two (2) years. The term of the cooperating directors shall expire
upon the election of their successors in the first regular general assembly after registration

RULE 6. ALLOCATION OF THE SEAT

Seven (7)Directors shall be elected at large.

RULE 7. ELECTION OF COMMITTEE OFFICERS AND MEMBERS

Some Committee Members and Officers shall also be elected by secret ballot by the
members at the annual general assembly:
1. Election Committee – composed of three (3) members. The term of office shall
be for one (1) year. This committee shall supervise the conduct of election,
canvass and certify in writing the returns to the presiding officer, proclaim the
winning candidates and shall decide election protest.
2. Audit Committee - composed of three (3) members. Term of office also applies
with that of the Election Committee. This committee shall provide internal audit
service, maintain a complete record of its examination and inventory and submit
audited quarterly reports to the Board and audited annual financial reports to
the general assembly.
The aforementioned committees shall elect among themselves the Chairperson,
Vice-Chairperson and Secretary within ten (10) days after their election. No committee
member or officer shall, at the same time, serve in the Board.

RULE 8. APPOINTMENT OF COMMITTEE OFFICERS AND MEMBERS

Some Committees shall be appointed by the Board of Directors within ten (10) days
after their installation. The members shall elect from among themselves a Chairperson, Vice
Chairperson and a Secretary. Their functions include the review, revision and
implementation of policies in their respective committees. Appointive committees shall be
the following:
1. Credit Committee. They are responsible for the credit management of the
cooperative. Term of office shall be for one (1) year.
2. Education and Training Committee (whose the ex-officio-Chairperson is the Vice-
Chairperson of the BODs). Term of office shall be for one (1) year. Shall be
responsible in planning and implementing promotional and educational activities
of the cooperative.
3. Mediation & Conciliation Committee – composed of three (3) members. They are
responsible in the formulation and develop the conciliation and mediation
program and ensure that it is properly implemented.
4. Ethics Committee – composes of three (3) members. This committee develops
code of governance and ethical standard to be observed by their members,
officers and employee of the cooperative and recommend ethical rules and
policy to the Board of Directors.

RULE 9. RANKING OF WINNING CANDIDATES

The winning candidates shall be ranked based on the number of votes obtained. The
ranking shall be by department.

RULE 10. MECHANICS DURING ELECTION


1. The election shall be on Annual General Assembly.
2. The election shall be by secret ballot.
3. No proxy voting is allowed.
4. Voters shall have equal rights to vote regardless of their capital share
contribution. One Member-One Vote Policy shall be observed.
5. The designated polling area shall be the venue of the assembly.
6. List of candidates shall be posted in the polling area.
7. No candidates shall be allowed to enter the polling area during election except to
8. Qualified candidates will be given a campaign period of 1 to 2 weeks after the
Election Committee having come up with the lists of qualified.
9. Candidates are not allowed to campaign during election.
10. The Election Committee shall supervise the whole election proceedings and will
announce the closing of the election and counting of ballots that follows
immediately.
11. All votes will be canvassed after the casting of votes on regular election date and
close immediately after the canvassed.
12. Voters will cast their votes on the booth provided and sign the portion for
signature of voters on the ballot, signed portion before it will be dropped in the
ballot box.

RULE 11. COUNTING OF VOTES

Based on the total number of members actually cast their votes, the election
committee shall commence the counting of ballots.
If some ballots were found to be invalid or a marked ballot, the Election Committee
shall have the power to declare it invalid and/or astray ballots.

RULE 12. EFFECTIVITY

This election rules and guidelines shall take effect upon its approval by the General
Assembly through regular or special assembly. Approved this March 17, 2023.
