INSTRUCTION TO TENDERERS

1.0 SUBMISSION OF TENDERS [CHANGE AS APPROPRIATE]

1.1 Tenders shall be submitted in duplicate (along with a .pdf soft copy) and will be accepted
only on the Form of tender provided, which shall be completed in full.
1.2 The Tender shall be signed by a principal duly authorized to represent and bind the
Tenderer.
1.3 The Amount of Tender and the rates and prices inserted shall be fully inclusive, without
limitation, of all liabilities and obligations to be borne by the Consultant in accordance
with the Agreement.
1.4 The Amount of Tender and all rates and prices shall be in [Currency].
1.5 A fixed price Tender offer shall be submitted.
1.6 The duplicate Forms of Tender together with all Appendices shall be completed in full
and submitted with the following:
(a) The Tender Bond together with a duplicate copy in the style set out in the
Specimen Form of Tender Bond annexed to these instructions and in the amount
stated on the Form of Tender.
This bond shall be obtained from a reputable and approved registered bank
A bond issued by an Insurance Company is not acceptable.
Cheques are not acceptable as a form of bonding.
A bond in respect of another tender is not acceptable as the bond in respect of
this Tender.
The Tender Bond shall be addressed to [Client] and shall be renewable on the
demand of [Client] without taking into account the opposition of the Tenderer.
(b) All the additional information required by the Appendices for the purpose of
adjudicating tenders.
(c) Fully priced duplicate copies of the Fee Tender in accordance with the Project
Brief and Tender Schedules.
(d) Tenders, who do not give the required price details, will be subject to rejection.
(e) The return of all Tender Documents provided by the Client for the purposes of
tendering.

1.7 The Technical Package must be enclosed in one envelope sealed with red wax and
clearly marked ‘TECHNICAL PACKAGE’ and the Financial Package must be enclosed in
a separate envelope sealed with red wax clearly marked ‘FINANCIAL PACKAGE’. Both
envelopes must be enclosed in a third envelope sealed with red wax which shall bear
the tender number, subject and closing date and should not bear any mark, indication or
name of the Tenderer.

1.8 The Tender shall be delivered not later than the time and date stated in the tender
invitation.
1.9 Failure to provide the Tender Bond and the whole of the required material and
information or to comply with these instructions in any way may render the Tender null
and void.
1.10 If the Tenderer whose tender has been accepted fails to furnish the required
performance bond within the specified period, the Client may cancel his tender and
confiscate the Tender Bond Forthwith without further notice or legal action.

2.0 TENDER VALIDITY PERIOD

The Tender shall remain valid for a period of [Days] from the date of opening of the
Tenders by the Tenders Committee and may be accepted by the Client at any time
before the expiration of that period. However, the Client may request an extension to this
validity period by a further [Days] if necessary and the Tenderer shall extend the validity
accordingly.

3.0 TENDER OPENING

Tenderers will not be invited to the opening of the Tenders which shall be carried out by

5.0 STANDARD DOCUMENTS

In addition to the Tender Documents listed above Tenderers shall be deemed to have in their
possession copies of the following standard documents and, where appropriate, to have
included in their tender prices for complying with the provisions of the Specifications,
regulations, terms and conditions, etc. contained therein:

(a) The Client/Consultant Services Agreement – FIDIC – Fourth Edition 2006

6.0 INTERPRETATION OF THE DOCUMENTS

6.1 The Tenderer shall make no unauthorized alteration to the Tender Documents.

6.2 Any mistake made in completing the Tender Documents and corrected before
submission of the Tender, shall be initialed by the principal authorized to sign the
Tender.

6.3 If the Tenderer has any doubts as to the meaning of any part of the Tender Documents,
or if he discovers any ambiguity or discrepancy in the Tender Documents, or if any
words or figures should be indistinct in the copy of the documents provided, then the
Tenderer shall report the same to the Client not later than [Days] before the date fixed
for submission of the tenders.

The Client’s reply will be given in the form of a circular letter or facsimile to all Tenderers
and any such circular shall be acknowledged by the Tenderers by return facsimile and
on the Form of Tender.

6.4 The Tenderer shall check each page and form of the Tender Documents against the
index and the content pages. No amendment to a submitted tender will be allowed after
the date and time fixed for submission should the Tender later claim that any page or
drawing was missing or had been duplicated.

7.0 CORRECTIONS TO AND CLARIFICATION OF TENDERS AFTER SUBMISSION

7.1 Tenderers shall not be permitted to make corrections or amendments to their Tender for
any reason whatsoever after the time and date fixed for the submission of the tender.

7.2 The Tenders Committee shall adjust arithmetical or other errors made by the Tenderer in
compiling his tender, as follows:

a) Where the total of arithmetical errors is such that the Amount of Tender would
have been increased, then the individual rates and prices shall be proportionally
reduced such that the Contract Price of the awarded contract shall be the same
as the Amount of Tender.

b) Where the total of arithmetical errors is such that the Amount of Tender would
have been reduced, then the individual rates and prices shall each be corrected
such that the Contract Price of the awarded contract shall be for the corrected
and reduced amount.

7.3 Any adjustment, correction, clarification or amendment made by the Tenders Committee
to a tender shall be stated to the Tenderer prior to award of the contract.

7.4 Where the Amount of Tender is computed by a Tenderer by making a lump sum
adjustment to the summed total of the Fee Tender Price Schedule or to the summed
total of a section of the Fee Tender Price Schedule, then the lump sum adjustment so
made will be deemed to apply proportionally to the individual rates and prices throughout
the Fee Tender Price Schedule, or throughout that section of the Fee Tender Price
Schedule.

8.0 QUALIFICATION OF TENDERS AND ALTERNATIVE OFFERS

8.1 Each Tenderer must submit a valid tender without any qualification, alternative standard
or specification or any other alternative to the precise requirements of the Tender
Documents whatsoever.

8.2 A Tender Qualification and a Tender Alternative is differentiated as follows:

a) Tender Qualifications
Tender qualifications (that is deviations from the tender/contract Conditions) will
be considered, provided that such qualifications are all entered on a separate
covering letter to the tender fully described to permit a proper assessment of their
implications. Please note that if a fully compliant unqualified tender is not
submitted in addition, then if the stated qualifications are not accepted then the
Tender may be reject as non-compliant.

b) Tender Alternatives
On condition that the Tenderer submits a bona fide tender in accordance with the
Tender Documentation in the first place, any alternative offers (that is deviations

from the technical requirements of the Project Brief) which he may wish to
propose must be under a separate cover, which will be given consideration,
provided that such alternatives are fully described and accompanied by sufficient
supporting documents, as applicable, and priced to permit a proper assessment
of their implications or suitability

9.0 ACCEPTANCE OR REJECTION OF TENDERS

9.1 The Client does not bind itself to accept the lowest or any tender and will not assign any
reason for the rejection of any tender.

9.2 The Client will not be responsible for or pay any expenses or losses which may be
incurred by any Tenderer in the preparation of his tender.

10.0 CONFIDENTIALITY OF TENDER DOCUMENTS

10.1 Tender Documents and all matters and details in connection therewith remain highly
confidential during and after tendering.

10.2 Drawings or information relating to the Works may only be copied or conveyed by the
Tenderer to his proposed Sub-Consultants, suppliers or other persons concerned with
the Works as may be essential for the submission of a proper tender.

It is the Tenderers responsibility to ensure that any information disclosed to any sub-
Consultants, suppliers or authorized third parties is treated as highly confidential by
them, and that any copies or reproductions of documents or drawings given to them are
returned to the Tenderer.

10.3 Except as herein before provided, drawings or information relating to the Works shall not
be copied or reproduced in any way or conveyed by the Tenderer to any other third party
without first obtaining the prior written authorization of the Client.

12.2 The entire contents of this tender document as listed on the contents page is deemed to
be the tender and all appendices, schedules, etc. to be completed and all other
information requested is to be incorporated in the Tenderer’s submission and will form
part of the assessment and adjudication of the tenders.

12.3 The Technical Tender Deliverables, Form of Tender, Fee Schedule, etc. of the
document has particular reference in this regard and all minimum information required is
to be submitted in the required format.

12.4 This tender document as listed on the contents page in its entirely will form part of the
contract documentation.

13.0 TENDER ADJUDICATION PROCESS

13.1 Technical Adjudication


Tenders will be assessed and adjudicated in the first instance based on ‘Technical
Package’ sections of the tender document and will take into account:

a) Compliance with the ‘Tender Conditions’ and information and tender deliverable
requirements. Should the Tenderer fail to submit all the information required
and/or the information provided is not compliant with the specification
requirements the Client may disqualify and reject the Tender outright as non-
compliant.

b) The Project information requirements as included in Section D of the Tender


Document which provides specific information and data pertaining to this Project
to demonstrated capacity and ability of the Tenderer to carry out the Works
successfully, cost effectively and to [ ] standards.

c) The extent to which the Tenderer’s proposal and product will provide the
intended requirements and achieve the intended goals of the Tender subject for
the Client.

13.2 Financial Adjudication


13.2.1 The Client will only consider the financial offer submitted by those Tenderers who
have in the Client’s opinion submitted an acceptable, compliant Technical bid.

The Client’s decision with regard to which Financial offer is to be considered is


final and binding and no reason will be given for rejection of any tender
submissions.

b) The optimum value weighting of prices of elements of the Works which


reflect the true and realistic value of the element in terms of Work input
required and value of product deliverable received by the Client.

Unreasonable and unjustified price weighting of items or elements of the


Tender Price Schedule will not be accepted.

The Client reserves the right to insist on details of the Tenderer’s pricing
structure to establish and demonstrate the optimum and realistic value of
any price element and further reserves the right to insist that any
unreasonable and unjustified weighting of items or elements be adjusted
to reflect the true value of the item or element as described in the Project
Brief relative to the overall Project worth.

3. The Agreement shall be read and construed as a whole. Anything mentioned in any of the
documents comprising the Agreement shall be of like effects as if stated or mentioned in
all of them. In the event of any conflict, discrepancy or inconsistency between any of
the documents forming the Agreement, notice shall as soon as possible be given to the
Client by the Consultant, specifying the conflict, discrepancy or inconsistency between
any of the documents. The Client shall instruct the Project Manager to issue
instructions in regard thereto. No instruction given by the Project Manager under this
clause shall amount to a variation or additional service and the Consultant shall not be
entitled to any additional time or extra payment in respect thereof and the cost of
implementing the instruction shall be deemed to be included in the Fee.

4. In consideration of the payments to be made by the Client to the Consultant as hereinafter


mentioned the Consultant hereby agrees with the Client to perform the Services in
conformity with the provisions of the Agreement.
5. The Client hereby agrees to pay the Consultant in consideration of the performance of the
Services such amounts as may be become payable under the provisions of the
Agreement at the times and in the manner prescribed by the Agreement.
6. The Consultant will have commenced Work on the Effective Date and will continue to
proceed with the Services with all efforts and without delay until the completion of the
post construction period, as more particularly described in Appendix A of the
Agreement.

Procedures for Payment of Consultants

Purpose: To define the method of creating and processing invoices for Consultants
providing Services on [Project].
Process:

1. Consultant to issue draft invoice to KEO–PM addressed for their review. Invoice to
show amounts as per current Agreement and payment milestones in respect of the
items making up the Agreement Price.

2. KEO to respond within 3 work days that invoice will be processed for payment, or
that invoice needs to be amended and/or additional supporting information provided.

3. Consultant to formalize invoice to KEO marked for the attention of the PM and issue
hard copy by mail to the attention of KEO Project Manager. Hard copy to have a
tracking sheet attached.

subsequent design stage of 50% Design Development, 100% Design Development,
50% Construction Documents, 100% Construction Documents, construction tender (on
basis of 100% Construction Documents), update tender documents with any
amendments arising from the tender process, performing directly or through others all
Architect/Engineer of Record services, provision of design support to Client throughout
construction stage, provision of Site Supervision services throughout construction stage
and Defects Liability Period.
 Appointment by competitive tender of an Interior Design Consultant.
 Appointment of a Cost Consultant for pre-construction stage services (Project
Management Consultant’s responsibilities shall include monitoring and checking Cost
Consultant’s work during pre-construction stage, and for providing full cost and contracts
administration services during construction stage).
 Appointment by competitive tender of a facility management consultant to assist in the
design process.
 Appointment by competitive tender of facility operators.
 Appointment by competitive tender of property consultant for sales, leasing and
marketing.

INTRODUCTION AND NOTES

1.0 GENERAL
1.1 The Tenderer is referred to the Instructions to Tenderers – ‘Tender Conditions And
Tenderer’s Instructions of Particular Application’ and are reminded that the submission
of all specified details under all the Appendices is mandatory and any Tender not
complying with this requirement (i.e. submissions with “to be advised later” “to be
submitted on award” etc.) may be rejected.

be the basis for the Client to evaluate the Consultant’s competence and ability to carry

3.0 PRESCRIBED FORMAT


3.1 The Tenderer is to note that the information required in this section must be presented in
the prescribed format under the stated headings and sub-headings ONLY. General
Company Profiles WILL NOT be accepted.
3.2 All questions are reference with the appendix reference as a prefix and all answers must
be filled in under the appropriate question heading and if additional sheets are required
to provide the necessary information was requested and should be referenced
accordingly and clearly.

4.0 PROFESSIONAL INDEMNITY INSURANCE


The Client Tenderer shall submit a copy of his Professional Indemnity Insurance and
Employer’s liability Insurance in evidence of his compliance. Should the Tenderer not be
in possession and/or cannot provide proof of being in possession of the necessary
professional indemnity insurance then the Tender will not be considered and will be
disqualified.

5.0 STAFF
The Consultant must clearly identify the name of the nominated staff member involved in
the design and during the Construction Phase. In Appendix A of this section. The
Consultant must submit full details including CVs, copies of credentials and qualification,
etc., of each of the STAFF members. STAFF approved by the Client only will be
accepted.

Staff compositions for each Phase of the Project Services and identifying each member
of the team including the inter-relationship between all members of the team.

APPENDIX B – METHOD STATEMENT PROPOSAL

The Consultant shall submit with his tender the following outline details of the Services
he will provide.

(1) A Project Appreciation statement in the form of a Work Plan and Method Statement for
successful execution of the Services include, summarizing key background, strategic,
design, engineering and implementation aspects including the tasks which will be
assigned to each personnel.

(2) Proposed deliverables in terms of stage/element/phase of the Service and shall include
level and extent of staffing with man-month schedules showing the degree of input of the
various staff disciplines related to the Project Management service activities.

(3) A set of structured techniques identifying Project’s goals and risks to enable effective
monitoring and control of Project as it progresses towards completion.

(3) Services Schedule

A work schedule shall be prepared in bar chart form. This schedule shall identify the
Consultant’s proposed work tasks for each phase of the project, duration of tasks, formal
consultations and meetings, formal review periods, and contacts with governmental
agencies.

The bar chart Services and construction schedule shall be updated and re-submitted to
the Project Manager for review and approval within 15 days of the signing of the
Agreement to reflect actual start and proposed milestone dates. When, for any reason,
the milestone dates change, the Consultant shall submit a revised bar chart with his
monthly progress report.

A description, including the following components shall be provided for each task
identified on the bar chart.

 Statement of the task’s objective


 Explanation of the process.
 Product(s) arising from the task.
 Name of the key team member with major responsibility for the task.
 Duration of the task in calendar days and estimated man-month input

The Consultant shall produce a work schedule that realistically fulfills the requirements
of these Terms of Reference. The Services must be logically sequenced, adequately
detailed to convey a clear understanding of proposed approach, and consistent with
current professional practices, analysis techniques and Consultancy Services methods.
In establishing the Services, the Consultant shall allow sufficient time for the Client and
PM to review each phase of the work.

(3) The Tenderer shall be deemed to have satisfied himself as to the sufficiency of his
Tender, particularly is respect of Services to be provided by proposed Sub consultants.
He shall ensure that all such Services comply with the Project Brief and all other tender
and standard documents and that the sum stated on the Form of Tender contains no
qualifications.

(4) The successful Tenderer shall not be permitted to change any Sub consultant listed

without first obtaining the Client’s written authority.

1.0 CONTRACT PRICE AND NOTES ON PRICING

1.1 The CONTRACT PRICE as stated on the Form of Agreement is a fixed lump sum for
various items for the complete performance of the Scope of Services itemized and
detailed in Section C and in accordance with the CONTRACT. This sum is not subject to
adjustment but to VARIATIONS only.

1.2 The CONTRACT PRICE proposed shall be for the complete Services for all design
packages. Tenderer’s may propose Alternative proposals, provided a fully compliant
complete proposal has been submitted.

1.3 The Schedule of Prices Breakdown is a price breakdown of the Tenderer’s fixed lump
sum Tender calculated for the Services as described in the Tender Documents.
Separate lump sum fees, each capable of acceptance by the Client, are required for
each Design and Supervision Package. The Client reserves the right to award Design
Packages and/or Supervision packages to others at its sole discretion and without
recourse by Consultant for compensation.

1.4 The proposal shall include man-month schedules showing the degree of input of the
various staff disciplines related to the respective Design and Supervision Services
activities for all packages.

1.5 The table(s) in Section 5 below show the typical schedule format detail required (as a
minimum) for the lump sum prices proposed.

1.6 The Schedule of Prices Breakdown is based on the Services to be carried out under this
Contract. Consultant Is deemed to have satisfied itself as to the accuracy of the
Schedule of Prices Breakdown and no claim for adjustment due to inaccuracy of the
Schedule of Prices Breakdown shall be accepted. The Schedule of Prices Breakdown
shall be used only in accordance with the General Conditions of Contract to calculate the
Contract Price and the cost of any Variations.

1.7 The description of the Services in Section C is not necessarily complete, and therefore,
for complete information, reference shall be made to the whole of the Contract
document. The prices are deemed to include for everything necessary to be provided
and carried out for the full and complete execution of the Services whether or not such
Services are mentioned in the Schedule of Prices Breakdown.

1.8 The Contract Price is deemed to be the full and complete compensation for Consultant
performance of the Contract and all Consultant obligations herein-under in accordance
with the terms and conditions of the Contract. Descriptions of Services and deliverables
are not necessarily complete in the Appendices and therefore references should be
made to the General Conditions of Contract, Scope of Services and Technical
Information and all Appendices for full and complete details. The completed prices are
deemed to truly reflect the value of the item/Services required. The Contract Price is fully
inclusive of, but not limited to, costs towards the following:

i) Costs towards design and engineering Services, preparation and submission of all
drawings, specifications and design related documents all as described in Section
C– Scope of Services.

ii) Mobilization and demobilization of Consultant Personnel, supervision and Project


management Services, salaries, overtime payments, accommodation,
transportation, travel, holidays, medical, messing and safety clothing/equipment

iii) Trips for Consultant Personnel from [ ] to [ ] and back for presentations
during the pre-construction phases of each Package.

iv) All computer aided design costs, bureau charges and hardware/software
programming;

v) All costs associated with provision of all drawings and documents including, but not
limited to, printing, copying, postal charges, courier charges, paper, CD’s, etc;

vi) All taxes, duties, insurance premiums, administration expenses, along with costs
towards office(s) and office equipment, overheads and profits and any other costs
and charges not specifically detailed.

1.9 Payment shall be made in accordance with the Stage Payment schedules as detailed in
Section 2 herein.

1.10 The Contract Price, rates and prices are deemed to include for all costs in respect of
local religious holidays, customs and the provision of all amenities customary in the
[Country].

1.11 Consultant is deemed to have computed the Contract Price in the manner required by
the Schedule of Prices Breakdown and has not deviated there-from. Where Consultant
considered it necessary, Consultant has inserted additional complementary items to
provide a comprehensive all-inclusive Contract Price.

1.12 Consultant is deemed to have inserted a rate or price as applicable against each item
included in the Schedule of Prices Breakdown. The Services and obligations contained
in any particular item not so separately priced are deemed to be covered in the rates or
prices for other Services in that Schedule of Prices Breakdown and Consultant has
referenced and stated in which item the Services are included.

1.13 Where the Contract Price has been computed by either Consultant applying a final
discount, or by way of correction of errors, such discount or correction is deemed to
apply proportionately to Consultant individual prices and rates throughout the Schedule
of Prices Breakdown. Such proportionately reduced prices and rates shall be used for
the valuation of Variations and all payments to be made to Consultant under the
Contract in accordance with the terms of the Client/Consultant Services Agreement.

1.14 Deletion of individual items from the Contract, and/or omission of any items in full or in
part shall not entitle Consultant to reimbursement for loss or alleged loss of overheads or
profit or to financial compensation for executing a reduced Scope of Services.

1.15 All rates, costs, charges and lump sum prices included in Section 5 - Schedule of Prices
Breakdown shall be quoted in [ ], and shall be fixed for the duration of the
Contract. Payment shall be made only in [ ] to a bank account of Consultant.

2.0 TERMS OF PAYMENT

2.1 Design SERVICES shall be invoiced by Consultant on Completion of each design stage
detailed below in accordance with the stated percentages. Completion and Client
acceptance of each design stage shall be deemed to have been achieved upon Client
approval to proceed to the next design stage, pursuant to Section C. Consultant right to
submit invoices shall be conditional upon the design Services being completed in
accordance with the Contract. Approval to proceed to the next design stage shall
include, as a minimum, full and complete submittal of all Project Deliverables identified in
Section C- Attachment 1, by the due date, and any requirement for re-submittal arising
from the review of the submittal.

2.2 Consultant shall include a statement in a form approved by Client giving a breakdown of
the Contract Price into the individual activities, milestones/stages shown on the bar chart
or Contract Execution Plan, agreed with and certified by Client in accordance with the
provisions in the Contract and previous progress.

2.3 Consultant shall also submit a statement of the values of any additional Works agreed
with Client and any other charges to which Consultant may consider itself entitled under
the terms of the Contract.

2.4 Payment for completed Services shall be made in accordance with Article of the
Client/Consultant Services Agreement.

2.5 Supervision Services shall be invoiced by Consultant monthly in arrears based on actual
site daily presence supported by monthly time sheets.

2.6 The Client shall pay to the Consultant an Advance Payment, when the Consultant
submits an approved guarantee (specimen Form of Advance Payment bond is included
an annexure to Section B), of [ ] of the total Design Services component of the

4.0 LIQUIDATED DAMAGES

If Consultant fails to complete the Construction Tender Documents part of the Services
by the Client approved specified dates established in Project Programme (or authorized
extension thereof), then Consultant shall be liable to Client for penalties according to
provisions of the Consultant / Client Services Agreement. The amounts of such
penalties shall be calculated at the rates of [ ] [%] of the Contract Price per
day for each day or part of a day of delay up to a maximum of [%] of the Contract Price.

5.0 CONTRACT PRICE

6.0 SCHEDULE OF RATES


6.1 Consultant Personnel/ Design And Supervision Staff Man-Hourly Rates

6.1.1 Consultant shall note that the rates computed for each category of staff to be
utilized to perform the Services in Sections 5.1, 5.2 and 5.3 shall be those used
in the compilation of the Contract Price. These rates shall also be those used for
the evaluation of any Contract Variations.

6.1.2 Consultant shall note that man-hourly rates shall be fully inclusive of, but not
limited to, salaries, taxes, insurances, all overtime payments including weekends,
offices and office equipment, computer and bureau costs, hardware/software
programming, administration charges, supervision, management, medicals,
holidays, overheads, transport, safety clothing/equipment, profits, and any other
costs, charges and expenses not specifically detailed. The rate will apply only to
those hours actually worked.

6.6 Rates Only for Additional Services

Tenderers are to include a Schedule of Hourly Rates for additional services on a ‘call
off’ basis, valid for the duration of the services. Rates shall be deemed to be inclusive of
all costs, including escalation and inflationary costs. These rates shall be extendable for
