TRUST DEED

This Trust Deed is made at Mumbai on 10th January 2024 by:

1) Aman, aged 41 years

2) Monika, aged 40 years

(hereinafter referred to as "the Settlors")

WHEREAS the Settlors desire to settle their assets detailed herein on Trust for the benefit of their
two children Yash, aged 11 years and Krish, aged 7 years (hereinafter "the Beneficiaries").

NOW THIS TRUST DEED WITNESSETH as follows:

1. APPOINTMENT OF TRUSTEES
a) During their lifetime, the Settlors Aman and Monika shall be the Trustees.

b) Upon demise of the Settlors, the following shall act as successor Trustees:

i) Naman (Aman's brother)

ii) Mr. Rajesh Sharma (family lawyer)

2. TRUST FUND
a) The initial Trust Fund shall consist of:

i) Proceeds of Aman's term life insurance policy with sum assured Rs. 4.25 crore

ii) Proceeds of Monika's term life insurance policy with sum assured Rs. 1 crore

iii) Retirement corpus estimated at Rs. 7,28,40,432 forming part of Settlors' EPF, equity mutual
funds

3. BENEFICIARIES
The beneficiaries of the Trust shall be Yash and Krish. The Trust Fund is to be utilized for:

a) Education and higher studies

b) Healthcare, including any special needs of Krish

c) Lifestyle and maintenance

d) Any contingency expenses

4. SPECIAL NEEDS TRUST


A special sub-trust shall be created for Krish to safeguard eligibility for government aid/assistance.
5. MANAGEMENT OF TRUST FUND
a) The Trustees shall have the discretion to invest the Trust Funds in prudent investment
opportunities.

b) During the studies of the Beneficiaries, the income from the Trust shall be utilized for their
education. Upon attaining majority, the Trustees may distribute income and/or corpus as per their
discretion.

c) The Trustees shall maintain proper accounts and records of the Trust assets.

6. SUCCESSION PLANNING
a) In the event of demise of both Settlors, the successor Trustees shall manage the Trust for the
benefit of the Beneficiaries.

b) Appropriate provisions shall be made for succession of trust property and assets upon the
Beneficiaries attaining majority.

7. GENERAL
The Trust Deed shall be reviewed periodically every 3-5 years and amended to reflect any life
changes of the Settlors and Beneficiaries. It shall be governed by and construed in accordance with
Indian laws.
