LAST WILL AND TESTAMENT

I, Aman Sharma, son of late Shri Suresh Sharma, aged 41 years, an Indian Inhabitant, residing at Flat
201, Hill View Apartments, Kandivali West, Mumbai 400 101 presently employed as a Middle
Manager at HDBC Bank Ltd., Mumbai, being of sound disposing mind, memory and understanding
and under no coercion, undue influence or fraudulent impersonation, do hereby revoke all previous
Wills and Codicils, if any, made by me at any time and declare this to be my Last Will and Testament.

1. APPOINTMENT OF EXECUTOR AND TRUSTEE:

I appoint my wife Monika Sharma, aged 40 years, residing at the above mentioned address to be the
Executrix and Trustee of this my Will.

2. DEVOLUTION OF PROPERTIES:

I DEVISE, BEQUEATH AND GIVE all my movable and immovable properties of whatsoever nature and
wheresoever situated including properties which I may acquire or become entitled to after the
execution of this my Will to the following persons and in the manner as follows:

(a) I BEQUEATH my 2 BHK flat located at Flat 201, Hill View Apartments, Kandivali West, Mumbai 400
101 worth Rs. 1.5 crores and all its contents to my wife MONIKA SHARMA absolutely and forever.

(b) I BEQUEATH my accumulated Provident Fund of Rs 45 lakhs under the Employees Provident Fund
Scheme 1952 as follows:

(i) My son YASH SHARMA shall be entitled to 50% of the accumulated amount when he attains the
age of 25 years. Until he attains the age of 25 years the share of interest accruing on his 50% shall be
accumulated and reinvested and paid to him along with his share of the principal when he attains 25
years.

(ii) My younger son KRISH SHARMA who has special needs shall be entitled to the remaining 50% of
the accumulated amount when he attains 25 years of age. Until then the interest accruing on his
50% share shall be paid to my wife MONIKA SHARMA every month exclusively towards meeting the
costs of his therapies, medical care and any other special needs. When KRISH attains 25 years he
shall be paid his share of the principal Provident Fund amount and any accumulated interest
thereon.

(c) I BEQUEATH the immovable property being House No. 152, First Floor, situated at Boring Road,
Patna - 800001 inherited by me from my late father and having an estimated value of Rs 75 lakhs
absolutely and forever to my brother NAMAN SHARMA

(d) I SET ASIDE and CREATE a TRUST of Rs. 32 lakhs comprising of my equity portfolio worth Rs. 22
lakhs and Fixed Deposits worth Rs. 10 lakhs in the name of "KRISH SHARMA BENEFIT TRUST" for the
following purposes and on the terms stated herein under:

(i) The sole object of the Trust shall be the welfare, benefit, care and maintenance including long
term care, education, therapies and medical expenses of my son KRISH SHARMA during his lifetime.
For the aforesaid purpose the Trustee shall have full authority to utilise the Trust funds and income
towards the same as may be required.

(ii) My wife MONIKA SHARMA shall be the sole Trustee of the said Trust and upon her demise,
incapacity or unwillingness to act the Trust shall terminate and the remaining corpus and funds shall
be paid over to my son KRISH SHARMA if he is alive and has attained majority at that time. If he is
still a minor or is not alive as on that date, the Trust funds shall devolve as per the residuary clause
hereinafter.

(iii) The Trust shall stand terminated after KRISH attains the age of 25 years and any funds remaining
unutilised shall be paid over to him.

(e) ALL my other assets, investments, bank accounts, insurance policies, shares, securities, movable
and immovable properties to which I am entitled and not bequeathed hereunder shall devolve upon
and be bequeathed to my wife MONIKA SHARMA absolutely.

3. APPOINTMENT OF GUARDIAN:

IN THE EVENT of the death of my wife MONIKA SHARMA during my lifetime or simultaneously with
me, I APPOINT my sister KAVITA RAJESH aged 45 years wife of RAJESH VERMA residing at Flat No. 23,
Green Meadows Apartment, 17th Cross, Indira Nagar, Bangalore - 560038 as the guardian of my
minor sons YASH SHARMA and KRISH SHARMA until they respectively attain the age of 25 years.

4. MAINTENANCE AND WELFARE OF FAMILY:

I DIRECT my Executrix and Trustee to provide for and maintain my dependent family members
namely my mother UMA SHARMA, my wife MONIKA SHARMA and my sons YASH SHARMA and
KRISH SHARMA suitably from my estate and to utilise the funds and income as may be required for
their comfortable living and maintenance according to their standard and status and keeping in mind
the special needs of my younger son KRISH SHARMA.

5. INDEMNITY OF EXECUTRIX AND TRUSTEE:

MY EXECUTRIX and TRUSTEE MONIKA SHARMA shall not be liable for any loss or damage to my
estate or the Trust funds, if she acts reasonably, diligently and in good faith in administering the
same.

6. SIMULTANEOUS DEATH:

IN THE EVENT of simultaneous death of me and my wife Monika Sharma in a common accident or
calamity, it shall be presumed that I pre-deceased my wife for the purposes of administration of our
joint estate and implementing this Will.

7. FUNERAL AND BURIAL:

I DIRECT my Executrix to cremate my body in accordance with Hindu rites and rituals.
