We, Amalgamated Properties Limited, are pleased to offer you a lease of premises on the
Eighth Floor of Hughes Building situated on Land Reference Number 209/8288, Nairobi, on
the following basic terms and conditions:

Hughes Building, Kenyatta Avenue Wing.

The Lease will be drawn for a term of Six (6) years commencing 1 ' April 2017. It will
be clearly stipulated that you will not be allowed to sublet the premises nor will the
lease include a break clause.
3. Rent
a) For the period commencing 1" April, 2017 to 31ˢ ᵗ March, 2019 the sum of
Kenya Shillings One Hundred and Seven Thousand Three Hundred and
Seventeen (K.Shs. 107,319) per quarter (inclusive of service charge);

b) For the period commencing 1 ' April, 2019 to 31 “ March, 2021 the sum of
Kenya Shillings One Hundred and Twenty Nine Thousand and Three Hundred
(K.Shs. 129,300) per quarter (inclusive of service charge).

4. Service Charee
Included in the rent is a service charge levied to cover the Building’s outgoings,
operational costs and overheads, which service charge is payable quarterly in
advance (alongside the quarterly rent payable) and shall be based on the initial
assessment of Kshs. 240.00 per square foot per annum (or Kshs. 20.00 per square
foot per month). Such service charge will be subject to alteration at the end of each
calendar year following the auditing of the building’s outgoings and the rate of
service charge to apply for the following year will be accordingly advised to the
Lessee.

5. Telephone Charges
The Lessee shall pay all charges levied by the Telkom Kenya Limited in respect of the
telephones (if any) installed in the premises as and when the same shall become
due.
6. Lease
A Lease will be drawn up by our advocate, which will include all terms referred to
above and all other clauses standard in a lease of office premises.
7. Leeal Costs
The Lessee shall pay Kamauk imia : Kiraitu Advocates towards the legal costs for
preparing and registering the Lease including stamp duty and disbursements. A
Deposit Request Note will be forwarded to you together with the Instrument of
Lease referred to in Clause 6 above.

9. Deposit
An additional deposit of Kenya Shillings Sixteen Thousand Eight Hundred and Nine
(K.Shs. 16,809) will be required from you on returning the duly signed copy of this
Letter of Offer to top up your current deposit of K,shs. Ninety Thousand Five
Hundred and Ten (K.shs 90,510) so that the full sum of rent deposit held by the
Lessor shall always equal one quarters rent throughout the term of the Lease.
10. Execution of Lease/Breach of Covenants
Until such a time as the standard form of lease hereinafter referred to has been
executed and registered, all the covenants and conditions and the rent hereby
agreed shall be deemed to have been incorporated in this letter. If the rent agreed

thereof shall at any time remain unpa id for seven (7) days a llcr bcconBng payable
(whether lawfully demanded or next) or il at any tirnc 1iereal’ter you arc in breach of
any of the covenants or conditions retfirred to herein or in the Lease, it ill be lawful
for the Lessor to re-enter the premises or any part thereof” and thereupon this
agreement shall be terminated absolutcly.
By accepting the terms of this Letter of" Offer you are deeiiied to approve the standard
Lease (in accordance with Paragraph 6 of this letter) and undertake to execute and
return the Instrument of Lease promptly when it is submitted to you top•ether with
your remittance to cover legal costs and disbursements.
