 These are the only materials and cases you should refer to (reference to any
cases not on the Reading Guide will be disregarded by the marker).
 For the avoidance of doubt, you should not refer to cases referred to or footnoted
in the textbook or the case book which do not appear on the Reading Guide.
 If a case on the Reading Guide is relevant to the assignment topic, it is
recommended that you read the full case, rather than limiting your reading to the

Assignment factual scenario and instructions:
Dahlia owns a bush rose farm in Seville. She wholesales to florists and has started a
business drying rose petals for potpourri, which she sells to her florist clients. She
also sells direct to the public from her farm store which has a café. She has a loyal
following of customers and an Instagram account popular with rose enthusiasts.
Her business is called Rosy Posy and Dahlia is keen to expand it. Dahlia visited
Queensland and saw a new strain of hybrid roses. They are a bright turquoise colour
with yellow tips on the petals, a highly unusual and dramatic combination. Dahlia
believes that this new strain will be popular with both her retail, wholesale and
potpourri businesses and provide publicity for her traditional bush roses too,
increasing her client base. Dahlia ordered a large batch of seeds for the new strain
of roses to be shipped from Queensland. She successfully grew a large amount of
seedlings from the seeds. She was hopeful to have the seedlings planted and
flowering by February 2024 for Valentines’ Day.
Dahlia engaged Pete, a freelance gardener, to come and plant some seedlings. He
said he could only come for two days as he was already committed to other jobs and
quoted her $600 for the job. She agreed and asked him to plant as many as he could
in that timeframe. Pete planted seedlings on the first day. But that evening he was
doing his accounts and realised he was in a dire financial situation. He realised he
had underquoted on the works for Dahlia and needed an increase in funds urgently
to pay some outstanding bills. He called Dahlia and said that he was sorry but he
could not complete the work without an increase in the price to $1250. He had been
offered another lucrative job for the following day and would need to take it if she
would not agree to the increased price. Dahlia agreed as she really needed the
planting done. Pete planted for two days and then sent Dahlia an invoice for $1250.
There was still 75% of the seedlings left to be planted. Dahlia was anxious that she
would not have all the seedlings planted in time to flower for Valentines’ Day so she
decided to engage the help of her customer base.
Dahlia posted on Rosy Posy’s Instagram:
“Rosy Posy needs your help to plant seedlings. We have a gorgeous new
hybrid rose that will make your Valentines’ Day extra special. Come and plant
our rose seedlings at Rosy Posy Farm with other members of the community
on Sunday 7 January 2024 during usual opening hours from 10am to 5pm.
Come prepared to get your hands dirty and be part of the magic of creating
this new hybrid rose. This is a very special opportunity to engage in
communal gardening on a flower farm. Rosy Posy will even give you a rose
seedling to take home!

On the day, there was a good turnout of people and a busy morning planting
seedlings. Dahlia had set up a trestle table next to the exit, with a large pot of
seedlings of common red roses. There was a large picture of red roses next to the
pot with a sign, “As a thank you for your assistance today with the planting, we give
you a seedling. We hope that you enjoyed your experience today. Thank you!” As
people left the farm they could take a seedling.

The red rose seedlings ran out at midday. Some volunteers complained that they did
not get a seedling. One customer who complained was Indira, who had seen the
Instagram post and responded in the comments, “Sounds fab, I’ll be there, can’t
wait!”. Indira had engaged in the planting and had been looking forward to receiving
a rose seedling, and was annoyed that she didn’t get one. She told Dahlia in an
angry tone that the seedlings that were given away were not even of the new variety
rose, which was what she expected.

At 1pm, Dahlia observed the full garden beds and noted that all the new variety
seedlings had been planted or were being planted. She posted the same message
on Instagram, on a sign at the front entrance and also in front of the garden beds
saying, “Planting completed. Thank you for your help today”. Ella, a member of the
public, arrived at 1.10pm. Ella was disappointed because she gave up a day of work
and drove from the city just so she could be part of this special day and she didn’t
get to take part in the planting. Other customers who arrived in the afternoon were in
a similar position to Ella, though she was the only one who complained. All the
customers who arrived before 1pm had the opportunity to engage in some planting.
Advise Dahlia as to whether she has any binding contractual obligations to
Indira and Ella, in relation to planting the new rose variety seedlings and/or
receipt of a seedling. Also advise Dahlia whether she needs to pay Pete $600
or $1250, and explain your reasoning.
Assume all parties are over 18 years of age. Note that only the examinable
topics for this assignment should be considered.
