(here further refer as ‘Vendor’) and may not be communicated to any other party without prior written
approval of Vendor This document must not be reproduced in whole or in part. It must not be used
other than for evaluation purposes only by “Nirmiti Group” (here further refer as ‘Client’) except with
the prior written consent of Vendor and then only on condition that Vendor and any other copyright
notices are included in such reproduction. No information as to the contents or subject matter of this
proposal or any part shall be given or communicated in any manner whatsoever to any third party

Partners. eresource ERP is fully and seamlessly integrated across the application areas of Enterprise
Resource Management (ERM), Customer Relationship Management (CRM), Supply chain Management
(SCM), and Reporting and Analysis. eresource ERP is a leading WEB BASED ERP software solution,
promising you to connect all your companies, branches, departments, customers and suppliers under a
central system. Being a web-based ERP solution, eresource ERP can be accessed from anywhere at any
time.
Keeping in mind the size of Organization and business volume, Eresource has categorized its ERP
solution as eresource – ENTERPRISE Edition
It is true that implementing and managing an ERP system is an expensive affair. But these expenses
should be weighed against the benefits of the ERP system. When the benefits of the ERP system are

Suggested Approach
Eresource would like to propose following activities to Customer to help establish the institutionalize
processes to achieve Enterprise Solution Implementation using Staged representation.
1. Customer should nominate a dedicated coordinator during the entire duration of the
Implementation life cycle assignment. This resource should be familiar with the client’s
organization structure and processes at the organizational levels
2. Eresource will appoint a Consultant who will guide and provide support in following areas

5.1 Fees & Expenses
The Professional Fees to successfully execute this engagement will be INR 17,50,000
Cost Breakup:
A. Product License Cost - INR 14,00,000 For Two Companies, 50 Named Users and 35 Concurrent
users. Multi branch and multi projects.
B. Pre & Post Implementation & Training Cost - INR 3,50,000
C. Additional per User cost will be INR 7000 (One-time Cost). Minimum pack of 5 users would be
applicable.
D. Customization charges will be INR 900.00 per hour.
The above is net exclusive of GST which are payable at actual on the date of Invoice.
Payment Schedule

INR 7,50,000 Advance along with Purchase Order.
Balance INR 10,00,000 in 5 installments, INR 2,00,000.00 per month to be paid on 1st of every month
starting from 1st of May 2024.

Section 6: Other Terms & Conditions
Work Definitions
The senior consultants deployed by the “Vendor” shall be experienced personnel and have been
associated with the vendor for at least 5 years or more
1. “Client” will allocate a senior resource as a Project Coordinator (PC) who will be the single point
of contact (SPOC) for the consultants and this project. The PC will have adequate authority to
take decisions quickly.
2. “Client” will form a Core Team (CT) for internally driving the ERP implementation activities.
3. The CT and the Management will respond positively to the PC's efforts to execute the ERP
Implementation activities on time & within budget.
4. “Client” will ensure continuity of the PC, CT and critical resources through the project duration;
in the event of critical resources leaving / relocating, alternative resources will be identified and
be assigned to the project without delay.
5. “Client” will share existing Processes and related artifacts with “Vendor” personnel as and when
required.
6. “Client” will sign-off the deliverable within 7 days of the delivery. Beyond this time the
deliverable will be presumed as accepted.
7. “Client” will give minimum of Seven days’ time to kick-off the project from the date of purchase
order.
8. “Vendor” shall not be held responsible for slippages in project schedule due to non-availability
of PC or the Core Team or relevant information from “Client”
9. The training's will be provided only to those personnel relevant to the given function.
10. “Vendor” personnel will provide its implementation services using an on-site/off-site approach
and as per the activities described in this agreement.
11. Internal: Change in projects, key roles, goals, number of people, scope, nature of business,
location, retraining, attrition, resource allocation, senior management involvement, and
unforeseen risks may call for review of this agreement.
12. As a guideline, the working hours for “Vendor” personnel will be 10:00 AM to 6:00 PM.
13. All fees mentioned are professional fees. Signed Contracts will be only valid with advance
payments. All payments are non-refundable and non-transferable.
14. Additional ERP Training if requested by “Client” after the project has gone live will be chargeable.
15. The expected time frame for the project to GO LIVE would be 4 to 5 months. Subject to timely
GAP Sign, UAT and available of Resources. Due to any reason, if any activity is delayed, then the
project will be delayed.
16. Travelling, Local Transportation, Lodging & Boarding and Food of “Vendor” 2 consultants
required in case to be present On-Site during Pre or/and Post Implementation and User
Training's to be borne by the client.
17. Training the user’s other than at Pune office would be chargeable.

18. AMC will be charged 18% + Tax, on the product license cost and Customization cost, after 12

Payment
1. Payment terms on Invoice: within 07 days in favor of Eresource Infotech Pvt Ltd. Eresource
reserves the right to terminate all services on the non – payment of dues.
2. Due to any reason if the order is canceled by the customer, advance received will not be
reimburse.
3. The advance payment received by eresource will be nonrefundable. Payments will be
through NEFT transfer in favor of The Saraswat Co-operative Bank Ltd account in the name of
Vendor eresource Infotech Pvt. Ltd., Branch: Jambli Naka Thane (W), Account No.:
018100100003371 (zero-one-eight-one-zero-zero-one-zero-zero-zero-zero-three-three-
seven-one), IFSC: SRCB0000018, Account Type : Current.
4. In the absence of clearance of the payment or unreasonable delay in payment, the
consultants reserve the right to put the consulting services on hold and restart only after the
payment is cleared.
5. TDS shall be deducted at source at applicable rate.
Confidentiality
1. Data documentation and information which is marked confidential or which is by its nature is
clearly confidential (“Confidential Information”) shall not be disclosed under conditions of
confidentiality.
2. The content may be disclosed to the extent required for proper implementation and
utilization and the proper performance of this Agreement.

3. The ERP Product, modules will be exclusively for use within “Client”; and “Client” shall not
share these with anyone outside the organization, without prior written consent from the
consultants.
4. The ERP Product customized for “Client”, modules will be exclusively for use within “Client”;
and “Vendor” shall not share these with anyone outside the organization, without prior
written consent from “Client”
Location
1. The Location for implementation shall be at, Client’s Head Office located: Flat 201, Decent Home,
Opp. Urbo Hotel, Ganraj Chowk, Baner, Pune -411045.
2. eresource personnel shall at all times, act and perform the duties professionally and in line with
Client working practices and shall adhere to any security procedures in force at the Location as
notified to the consultants from time to time.
Liability
Eresource shall not be liable at all for any damages to the customer or its customers arising out of usage
of its product and services, either directly or indirectly.
Delivery
All or any dates given by Eresource for delivery of the Services are given in good faith but are estimates
only.
Acceptance
The acceptance criteria will be based on successful sign-off by the customer’s support coordinator in
writing.

1. Eresource will have no obligation to commence work in connection with any change until the fee
and schedule impact of the change is agreed upon in a written change order signed by both
Eresource and the customer.
2. Upon a request for change, Eresource shall submit a proposal to the customer describing the
changes, including, as applicable, the impact of such changes on schedule and fees and expenses.
Within 5 days of receipt of the proposed change order proposal, the customer shall either
indicate its acceptance of the proposed Changes by signing the change order or advise Eresource
not to perform the changes, in which event Eresource shall proceed with the Original Services.
3. With the acceptance of this proposal, customer confirms that they have evaluated eresource ERP
appropriately and they certify that eresource ERP will be the best fit for their company.
4. Features of eresource ERP as outlined in section 2.2 “eresource editions and features” were
demonstrated to the customer and customer confirms the feature as best fit for their company.
5. Changes that would hamper the database structure will not be accepted by eresource.

General Provisions for Agreement
1. Governing Law - The parties hereby agree that this Agreement shall be construed in accordance
with the laws of India. Waiver, amendment, modification and arbitration: This proposal may call
for review with the new facts emerging in the scenario. E.g.: Inconsistent information provided by
“Client”, inadequate team competencies/skills, other undisclosed limitation or constraints
inadequate human/infrastructure resources, management issues (e.g. Planning, decision making
etc.), payments issues or any other matters that impacts the project performance. Any concerns
may be resolved using amicable means.
2. Contract Cancellation - This contract may be cancelled by either party upon mutual agreement,
and in writing, with a notice period of 2 months. Cancellation of contract does not terminate the
obligation of “Client”, to make payments for all activities completed by the consultants up to the
termination date, including travel, stay and other agreed associated costs as per the terms. Any
notice given under this agreement by either party to the other must be in writing and delivered
personally or by registered post to the others updated address.
3. Force Majeure - Neither party shall be liable to the other in respect of anything which, apart from
this provision, may constitute breach of this Agreement arising by reason of Force Majeure,
namely circumstances beyond the control of either party which shall include (but shall not be
limited to) acts of God, Civil or military authority, acts of the public enemy, war, riots, civil
disturbances, insurrections, accidents, explosions, fires, earthquakes, floods, transportation
embargoes, epidemics, acts of government, its agencies or officers. If any dispute arises between
the parties with respect to the matters covered by this Agreement which leads to a proceeding to
resolve such dispute, the respective party shall bear its reasonable attorney‘s fees, expert witness
fees and out-of-pocket costs and all other costs incurred in connection with such proceeding, in
addition to any other relief that may be awarded.

Annexure II (Development Methodology)
Initiation involves starting up the project, by documenting a business case, feasibility study, and
terms of reference, appointing the team and setting up a Project Office.
Preparation involves setting out the roadmap for the project by creating the following plans:
project plan, resource plan, financial plan, quality plan, acceptance plan and communications plan.
Execution involves building the deliverables and controlling the project delivery, scope, costs,
quality, risks and issues.
Closure involves winding-down the project by releasing staff, handing over deliverables to the
customer and completing a post implementation review.
Project Initiation
Project Initiation is the first phase in the Project Life Cycle and essentially involves starting up the project.
We initiate a project by defining its purpose and scope, the justification for initiating it and the solution

to be implemented. We assign a suitably skilled project team, set up a Project Office and perform an end
of Phase Review. The Project Initiation phase involves the following six key steps:
Project Preparation
After defining the project and appointing the project team, we're ready to enter the detailed Project
Planning phase. This involves creating a suite of planning documents to help guide the team throughout
the project delivery. The Project Preparation Phase involves completing the following 10 key steps:

Project Execution
With a clear definition of the project and a suite of detailed project plans, we are now ready to enter the
Execution phase of the project. This is the phase in which the deliverables are physically built and
presented to the customer for acceptance. While each deliverable is being constructed, a suite of
management processes is undertaken to monitor and control the deliverables being output by the
project. These processes include managing time, cost, quality, change, risks, issues, suppliers, customers
and communication. Once all the deliverables have been produced and the customer has accepted the
final solution, the project is ready for closure.

Project Closure
Project Closure involves releasing the final deliverables to the customer, handing over project
documentation to the business, terminating supplier contracts, releasing project resources and
communicating project closure to all stakeholders. The last remaining step is to undertake a Post
Implementation Review to identify the level of project success and note any lessons learned for future
projects.
Development Methodology
At eresource Infotech we use a continuous process throughout the life of the project. The process starts
when the project is kicked off and completes only when the solution is rolled out. Project
and are examples of continuous processes.
Development Process Components
Build /Configure
The figure above shows the various phases in a typical development project. Proposal / Project Scope is
where the phase in which the system scope is defined. Design Document / Prototype is the phase in
which the requirements are identified and a prototype is developed to implement the project. During
the Build / Demo / Feedback phase, the solution is architected and designed for implementation. Test /
Validate phase tests the solution and validates against the business requirements captured as part of

the Project Scope. Production is a continuous phase in which the phases mentioned above get repeated
for every increment that is released.
Change Management
The Change Management Model followed by eresource Infotech is illustrated as follows:
Eresource Infotech recommends the following approach in handling the implementation related
changes. For any changes to the committed deliverable dates and deliverables from eresource Infotech
the process to be followed would be:
Eresource Infotech identifies ahead of time if any change in deliverable dates is required.
Eresource Infotech informs the customer at the earliest date and cannot be less than two
days from the deliverable date through mail or teleconferencing whichever is appropriate.
Eresource Infotech will inform the reason for the change.
The customer agrees with or without conditions and sends an acknowledgement to
eresource Infotech.
Eresource Infotech changes the project schedule accordingly.
Any changes to the committed deliverable dates and deliverables from the customer will follow the
following process:
The Customer informs eresource Infotech at the earliest date and raises a Change Request
form.
Eresource Infotech analyzes the changes and informs the estimated time to deliver the
changes. The customer agrees on the time and cost and sends a confirmation by e-mail.
Eresource Infotech changes the project schedule accordingly.
