AGREEMENT TO SELL

THIS AGREEMENT TO SELL is made and executed at Noida on this ……………., 2023 between –

(The expression and words SELLER and BUYER shall mean and include their legal heirs, successors, assignees,
nominees, executors, administrators and legal representatives and any person or persons claiming through or in
trust for them respectively.)
WHEREAS the Seller is the absolute owner & in Possession of Farm No.- xxxxxxx Address of Land Momnathal
Sector-150 Noida Gautam Buddha Nagar UP with land admeasuring xxxxxxx / Sq. yards.
bound as under: -
ON THE EAST ON THE SOUTH

ON THE WEST ON THE NORTH

The SELLER is desirous to sell the said Property to the BUYER and the BUYER has also agreed to purchase the
same, relying on various assurances, covenants, representations and undertakings given by the SELLER and believing
the same to be true and acting on the faith thereof and on the terms and conditions set out hereinafter.

NOW THIS AGREEMENT TO SELL WITNESSETH AS UNDER:

1. That the total sale consideration of the Property is fixed between the parties at Rs.₹------------------inclusive.

2. The Seller has received a sum of Rs. ------------------------/- (-------------------------------) as advance payment in

3. That the balance consideration of Rs. -------------------------/- (-------------------------------------------------) shall


be paid within a month from the date of booking.
4. That the aforesaid land is clear from all dues and bears a clear title for sale. That the Seller assures and
confirms that it has full authorities and all legal rights to sell the said Property and the said property
has clear marketable title.
5. That the Seller shall hand over actual vacant and peaceful possession of the said property to the Buyer at
the time of execution of final Transfer Deed.
6. That the Buyer shall have right to nominate and assign this Agreement to Sell in favor of any nominee(s) or
assignee(s), for which the Seller shall not have any objection.
7. In extremely rare circumstances, in future, if due to any reason whatsoever concerned Government
Authorities plan to acquire the above-mentioned land, a different land with same measurements shall be
handed over to the buyer in the same project.
8. That the SELLER has assured the BUYER that the said Property is free from all sorts of encumbrances
such as sale, charge, will, lien, gift, agreement, surety, guarantee, exchange, dispute litigation, injunction,
attachment, arrangement, power of attorney, pledge, decree of any court of law.
9. At the time registration buyer has to pay 100% of the payment AND Original registry shall be handed over
only after getting 100% of the payment.
10. For REGISTERED AGREEMENT 90% of the total payment has to be paid by the buyer.
11. BUYER has to pay all payments in the favor of ASHOKA FARMS/SS GROUP based at
NOIDA/HARYANA only and is advised to take proper RECIEPT against any cheque or cash paid. Any
payment paid to any other person or any payment paid without receiving proper receipt shall not be
acknowledged and ASHOKA FARMS shall not be held responsible.
12. That the Buyer has to pay charges like stamp duty, registration fees, legal fees, etc. payable at the time of
the transfer of the said Property. However, if any charges are pending till the date of transfer deed the same
shall be borne by the Seller.
13. That if any of the Parties infringes or refuses to fulfil the term & conditions of this “Agreement to Sell” the
other party shall be entitled to get the implementation effected. Through the Court of Law by specific
performance of this Agreement or any other law for the time being in force, at the costs & risks of the
defaulting party.
14. That in case the Seller fails to get possession of the said property in favor of the buyer within stipulated
period the seller shall be liable to pay in advance amount which is deposited if the buyer fails to pay the
balance amount of the said property within stipulated period to the seller, the seller shall give further
reasonable time for balance payment and if buyer still fails to pay balance amount of said property within
reasonable time period (including extended) then buyer is liable to pay amount with interest if buyer fails
to pay balance amount within total reasonable period (including extended) seller shall have the right to
forfeit the advance money.
15. That the TDS if any towards total sale consideration will be applicable to be deducted by buyer and give
deposit slip to seller.
16. That the Seller shall make arrangement for showing all original documents in the to the Buyer at the time
of submission of sale deed.
17. That in case of breach of any clause by the seller aforesaid the buyer shall have the right to get the Transfer
Deed registered through Court of Law after depositing the balance amount of this Agreement to Sell.
18. Although upmost care shall be taken into consideration but in extremely rare circumstances because of the
complexity of various khasra, khatauni and rectangle numbers of various ancestral lands in Indian land data
available with the Government departments exact location sometimes changes. In these circumstances map
designed and approved by ASHOKA FARMS shall be final and bounded to all.
19. If buyer further resells the property to any other person transfer charges of 200 rupees/ square yard shall be
payable to the builder i.e. ASHOKA FARMS.
20. Maintenance of the property is Rs. 1/- per square yard (subjected to change from time to time).
21. That no amendment, alteration, modification etc. to the Said Agreement shall be binding upon either Party,
unless the same is in writing and counter signed by both Parties.
22. ASHOKA FARMS believes in fair practice ensuring peaceful and satisfactory service to the buyer with
strict work policy which ensures hassle free service to the people. ASHOKA FARMS will try its best to
keep the buyer updated with every information (if any) associated with the land from time to time
23. If due to any reason whatsoever any dispute or concern arises ASHOKA FARMS shall resolve the matter
immediately by taking into consideration the requirements of the buyer if still any issues remain pending
and need further discussion or proceedings jurisdiction will be Noida only.
24. It is the responsibility of the buyer to get the required documents from ASHOKA FARMS whenever
available along with NOC CERTIFICATE which will be available immediately after registry with
maximum time of 30 days post which 5 rupees per square yard per month additional penalty will be
charged.
IN WITNESS WHEREOF the parties hereto have signed this Agreement to Sell & Purchase on t above written, in the
presence of the following witnesses.
