Offer Letter

Dear Deepthi Rajakumar,

With reference to your application seeking employment and the interview you had with us, we are pleased to offer
you the full-time position of ‘Consultant’ at o9 Solutions Management India Private Limited (hereinafter called the
“Company” or “o9 Solutions Management India Pvt. Ltd.” or “o9 Solutions India”) starting from August 25, 2023
(the “Commencement Date”). This position is located at 9th floor, B2 building, Doddanekkundi Industrial Area 2,
Phase 1, Doddanekkundi, Bengaluru, Karnataka 560048, India. This offer is valid for one week and is considered to
be declined in case the Company does not receive any response within a week of issuing this offer letter. The offer
letter shall continue to be operative from the Commencement Date unless terminated in accordance with the terms
as mentioned herein below.

During your employment, you will receive an annual remuneration of INR 900,000/- (Rupees Nine Lakhs Only) along
with an discretionary annual prorated performance related bonus (“Bonus") of 5% of your base salary during the
first year of your employment. The total Annual CTC offered is INR 1,021,708/- (Rupees Ten Lakhs Twenty One
Thousand Seven Hundred Eight Only). Besides you will be eligible for Medical Insurance and other fringe benefits as
detailed here to in Annexure ‘A’.

Your discretionary Bonus is subject to approval by management and will be tied to individual, team and/or Company
performance. The Company does not guarantee payment to you of the said discretionary Bonus or any other
amounts, and you must be employed on the date of the bonus payout to receive payment. If you are no longer
employed by the Company (regardless of whether the separation from service was voluntary or involuntary) at the
time the bonus is paid, then no Bonus will be paid or payable to you. The Company has the final discretion to
determine the amount of any Bonus, to resolve any and all related disputes and also reserves the right at any time
to alter, change, modify, and cancel the said Bonus amount.

Probation: You shall be on a probation period for the first six (6) months of your employment with the Company.
Upon completion of the said probation period, you shall be considered as a permanent employee of the Company,
subject to any intimation from the Company for the extension of the probation period.

Your employment with the Company will be governed by the following terms and conditions:-

1. Position and Duties

1.1 o9 Solutions Management India Pvt. Ltd. agrees to employ you as a Consultant and you agree to be employed
on the terms and conditions set out herein. You agree to perform any and all duties assigned to you by the Company
to the best of your ability, skill, knowledge and experience.

1.2 You agree to be subject to the general supervision of and act pursuant to the orders, advice and direction of the
Company issued, from time to time.

1.3 You agree to perform such other duties as are customarily performed by one holding such a position in other,
same or similar businesses or enterprises as that engaged in by o9 Solutions Management India Pvt. Ltd.

1.4 You specifically agree to be transferred/shifted to any place of business/job/portfolio that o9 Solutions
Management India Pvt. Ltd. so desires, from time to time. It is further agreed and acknowledged by you that you
transfer is entirely at the sole discretion of the Company, and you are liable to be transferred at any time from one
job or department or branch or unit to another job or department or branch or unit of the Company whether existing

or which may be established in future or to any other establishment or establishment or office of the Company
including subsidiary or associate companies located anywhere in India and international locations.

1.5 You agree to abide by o9 Solutions Management India Pvt. Ltd.’s rules, regulations, and practices, including those
concerning work schedules, vacations and sick leaves, as they may adopted or modified, from time to time.

1.6 Dual Employment: You shall work only for the o9 Solutions Management India Pvt. Ltd. and shall not engage in
any other full time/part time work whether on your own account or for any other entity during the course of your
employment with the o9 Solutions Management India Pvt. Ltd. In case of any findings of dual employment during
the term of your employment, o9 Solutions Management India Pvt. Ltd. will have the sole right to terminate your
employment any time without any remuneration or compensation and notice.

1.7 Upon joining o9 Solutions Management India Pvt. Ltd., you shall provide:

i) A list of your Education Qualifications and Certifications as per o9 Solutions Management India private
Limited’s requirements;
ii) A list of the workplace(s), you have worked prior to joining o9 Solutions Management India Pvt Ltd;
iii) Details of the inventions and IPR, if any, owned personally by you;
iv) A Declaration;
v) A Photo ID and Current place of residence and permanent residence (You shall be responsible for
immediately notifying to o9 Solutions Management India Pvt. Ltd of any changes in your residential address);
vi) Relieving letter and most recent salary statement from previous workplace(s).

2. Remuneration

2.1 For the services rendered by you as required by this offer Letter, o9 Solutions Management India Pvt. Ltd. will
pay you the remuneration as mentioned in this offer letter. This remuneration or any increased remuneration, will
be payable on the last working day of each month till this offer letter is in force. o9 Solutions Management India Pvt.
Ltd. is entitled to deduct from your remuneration any applicable deductions and remittances as required by
applicable laws.

2.2 You understand that your remuneration as provided in this offer letter, including increment, if any, received from
time to time, will constitute the full and exclusive monetary consideration for all services performed by you and for
the performance of all your undertakings and obligations as laid down in this offer letter. The remuneration is
personal to you, and you are expected to treat the information strictly and absolutely confidential and you will not
disclose, divulge or reveal your remuneration to any person including but not limited to the employees of the
Company.

2.3 You agree that any additional remuneration during the term of your employment (whether a bonus or other
form of additional incentives) will rest in the sole discretion of o9 Solutions Management India Pvt. Ltd. and that you
will not earn or have any right for any additional remuneration by any reason whatsoever during the term of your
employment.

2.4 o9 Solutions Management India Pvt. Ltd. will reimburse you for all necessary expenses reasonably incurred by
you while traveling pursuant to o9 Solutions Management India Pvt. Ltd.'s directions. However, in the event after
reimbursement the expenses are subsequently deemed to be unreasonable and rejected by o9 Solutions
Management India Pvt. Ltd., o9 Solutions Management India Pvt. Ltd. shall have the right to recover the same out
of your salary and/or bonus deductions and/or any other payment made by o9 Solutions Management India Pvt.
Ltd. to you including if payment had been taken or made in advance of tranche.

3. Benefits

3.1 You will be entitled to those additional benefits accrued to you by o9 Solutions Management India Pvt. Ltd. from
time to time.

3.2 All benefits provided by o9 Solutions Management India Pvt. Ltd. are in its sole discretion and are subject to
change, without any cost and consequences, upon o9 Solutions Management India Pvt. Ltd. providing you with thirty
(30) days prior written notice of such change to the benefits.

4. Leave

You will be entitled to such vacations in each year as stipulated by o9 Solutions Management India Pvt. Ltd., from
time to time.

5. Confidential Information

5.1 You acknowledge that in any position you may hold, in and as a result of your employment by o9 Solutions
Management India Pvt. Ltd., you will, or may, be making use of, acquiring or adding to information about certain
matters and things which are proprietary and/or confidential to o9 Solutions Management India Pvt. Ltd. and which
information is the exclusive property of o9 Solutions Management India Pvt. Ltd. and its affiliates (including its
parent), predecessors, successors or assigns (collectively, the “Company Group”).

5.2 Definitions. As used herein, the following definitions shall apply:

5.2.1 “Business Operations” means internal personnel and financial information, vendor names and other vendor
information (including vendor characteristics, services and agreements), purchasing and internal cost information,
internal services and operational manuals, and the manner and methods of conducting Company Group business;

5.2.2 “Computer Software” means computer software resulting from or related to work or projects performed or to
be performed for Company Group, or for its clients, of any type or form in any stage of actual or anticipated research
and development, including but not limited to programs and program modules, routines and subroutines, processes,
algorithms, design concepts, design specifications (design notes, annotations, documentation, flowcharts, coding
sheets, and the like), source code, object code and load modules, programming, program patches and system
designs;

5.2.3 “Confidential Information” means any and all proprietary or confidential information regarding Company
Group relating to Company Group’s operations or business and not generally known outside of the Company Group,
which you obtain from the Company Group or its directors, officers, employees, agents, suppliers or customers or
otherwise by virtue of your employment with o9 Solutions Management India Pvt. Ltd. including, without limitation,
the following types of information or material, both existing and contemplated, on any media: proprietary and trade
secret, technology and accounting records to which access is obtained by the employee, including, without limitation
Computer Software and its code, Other Proprietary Data, Business Operations, Marketing and Development
Operations, Customers and information received from Company Group or its customers and as defined below.
Confidential Information will also include any information that has been disclosed by a third party to Company Group
and is governed by a non-disclosure agreement entered into between the third party and Company Group.

5.2.4 “Customers” means names of customers and their representatives, contracts and their contents and parties,
customer services, data provided by customers and the type, quantity and specifications of products and services
purchased, leased, licensed or received by clients/customers of Company Group.

5.2.5 “Marketing and Development Operations” means marketing and development plans, price and cost data,
price and fee amounts, pricing and billing policies, quoting procedures, marketing techniques and methods of
obtaining business, forecasts and forecast assumptions and volumes, and future plans and potential strategies of
Company Group;

5.2.6 “Other Proprietary Data” means information relating to Company Group's proprietary rights, including but
not limited to the nature of the proprietary rights, production data, technical and engineering data, test data and
test results, the status and details of research and development of products and services, and information regarding
acquiring, protecting, enforcing and licensing proprietary rights (including patents, copyrights and trade secrets);

5.2.7 “Work Product” means all improvements, inventions, discoveries, formulae, processes, methods, know-how,
Confidential Information, trade secrets, other proprietary information, and other work product relating to the
business which you many conceive or make or have conceived or made during your employment with o9 Solutions
Management India Pvt. Ltd. , of any type or form in any stage of actual or anticipated research and development, as
well as any and all intellectual property rights respecting such Work Products;

5.3 You agree that a material term of your contract with o9 Solutions Management India Pvt. Ltd. is to keep all
Confidential Information absolutely confidential and protect its release/disclosure to the public. You agree not to
divulge, reveal, report or use or make copies thereof, for any purpose, any of the Confidential Information which you
have obtained or which was disclosed to you as a result of your employment by o9 Solutions Management India Pvt.
Ltd. expect as authorized by o9 Solutions Management India Pvt. Ltd. You agree that if there is any question as to
such disclosure, then you will seek out the written approval of senior management of o9 Solutions Management
India Pvt. Ltd. prior to making any disclosure of Confidential Information. All Confidential Information that comes
into your possession while employed by o9 Solutions Management India Pvt. Ltd. is the exclusive property of the
Company Group.

5.4 The obligations to ensure and protect the confidentiality of the Confidential Information and restrictions on use
thereof imposed on you in this offer letter and any obligations to provide notice under this offer letter will survive
the expiration or termination, cessation as the case may be, of this offer letter. You expressly agree that this covenant
is reasonable and binding upon you.

5.5 Company Group may make available to you the Confidential Information and you shall agree at all times during
the term of your employment and thereafter, to hold the Confidential Information in strictest confidence. Any
disclosure of the Confidential Information to a third party cannot be reasonably or adequately compensated for as
monetary damages and would be considered as a material breach of this offer letter and o9 Solutions Management
India Pvt. Ltd may terminate your employment with immediate effect without any notice and compensation.

6. Ownership and Assignment

6.1 You acknowledge and agree that all Work Product arising from rendering the services under this offer letter is
provided strictly on a ‘work for hire’ basis and all rights, title and interest in and to any such Work Product will remain
at all times the exclusive property of the Company Group. Accordingly, you specifically agree and acknowledge that
you will have no interest in the Work Products, including, without limitation, no interest in the intellectual property
rights in such materials such as know-how, source code, copyright, trademarks or trade names, notwithstanding the
fact that you may have created or contributed to creation of the same.

6.2 You do hereby irrevocably waive any and all moral rights that you may have with respect to the Work Product or
any part or parts thereof, including, but not limited to, the right to the integrity of the works, the right to be
associated with the works as its author by name or under a pseudonym and the right to remain anonymous.

6.3 You agree to immediately disclose to o9 Solutions Management India Pvt. Ltd. all Work Products and intellectual
property developed in whole or in part by you during the term of your employment with o9 Solutions Management
India Pvt. Ltd. and, to irrevocably assign, transfer, convey or otherwise make available to Company Group the sole
and exclusive rights, title and interest you may have in such Work Product and intellectual property. You agree to
execute any instruments and to do all other things reasonably requested by o9 Solutions Management India Pvt.
Ltd. (both during and after your employment with o9 Solutions Management India Pvt. Ltd.) in order to vest more
fully in and to the Company Group all ownership rights in and to those aforesaid Work Product and any intellectual
property transferred or to be transferred by you to Company Group. You agree that no separate consideration will
be required for this purpose.

6.4 You shall maintain a detailed record of the Work Product and inventions created during the duration of your
employment with o9 Solutions Management India Pvt. Ltd.

6.5 You shall provide a complete list of all inventions, discoveries, developments, improvements and trade secrets
which have been made or conceived or first reduced to practice by you alone or jointly with others prior to your
employment with o9 Solutions Management India Pvt. Ltd. which you desire to remove from the operation of this
offer letter, and you covenant that such list is full and complete in its entirety.

6.6 If no such list is attached, you represent that you have made or conceived no inventions, discoveries,
developments, improvements and trade secrets at the time of signing this offer letter that are to be removed from
the operation of this offer letter.

7. Non-Poaching

7.1 Any attempt on your part to poach or induce other employees/consultants/contractors to leave o9 Solutions
Management India Pvt. Ltd.'s employment or retainership, or any effort by you to interfere with o9 Solutions
Management India Pvt. Ltd.'s relationship with its other employees, consultants and contractors would be harmful
and damaging to o9 Solutions Management India Pvt Ltd and shall be strictly prohibited.

7.2 You agree that during the term of your employment with o9 Solutions Management India Pvt. Ltd. and for a
period of one (1) year after the end of that term, you shall not in any way, directly or indirectly induce/poach or
attempt to induce/poach any employee, consultant or contractor of o9 Solutions Management India Pvt. Ltd. to quit
employment or retainership with o9 Solutions Management India Pvt. Ltd.; or otherwise interfere with or disrupt o9
Solutions Management India Pvt Ltd.'s relationship with its employees, consultants and contractors; discuss
employment opportunities or provide information about competitive employment or engagement to any of o9
Solutions Management India Pvt. Ltd.'s employees, consultants or contractors; or solicit, entice, poach or hire away
any employee, consultant or contractor of o9 Solutions Management India Pvt. Ltd. to yourselves or any other entity
whether or not you are a part of such entity.

7.3 You expressly agree that this covenant is reasonable and required to protect the interest of o9 Solutions
Management India Pvt. Ltd. and agree to adhere to it and not violate it in any manner.

8. Non-Solicitation

8.1 For a period of one (1) year from the date of termination or expiration or cessation, as the case may be, of your
employment with o9 Solutions Management India Pvt. Ltd., you shall not poach or divert or attempt to poach or
divert from o9 Solutions Management India Pvt. Ltd. or solicit to yourself or any other entity whether or not you are
a part of such entity, any business which o9 Solutions Management India Pvt Ltd had enjoyed, solicited, from its
customers/clients, prior to termination or expiration or cessation, as the case may be, of your employment with o9
Solutions Management India Pvt Ltd.

9. Prohibition on trading of securities

9.1 You and your immediate relatives shall not trade in the shares of any of the clients/customers of o9 Solutions
Management India Pvt. Ltd. The term ‘immediate relatives’ includes your spouse, parents, siblings, children and
parents and siblings of your spouse.

9.2 You shall perform your duties strictly in compliance with applicable law including but not limited to SEBI
(Prohibition of Insider Trading) Regulations, 2015 and SEBI (Fraudulent and Unfair Trade Practices) Regulations, 2003.

10. Non-Disparagement

You agree that you shall not make any false, disparaging or derogatory statements to the public including any news
media outlet, industry group or person, current, former or potential customers, patrons of o9 Solutions regarding
o9 Solutions and its legal representatives or about o9 Solutions operations and financial condition or its affairs either
during or after the termination or expiry or cessation of this offer letter.

11. Termination Due to Discontinuance of Business

Notwithstanding anything contained in this Agreement to the contrary, in the event that o9 Solutions Management
India Pvt. Ltd. will discontinue operating its business at the location where you are employed, then, at o9 Solutions
Management India Pvt. Ltd.’s sole discretion, this offer letter shall be terminated as of the last day of the month in
which o9 Solutions Management India Pvt. Ltd. ceases its operations at such location with the same force and effect
as if such last day of the month were originally set as the termination date of this offer letter.

12. Termination for Disability

In the event an employee is unable to perform his duties to the Company for any reason whatsoever, the Company
may terminate his employment without further obligation other than to pay the notice period salary.

13. Termination of Employment

13.1 During the term of your employment which also includes the term of your Probation Period, if you breach any
of the terms of this offer letter or where there is a just cause for termination such as breach of o9 Solutions
Management India Pvt. Ltd.’s rules and regulations, policies, non-performance or neglect of duties, etc., o9 Solutions
Management India Pvt. Ltd. may terminate your employment with immediate effect without any notice and without
any compensation.

13.2 If you wish to terminate your employment with o9 Solutions Management India Pvt Ltd, you will provide o9
Solutions Management India Pvt Ltd with three months’ notice. The Company may terminate your employment for
any reason whatsoever, by providing an advance written notice of 1(One) month or remuneration in lieu of the same.

13.3 During the term of your probation period, if you wish to terminate your employment with o9 Solutions
Management India Pvt Ltd, you will provide o9 Solutions Management India Pvt Ltd with one months’ notice. The
Company may terminate your employment for any reason whatsoever, by providing an advance written notice of
1(One) month or remuneration in lieu of the same.

13.4 In the event, you terminate your employment pursuant to this offer letter, and there is no constructive dismissal,
you agree to explore the possibility of being available as a consultant for the purposes of maintaining any projects
or developments created while in the employment of o9 Solutions Management India Pvt. Ltd. You agree to
negotiate the terms of the consulting work in good faith.

13.5 The time specified in the notice either by you or o9 Solutions Management India Pvt Ltd may expire on any day
of the month and upon the date of termination, o9 Solutions Management India Pvt Ltd will forthwith pay to you
any outstanding portion of the wage, accrued vacation and banked time, if any, calculated to the date of termination.
Notwithstanding the date of termination, you acknowledge and agree to diligently execute and complete your
employment responsibilities to o9 Solutions Management India Pvt Ltd at the reasonable direction of o9 Solutions
Management India Pvt Ltd. Failing to execute your obligations to o9 Solutions Management India Pvt Ltd during the
notice period, you will be considered to be delinquent and it will be sufficient cause for immediate termination of
your employment without any compensation or notice.

13.6 On termination, cessation of your employment, you shall be required to sign an Employment Exit Letter, which
in addition to this offer letter, shall govern the obligations of the Employee, post termination/cessation, to complete
the exit formalities. The settlement of your accounts shall be subject to the execution of Employee Exit Letter.

13.7 o9 Solutions Management India Pvt Ltd reserves the right to conduct reference checks and background
investigations on all employees. Your employment with o9 Solutions Management India Pvt Ltd. is contingent to the
successful completion of personal and professional references and background verifications. You also agree and
acknowledge that in case of any false or inaccurate information provided by you, non-disclosure of relevant and
material information or unsatisfactory background verification report, or findings of any criminal records will be

sufficient cause to initiate disciplinary action against you including termination of your employment without any
compensation or notice.

14. Return of Confidential Information

You agree that, upon request of o9 Solutions Management India Pvt. Ltd. or upon termination or expiration or
cessation, as the case may be, of employment, you will forthwith destroy or return, as applicable, to o9 Solutions
Management India Pvt. Ltd. all documents, disks or other computer media, or other material (including copies
thereof) stored in any media, in the possession or control of you that may contain or be derived from ideas, concepts,
creations, or trade secrets and other proprietary and Confidential Information as defined in this offer letter; or
connected with or derived from your services to o9 Solutions Management India Pvt. Ltd., as specifically instructed
by o9 Solutions Management India Pvt. Ltd.

15. Remedies

15.1 In the event of a breach or threatened breach by you of any of the provisions of this offer Letter and o9 Solutions
Management India Pvt. Ltd.’s rules and regulations, you agree that o9 Solutions Management India Pvt. Ltd. is
entitled to, in addition to and without limitation to any other rights and remedies available to o9 Solutions
Management India Pvt. Ltd. at law or in equity, to a permanent injunction in order to prevent or restrain any such
breach by you or by your partners, agents, representatives, servants, employees, and/or any and all persons directly
or indirectly acting for or with you.

15.2 You agree to co-operate with o9 Solutions Management India Pvt Ltd following your termination, by providing
any and all documentation and other information to permit o9 Solutions Management India Pvt Ltd to evaluate
whether you are honoring your post-employment obligations set out in this offer letter.

16. Severability

16.1 o9 Solutions Management India Pvt. Ltd. and you acknowledge that this offer letter is reasonable, valid and
enforceable. However, if a court of competent jurisdiction finds any of the provisions of this offer letter to be too
broad to be enforceable, it is the parties' intent that such provision be reduced in scope by the court only to the
extent deemed necessary by that court to render the provision reasonable and enforceable, bearing in mind that it
is your intention to give o9 Solutions Management India Pvt. Ltd. the broadest possible protection against disclosure
of the Confidential Information, against you soliciting o9 Solutions Management India Pvt. Ltd.'s employees and
contractors and against you using such Confidential Information in competing with o9 Solutions Management India
Pvt. Ltd.

16.2 In the event that any of the provisions of this offer letter will be held to be invalid or unenforceable in whole or
in part, those provisions to the extent enforceable and all other provisions will nevertheless continue to be valid and
enforceable as though the invalid or unenforceable parts had not been included in this offer letter and the remaining
provisions had been executed by both parties subsequent to the expungement of the invalid provision.

17. Notices

17.1 If you lose or make unauthorized disclosure of any of the Confidential Information, you will immediately notify
o9 Solutions Management India Pvt. Ltd and take all reasonable steps necessary to retrieve the lost or improperly
disclosed Confidential Information.

17.2 All notices, requests, demands or other communications required or permitted by the terms of this offer letter
will be given in writing and either served personally or sent by facsimile or e-mail. The address for any notice to be
delivered to any of the parties to this offer letter is as follows:

18. Modification of Offer Letter

Any amendment or modification of this offer letter or additional obligation assumed by either party in connection
with this offer letter will only be binding if evidenced in writing signed by each party or an authorized representative
of each party.

19. Jurisdiction

All disputes, differences, claims between the parties with respect to this offer letter or this employment shall be
subject to the exclusive jurisdiction of the courts of Bangalore, State of Karnataka.

20. Headings

Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this
offer letter. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and
include the feminine and vice versa.

21. Breach

You hereby agree to be made liable for all costs, expenses and expenditures including, and without limitation, the
complete legal costs incurred by o9 Solutions Management India Pvt. Ltd. in enforcing this offer letter as a result of
any default of this offer letter by you.

22. Remedy and Indemnity

In case of any breach by you of the covenants of this offer letter and policies of o9 Solutions, o9 Solutions
Management India Pvt. Ltd. shall have the following rights and remedies, each of which shall be independent of the
other and severally enforceable in addition to and not in lieu of any other right or remedy available to o9 Solutions
Management India Pvt Ltd under law or in equity:-

i) To have covenants specifically enforced in a court of competent jurisdiction. It is acknowledged and agreed that
such breach will cause irreparable injury and harm to the o9 Solutions Management India Pvt. Ltd. and monetary
damages will not provide adequate remedy to the o9 Solutions Management India Pvt. Ltd.

ii) The right and remedy to require you to account for and pay to the Company all compensation, profits, monies or
other benefits as a result of any such breach of restrictive covenants.

You hereby agree to indemnify and hold o9 Solutions Management India Pvt Ltd and its directors, officers,
employees and other authorized representatives harmless from and against any and all claims, losses, suits, penalties,
liabilities, damages (including that of consequential damages), cost and expenses (including legal cost) which may
be suffered or incurred by o9 Solutions Management India Pvt Ltd and its directors, officers, employees and other
authorized representatives as a result of misconduct or negligence and/or any breach or threatened breach of
covenants or applicable laws by you.

23. Waiver

No failure or delay by o9 Solutions Management India Pvt Ltd in exercising any power, right or privilege provided in
this offer letter will operate as a waiver, nor will any single or partial exercise of such rights, powers or privileges

preclude any further exercise of them or the exercise of any other right, power or privilege provided in this offer
letter.

24. Counsel’s advice

the terms and conditions of this offer letter before the execution of this offer letter.

25. Entire Agreement

This offer letter along with the Annexure A constitutes the entire agreement between the parties and there are no
further items or provisions, either oral or written. As of the effective date of this offer letter, this offer letter
supersedes all other agreements or understanding between the parties. The parties to this offer letter stipulate that
neither of them has made any representations with respect to the subject matter of this offer letter except such
representations as are specifically set forth in this offer letter. Each of the parties acknowledges that it has relied on
its own judgment in entering into this offer letter.

26. Counterparts

This offer letter may be executed in counterparts, each of which shall be original, but such counterparts shall together
constitute one and the same agreement.

To indicate your acceptance of the Company’s offer, please sign and date this offer letter in the space provided
