DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed, made and executed on ____________________at ___________________,


Philippines by --

(hereinafter referred to as VENDOR);

-- in favor of --

( hereinafter referred to as VENDEE);

WITNESSETH: THAT --

WHEREAS, the VENDOR is the absolute owner in fee simple of ______________, located in
________________, containing an area of _____________ SQUARE METERS, identified as Lot No.
________ and covered by Transfer Certificates of Title No. ________ of the Registry of Deeds for
________, a photocopy of which is attached and made an integral part hereof as Annex “A” (hereinafter
referred to as PROPERTY);

WHEREAS, the VENDOR has offered to sell and the VENDEE has agreed to buy the
PROPERTY at the price and under the terms and conditions set forth herein below;

NOW, THEREFORE, for and in consideration of the foregoing premises and of the stipulations
hereinafter provided, the parties hereto agree as follows, to wit:

Section 1. Absolute Sale and Purchase

a. SALE AND PURCHASE - For and in consideration of the Purchase Price received by the
VENDOR, said VENDOR does hereby absolutely and irrevocably SELL, TRANSFER and CONVEY to the
VENDEE, its administrators or assigns, and VENDEE does hereby PURCHASE from the VENDOR in
consideration of the latter’s covenants, representations and warranties, the PROPERTY together with all
the rights, titles and interests of the VENDOR over and in the said PROPERTY.

b. CONSIDERATION - The Purchase Price for the sale to the VENDEE of the PROPERTY is
_________________________ PESOS, Philippine currency, receipt of which is hereby acknowledged by
the VENDOR to his entire satisfaction.

Section 2. REPRESENTATIONS AND WARRANTIES

a. The VENDOR hereby warrants that the PROPERTY is, and shall continue to be, free and clear of
all liens and encumbrances or claims whatsoever and, is and shall continue to be, not subject to any
claim, set-off, easement or defense which will prevent the BUYER from obtaining full and absolute
ownership in fee simple over the PROPERTY and full possession of the same.

b. The PROPERTY is not involved in any pending or threatened litigation or case brought before a
court or any administrative body.
