TENANCY ARGEEMENT

THIS DEED OF AGREEMENT made this the 4th day of July,2009 BETWEEN
1. SMT CHANDRIMA BISWAS,W/O- Late. Piyush kanti biswas 2. SMT JAYAPRIYA BISWAS, D/O Late .Piyush kanti biswas Both residents of SWARGA Rathbari N.H-34,P.S.-English Bazer, P.O.& DIST-MALDA, hereinafter called the LANDLADIES of the ONE PART AND VIBGYOR ALLIED INFRASTURUCTURE LTD. an existing company duly incorporated under the Indian companies Act,1956 & CIN-U70100WB2007PLC 120034 having its registered office at satyam building 46 D Rafi Ahmed Kidwai Road Kol-700016 West Bengal represented by its Director Mr.Rabindra Nath Dey, S/O-late Sambhu Nath Dey, residing at 13/01/01 Kali Das Singha Lane, kol-700009,W.B, hear in after called the TENANT OF THE OTHER PART.

WHEREAS the tenant want to carrying its business on the entire first floor of the building non payment of rent as per terms of Agreement. The tenant for extension of his business and better accommodation approached to the Landladies and express their willingness to take the entire first floor of the building and offer to the Landladies to pay @ Rs. 9,000 (Nine Thousands only) per month as monthly rent for use and occupation of the first floor and against the same the Landladies agree to let-out the premises as described in schedule below on the following Terms and condition.

TERMS & CONDITIONS


1. That Landladies shall let-out and the Tenant take on monthly tenancy basis, the property in schedule below with effect from 4th July,2009 to 31st December,2010 i.e. for a period of one years six month at a monthly rent of Rs.9,000/-(Nine Thousands only ) according to the English calendar month. Payable within 7(seven) days of every month. That the Tenant would pay a monthly rent of Rs.9,000/-(Nine thousands only)per month according to English calendar month and the rent will payable within 7 (seven)days of every month. That the Landladies will ensure sufficient water supply of Englishbazar Municipality and proper sanitation in the said premises. That the Tenant should ensure to maintain a healthy atmosphere and stay away from committing any nuisance, objectionable affairs in the rented premises. To permit the Landladies, their servant and agents at reasonable hours to enter into the premises to inspect the condition of the premises to make major repairing work. On the expiration of the terms of the Agreement, the Tenant will give-up vacant possession of the premises in good condition to the Landladies without any abjection. The Landladies have liberty to extent the period of tenancy if the Tenant desires on execution of fresh Agreement after enhancement of 10% of existing of the monthly rent and other conditions. All Taxes at present shall by Landladies. The Tenant shall not make any material alteration to the premises unless approved and sanctioned by the Landladies in writing.

The Tenant will bound to pay the cost of any damage to the electrical wiring, water line, taps water basin, etc. during their occupancy is liable to pay Electric bill according to sub-meter Reading being no. Present Meter Reading is

After expiry of one years six month, the Tenant must quit and vacate the premises. That the Landladies will issue Receipt for monthly rent and security money to the tenant. In case of need both the Landladies and the Tenant can rescind the Agreement with full calendar three months Notice to the other party. The Tenant today deposit three months rent i.e. Rs- 27,000/-(Twenty seven Thousands only) to the Landladies as security Deposit and it will be refundable at the time of vacating the premises. At all times during the said Terms of Agreement to use and occupy the demised premises for only office purpose; of the Tenant and not to keep any payingguest or share accommodation with outsiders or give sub-tenant. Nor to carry on or permit to be carried on any offensive or prohibited trade or business in the said premises. Save as aforesaid, the right and obligations between the shall be governed by the law relating to statutory tenancy in force for the time being. That the Landladies shall not object the tenant in hanging the hoarding in front side on the 1st floor and walls of the building for business purpose. The tenant will be entitled to have Telephone connection, to install computer, Telex connection and Generator with in the premises.

SCHEDULE OF PROPERTY

The entire first floor of the building Swarga at Rathbari.N.H-34, Holding No.98/212,Word No.20 under English Bazar Municipality, Malda measuring 1200 ( Twelve Hundred)sq. ft.(approx.)plinth area. IN WITNESS WHEREOF the parties set their respective hands and seals on this Agreement today the day, month and year first above written.
