2.1 LC c th c tr ngay ti nc ngi hng li khi xut trnh nhng chng t xp hng

- Giy chng nhn ca ngi hng li xc nhn rng 01 b chng t khng chuyn nhng
s c gi trc tip cho ngi nhp khu bng chuyn pht nhanh 05 ngy sau khi xp
hng.

iu 4: Thng bo xp hng
Trong vng 05 ngy lm vic sau khi hon thnh vic xp hng bn Bn s thng bo cho
bn Mua v ngi nhn hng do bn Mua theo thng bo xp hng bng Fax.
iu 5: Bt kh khng
Trong trng hp vic thc hin Hp ng b nh li, tr hon do nh hng hoc 1 phn b
nh hng ca chin tranh.,bo lon, nh cng, hoc cc tranh chp lao ng, ho hon,
lt bo hoc bt c nguyn nhn no gy ln bn ngoi mun ca hai bn th hai bn s
khng b rng buc trch nhim i vi hp ng hoc bt c phn no ca hp ng ny
iu 6 :Bo him
Bn mua s mua bo him ri ro thiu ht . Bn gim nh s do cng ty Bo him ch nh.
iu 7 : Gim nh
Bn mua c th mi NKKK gim nh quy cch hng ho. Nu c bt k khiu ni no v
quy cch hng ho, bo co gim nh ca NKKK s l kt qu cui cng . Ph gim nh do
bn mua tr.

iu 8 : Trng ti
Trong trng hp c tranh chp hai bn khng th gii quyt bng thng lng hoc bt k
khiu ni no lin quan n hp ng ny trong vng 80 ngy s c chuyn n Trung
tm trng ti quc t bn cnh phng Cng nghip v thng mi Vit Nam gii quyt.
Quyt nh ca Trng ti l phn quyt cui cng hai bn chp nhn, mi chi ph s do bn
thua thanh ton.
iu 9: Nguyn bn
Hp ng ny to lp hp ng nguyn bn giax hai bn v thay th tt c cc giao dch
trc , cc phn th hin, cam kt hp ng ny c lp bi hai bn theo ch ca
hp ng v khng c sa i tr khi c s ng bng vn bn do cc cn b c
u quyn hp php hai bn chp nhn.
iu 10: Thng bo
Bt c thng bo, yu cu, tho thun, cho hng hoc i hi a vo hp ng ny phi
c lm thnh vn bn v gi y , c giao tn tay hoc gi bng bu in, telex hoc
in tn v phi c bu in xc nhn.
iu 11: Sa i
Hp ng ny hai bn khng c thay i, sa cha tr khi nhng thay i, sa cha c
lm thnh vn bn v c hai bn k xc nhn.
Hai bn cng tho thun thc hin nghim tc bn hp ng ny.

This contract was made in VIETNAM and entered into on this November 8th 2002 between
APRO METAL CORP., organized and existing under the law of KOREA ( hereinafter referred
to as The Seller) & HONG BANG SHIP BUILDING INDUSTRY & CONSTRUCTION CO
( VISDEMCO) organized and existing under the law of Vietnam ( hereinafter referred to as :
The Buyer)
WITNESSES:
Whereas, Seller sellers the products (to be hereinafter defined), and
Whereas, Buyer buys the products which shall be specified in the ADDENDUM 1
Now therefore, in consideration of mutual convenient herein contained, the parties agree as
follows:
Article 1. Commodity, Specification, Quantity, Price, Amount & Consignee
The products shall be specified in the addendum showing commodities, price, quantity and
specification which constitute an integral part of this contract.
The consignee appointed by the buyer is HONG BANG SHIP BUILDING INDUSTRY &
CONSTRUCTION CO ( VISDEMCO)
Article 2: Terms of payment

2.1 The L/C shall be payable at the country of beneficiary against the following shipping
documents.
- Documents required for negotiation:
+ Full set of original Clean on Board Bill of Lading marked Freight Prepaid made out to the
order of the issuing bank and notifying the applicant
+ 3/3 signed Commercial Invoice based on net weight issued by the Seller in triplicate
+ 01 Original & 02 copies Certificate or Origin issued by Japanese Chamber of Commerce
and Industry
+ 3/3 Detailed packing list showing net/gross weight in total and total pcs.
01 original or 01 copy of Certificate of quantity, issued by NKKK at the loading port.
+ A copy of fax message advising the applicant and issuing bank of shipment particular
within 03 days after shipment, including vessel ETD, ETA, net and gross weight, B/L number
and date, commodity, total amount, name, nationality and age of vessel, shipping agent in
HaiPhong, invoice value and L/C number
+ Beneficiarys certificate certifying that 01 set of non-negotiable documents has been sent
directly to applicant by express courier within 05 days after shipment date
Note:
+ L/C must be opened within 03 working days after signing the contract
+ Third party documents are accepted
+ Charter party B/L acceptable.
+ All banking charge outside Vietnam are for the sellers account and all banking charge
inside Vietnam are for the buyer account. Charge for attend, if any, are for account of party
who request unless L/C is not opened in accordance with this contract.
Article 3: Shipment

3-1 Destination in Haiphong port, Vietnam

3-2 Partial shipments are not allowed.
3-3 Transshipments are not allowed.
3-4 Loading on board from any Japanese Port
3-5 Latest date of shipment: December 15, 2002.
3-6 Buyers shall arrange a crane at discharging port.
Article 4:
Within 95 working days after completion of loading of the goods Seller shall provide the
Buyer and consignee appointed by the Buyer with notice of shipment by fax.
Article 5: Force majeure
In the event that the performance of this contract is prevented or delayed, in whole or in part
by war, revolution, riot, strike or other causes beyond the control of the parties hereto, then
the parties shall not be liable for any default in the performance of all or part of this contract,
provided that immediate notice of said delay shall perform such obligations with all due
speed unless the contract is previously terminated.
Article 6: Insurance
The buyer will buy Insurance covering shortage risk. The inspection agency will be Insurance
Company.
Article 7: Arbitration
In case of disputes and the parties can not reach an amicable settlement or any claim
concerning this contract within 90 days from its occurrence, the case will be transferred to
International Arbitration Center of the Chamber of Commerce and Industry of Vietnam for
final settlement under the rules of conciliation and Arbitration will be final and all the fees and
expenses incurred in the arbitration shall be borne by losing party.
Article 9: Entirely
This contract constitutes the entire contract between the parties and supersedes all previous
negotiation, representation, undertakings hereto fore made between the parties with respect

to the subject matter, and shall not be modified except by the mutual agreement in writing by
duly authorized officers of the parties here to.
Article 10: Notice
Any notice, request, consent, offer, or demand required or permitted to be given in this
agreement shall be in written and shall be sufficiently given that it should be delivered in
person or sent registered airmail, telex or cable confirm by registered airmail letter.
Article 11: Amendment
This contract is not changed, modified or amended by the parties of this contract provided
that such change, modification or amendment is in written and signed by both parties.
IN WITNESS WHEREOF, the parties have caused this Agreement to be excuted by their duly
authorized representative as the date of the first above written.
