DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered into by:

RBT BANK, INC. (formerly Rural Bank of Talisayan Inc.) a corporation duly organized
and existing under the laws of the Philippines, with principal office address at Poblacion,
Talisayan, Misamis Oriental represented herein by its President and Chief Executive
Officer WILNER A. PALACIOS hereinafter called the SELLER

-AND-

TIBURCIO M. PALASAN, Filipino and with residence and postal address at Morning
Mist Village, Pueblo de Oro, Cagayan de Oro City, hereinafter referred to as the
BUYER.

WITNESSETH;

WHEREAS, the SELLER is the registered owner of a parcel of land located at

Himaya, El Salvador City and covered by Transfer Certificate of Title No. T- 41555
containing a total area of Thirty Four Thousand Five Hundred Thirty One (34,531)
square meters, more or less, and more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO. T - 41555

"A PARCEL OF LAND (Lot 10213, Cad 237) beginning at a point marked “1” of lot
10213 of the cadastral survey of Cagayan, being N. 54-06’ W., 727.95 m. from BLLM
No. 70, Cad. 237, thence: S. 39-18’ E., 108.55 m. to point 2; S. 44-21’ W., 157.04 m. to
point 3; S. 76-42’ W., 108.43 m. to point 4; N. 36-21’ W., 12.18 m. to point 5; N.35-47’
W., 118.34 m. to point 1 point of the beginning; containing an area of Thirty Four
Thousand Five Hundred Thirty One (34,531) square meters situated at Brgy. Himaya, El
Salvador City, Misamis Oriental.

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the
above mentioned property for the amount of Three Million Two Hundred Thousand
Pesos Only (P3,200,000.00)Philippine Currency;

NOW THEREFORE, for and in consideration of the sum of (Three Million Two Hundred
Thousand Pesos (P 3,200,000.00)Philippine Currency, hand paid by the vendee to the
vendor, the SELLER DO HEREBY SELL, TRANSFER, and CONVEY by way of
Absolute Sale unto the said BUYER, his heirs and assigns, the certain parcel of land
together with all the improvements found thereon, free from all liens and encumbrances
of whatever nature including real estate taxes as of the date of this sale.
