    MEMORANDUM OF AGREEEMENT

    KNOW ALL MEN BY THESE PRESENTS

    We, ANTONIA ALFORQUE, APOLONIA L. ALFORQUE, ADONIS L.


    ALFORQUE, ADARME L. ALFORQUE
    and GRETCHEN L. ALFORQUE all of legal ages, Filipinos, and a resident of Bolinawan,
    Carcar City, Cebu, Philippines,
    hereinafter referred to as the FIRST PARTIES;

    -and-

    Spouses MICHAEL T. ALIGWAY AND LILIBETH L. ALIGWAY, likewise of legal


    age, Filipino, and a resident of H. Abellana
    St., Cubacub, Mandaue City, Philippines, hereinafter referred to as the SECOND
    PARTIES;

    -WITNESSETH-

    The parties do hereby agree the following terms and conditions to wit

    1.) The FIRST PARTIES are the co-registered owners of a parcel of land known as
    Lot No. 767-B with an area of TWO HUNDRED
    THREE (203) SQUARE METERS and Lot No. 767-C with an area of ONE HUNDRED
    SEVENTY SEVEN (177) SQUARE METERS more
    or less, situated in the Barangay of Tugas, Carcar City,Cebu;

    2.) The FIRST PARTIES in case of sale of the abovementioned lots will give the
    SECOND PARTIES the first priority to buy;

    3.) That the prices of the said lots are still subject to stipulations;

    4.) That this agreement was entered into by both parties without force and
    intimidation,
