SPECIAL POWER OF ATTORNEY REVOCABLE

THIS SPECIAL POWER OF ATTORNEY is executed at Lucknow on this 14th day of

October by

Board of Directors of financial institution named as Turbo Private Ltd. presently situated at
Church Road, B Block, Indira Nagar, Lucknow hereinafter referred to as the ‘Executant’.

AND WHEREAS the Company has to enter into various agreements and contracts and
execute various sorts of documents, including leases, guarantees and counter guarantees,
indemnity bonds and maintaining all the financial records.

AND WHEREAS it is considered necessary and expedient to execute a General Power of

Attorney in favour of Chief Operating Officer of the company so that he can also exercise and
execute the work of the Board of Director of the company.

AND WHEREAS the Board of Directors of the Company,passed in their meeting held on 12 th
of October have resolved to execute and register a General Power of Attorney in terms of the
draft placed before the Board in favour of the Chief Operating Officer Mr. Vivek Singhania
To exercise rights on behalf of the Board of directors of the company.

NOW, THEREFORE, BY THESE PRESENTS, I/We, Board of Director of the Company

named Executant, do hereby jointly & severally nominate, authorize constitute and appoint
Chief Operating Officer Mr. Vivek Singhania son of Mr Shikhar Singhania, resident of
Eldeco,Sitapur Road Lucknow as our true and lawful attorney, hereinafter referred to as the
‘Said Attorney’, in fact and in law for me/us and in my/our name and on our behalf for the
purposes mentioned hereinabove and particular this is to say:

1. To operate bank accounts of institution

2. To Collect rent of property

3. To buy and sell property

4. To file or defend a suit, if any

And I/We, the above-named Executant/s, do hereby agree and undertake that all the acts, deeds,
matters and things, etc lawfully done by the Said Attorney in respect of the Said Unit and for
the purposes mentioned hereinabove shall always be deemed, attorney and ratified and shall be
construed as acts, deeds, matters and things legally done by me/us and shall always remain
valid, legal and binding on me/us.
