day of August 2010, We, (1) MRS ANPI SHAW, wife of Late Bhikhari Prasad Shaw,

by faith - Hindu, by occupation – Housewife, (2) MASTER RAJU SHAW, (3)

MASTER SAMEER SHAW, (4) MASTER RAKESH SHAW no. 2, 3, and 4 all are the

son of Late Bhikhari Prasad

natural guardian, mother MRS ANPI SHAW, all are residing at

Himnagar, P.O. and P. S. - Dankuni, District – Hooghly and (5) SMT

ROHINI PRASAD, wife of SANJAY KUMAR PRASAD, by faith – Hindu, by

occupation – Housewife, residing at 168/1 Sardapally, Sector 2, P.O.

Makhla, P. S. Uttarpara, District Hooghly do hereby nominate,

constitute and appoint SRI TUKLAL SHAW, son of late Late Bhikhari

Prasad Shaw, aged about 25 years, by faith- Hindu, by occupation –

Business, resident of Himnagar, P. O. & P. S. Dankuni, District Hooghly,

AS OUR TRUE AND LAWFUL ATTORNEY, FOR US IN MY NAME AND ON

MY BEHALF, to do an execute and perform or cause to be done,

executed and peformed all or any of the following acts, deeds, and

things:

1. Late Bhikhari Prasad Shaw was owner of M/S PERFECT BUILDERS,

Himnagar, P. O. & P. S. Dankuni, District Hooghly, expired on 9 th

August, 2010, living behind above-mentioned legal heiress. They

are the owner of all his assets including M/S PERFECT BUILDERS.

Therefore the operate/ act on behalf of M/S PERFECT BUILDERS,

this POWER OF ATTORNEY is executed.

2. To work, manage, control, and supervise the management of all

affairs of M/S PERFECT BUILDERS, a contractor business concern

of Himnagar, P. O. & P. S. Dankuni, District Hooghly, now fully

described in the schedule below or hereafter belonging to us and

protect them from fraudulent or others.

3. To enter into contract, covenant and arrangement of any kind

whatsoever in relation thereto and to modify, revoke and cancel

the same as he shall think fit and proper.

4. To sign and give notice and notices to any customer and others

for the payment of the dues of M/S PERFECT BUILDERS, a

contractor concern and to avail of and enforce all remedies open

to us in respect thereof and to enter into any contract with a view

to develop the business or exercising any right vested in us.

5. To make, sign and verify all applications or objections to

appropriate authorities, Court Of Law, Tribunals, or such other

places for conducting court cases or any other required by Law in

connection with the management and development of the

aforesaid business.

6. To appear for and represent me before the Board of Revenues,

Collector of the District, Sub-Divisional Officer, any magistrate,

Judge, Munsiff, and in all Government Offices, Commissioners, in

all matters and things relating to the business affairs of M/S

PERFECT BUILDERS, and its estate or its affairs.

7. To appoint, engage on my behalf pleaders, advocates or solicitors

whenever our said attorney shall think proper to do so and to

discharge and /or terminate his or their appointment.

8. To compromise, compound or withdraw cases, or be non-suited

to refer to Reference Court or Arbitration all dispute and

differences, and to sign, verify, and file applications for execution

of decrees and orders.

9. To delegate all or any of the powers, authorities and liberties

hereunder vested and to appoint any substitute or substitute

limited to any one or more purpose as he shall from time to time

desire in that behalf.

10. TO WITHDRAW THE AMOUNT DUE IN THE ACCOUNT OF

M/S PERFECT BUILDERS FROM ANY CONCERN AND TO ENTER IN

THE NEW VENTURE OR CONTRACT ON BEHALF OF M/S PERFECT

BUILDERS WITH ANY PERSON OR CONCERNS.

11. GENERALLY TO ACT as our Attorney or agent in relation to

the matter aforesaid and all other matters in which we may be

interested or concerned and on our behalf to execute and to all

deeds, acts or things as fully and effectual in all respect as

ourselves to do if personally present.

12. AND GENERALLY to act Our Attorney or Agent in India in

relation to all matter in respect of our schedule property and

building which we are now or may thereafter be interested or

concerned and on our behalf execute and do all instruments, acts,

matters and things as fully and effectually as we could do it

personally present and we hereby agree to ratify and confirm

whatsoever Our said Attorney shall lawfully do or purport to do by

virtue of these presents.

AND WE HEREBY AGREE TO RETIFY AND CONFIRM all and whatsoever

attorney shall lawfully do or cause to be done, under the power in that

behalf herein before contained, execute or perform in exercise of the

power, authorities and liberties hereby conferred upon under and by

virtue of this deed.
