Offer & Appointment Letter

Dear Syed Hussain Aouj,


With reference to your application and subsequent interview you had with us, we are pleased to
appoint you as “Networking Specialist” in our organization with effect from February 03, 2014
subject to the following terms & conditions. This letter of appointment supersedes all other
communications made to you prior to the date of issue of this appointment letter.

01. PLACE OF WORK


Your place of work will be “Scalar Soft”, Hyderabad. However, you may be required to work
with our clients anywhere in India or overseas, if the company so directs based on the exigencies
of work. You would also provide your services for the company, its clients, subsidiaries or
associates, if, as, and when required. You are expected to work in any shifts as requested by the
company, no matter how many days and in this period no extra pay or benefits are given.

02. EMOLUMENTS
Your total compensation (Cost to the Company) will be Rs.3,50,016/- (Rupees Three Lakhs Fifty
Thousand And Sixteen Only) per annum. The breakup of emoluments is annexed here with.
You are not covered under the Gratuity, Insurance, Retirement benefits and you are in acceptance
of this. However, in the event of Company decision to implement/introduce any of the above-
mentioned benefits keeping in view the collective benefits of the Employees, you are in agreement
to it and also that it would be a cost to the employee.

03. REPORTING
You would be reporting to the General Manager/Client-side Manager and/or to whosoever the
Company deems fit to be your supervisor.

04. PROBATION
You will be placed on probation for a period of six months from your date of joining. On the
successful completion of your probation period, you will be confirmed in writing. Your probation
period can be extended in case the management/client is not satisfied with your performance. The
Probation period will be assumed to have been extended until such time as you receive your
confirmation in writing.

05. REVIEWS
Performance review will be done on a yearly basis. Your increments are discretionary and will be
subject to and on the basis of your effective performance upon evaluation by the management/
client supervisor and results of the company/ Client Company Generally salary review would be
done once every year, usually during the end of financial year.
06. RESPONSIBILITIES
In view of your office you will be required to carry out your duties and responsibilities effectively,
to achieve the desired results, which may include working late hours.

07. LEAVE
Every employee is eligible for leaves as per the prevailing leave policy only upon the completion
of the stipulated probation period.

08. NO SIMULTANEOUS EMPLOYMENT


While employed with this company, you will not in any circumstances be permitted to work for
any other firm or person, either whole time or part time, to own, or in any way be associated with
any firm or person as advisor, director or partner, whether paid or not, for your services, without
prior written permission of the company.

09. CONFIDENTIALITY OF INFORMATION


You will not, during the continuance of this appointment and thereafter, disclose, divulge or
communicate to any interested or other person, whatsoever, any information relating to the
company’s technical knowhow, business practices or any other information of a confidential
character.
The employee shall treat all information obtained by him/her during the course of his/her
employment with the company, either directly from the company, as strictly confidential.

10. DISCIPLINE
You will be governed by the company’s rules and regulations that may be promulgated from time
to time.
You shall not refuse to take up any assignment that may be offered to you by the company.
You shall be expected to abide by the rules and regulations of the company, be courteous, honest,
and professional within the company or with its clients/customers, and maintain & represent the
company’s high standards of professional Services at all times, whether in the Company or at its
client’s site(s).
You shall be responsible for all company properties and material that are in your possession, and
all infrastructure like telephones, computer, projectors etc. that have been provided to you to
enable you in your work.
You shall not publicly criticize, defame or misrepresent the company and shall not, knowingly,
commit any such actions which may result in the company’s image/business being adversely
affected.

11. WORKING HOURS


You shall be expected to work a minimum of 8 hrs. per a day. The working hours are subject to
change, depending on the requirements of the company.

12. AUTHENTICITY OF INFORMATION


This appointment is made on the basis of information provided by you in the application and also
at the time of interview. Original copies of your certificates, testimonials, and previous
employment records should be submitted along with the photocopies for verification. If any
declarations given by you to the company prove to be false or if you are found to have willfully
suppressed any material information, you will be liable to be removed from service without any
notice, irrespective of when the desired verification check is done.
13. NOTICE PERIOD & TERMINATION
This contract of employment is terminable by employee by giving a 30 working days’ notice
during probationary period and a 15 working days’ notice on/ after confirmation or on payment
of salary in lieu of the notice period.
In the event of any misconduct or breach of terms of employment on the part of the employee
during probation or on/after confirmation the Company reserve the right to terminate this
contract immediately without any notice and the employer is not under any obligation to
compensate/pay/settle any outstanding pay, benefits whatsoever.
If any privilege leave is due to the employee, salary in lieu of such leave will not be paid.
Employee is not allowed to use any privileged leave against the stipulated notice period in case
the employee has decided to his services to the company.
On termination of this contract, you will immediately give up to the Company before you are
relived, all correspondence, specifications, formulae, books, documents, cost data, market data,
literature, drawings, effects or records, etc.
You will not be entitled to receive any Experience/Relieving letter if you decide to leave the
company with in the first 6 months from the date of joining. The Management / Client Company
reserves the right to decide in this regard, depending on the legitimacy of the reasons for your
leaving the Company as well as the terms and conditions, which have been set forth in the
employment Contract/ Agreement.
Employees covered under the employment Contractual Agreement however are entirely governed
by the provision & conditions stated in the Employment Contractual Agreement.

14. Transfers
Though you have been engaged for a specific position, your services can be transferred by the
company from one location to another, one department/entity to another, one shift to another.
Your services can also be transferred to any of the company's subsidiary companies, associate
companies, partners, affiliates etc. anywhere in India or abroad depending on the exigencies of
business.

15. Conflict of Interest


Your position with the Company calls for your whole-time employment and you will devote
yourself exclusively to the business of the Company. You will not take up any other work for
remuneration (part time or otherwise) or work in an advisory capacity or be interested directly or
indirectly in any other trade or business, without written permission from the Company.

16. General Conditions


1. Your working hours, weekly offs, periods of work, public holidays, leave rules etc. will
be governed by the rules and regulations of the Company.
2. You are required to sign a “Confidentiality Agreement” with the Company on the day
of joining.
3. You will be covered by Scalar Soft Employee’s Intellectual Property Policy, the
Company’s Code of Conduct and other policies, procedures and other rules as
applicable from time to time.

The above terms and conditions are subject to change from time to time and the same would
be communicated to you in writing. Please sign the copy of this letter, as a token of acceptance of
your appointment on the terms and conditions mentioned above.
