Who We Are:
SUPAASI Solar Auto Tracking Systems is a single location, medium
scale, multi product solar powered energy solutions provider company based
at Ghaziabad in national capital region, Delhi. It is professionally managed
company having state of the art manufacturing facilities at Saddiq Nagar,
Major Asharam Tyagi Road, Opp. DPSG, Ghaziabad.
The company has got in principal approval from MNRE (Ministry of New &
Renewable Energy, Government of India, New Delhi) for its capability in start-
up category of solar power rating for decentralized solar PV applications
having validity of its grading till June 29, 2019.
The company is promoted by a young and dynamic first generation
entrepreneur, Mr. Sudhir Parswal with his associates in 2016. Though Mr.
Sudhir Parswal had been into this line of activity for more than 5 years but that
was in the capacity of supplier only but taking inspiration from start-up and
make in India initiative of our Prime Minister Mr. Narendra Modi for
encouragement of alternative source of energy, he chose to start his own
venture for manufacturing of full-fledged solar power plants.

About the Management:

Mr. Sudhir Parswal aged about 52 years, a graduate and belongs to a reputed
business family of Bijnor having interest in agriculture equipment and renewable
energy. After completing his studies about three decades back, he joined family
business then head by his father Late Sh. S. P. Singh, by sharing responsibilities of
their traditional family business of agricultural equipment under the name and style of
M/s Sunjai Farm Traders.

As stated earlier that Mr. Sudhir Parswal belongs to much respected business family
and he could have easily enjoyed hassle free luxurious life but he chose to make his
own mark in the corporate world and to be a self-made man he explored the possibility
of new venture apart from traditional family business. Since the then Bijnor and its
surrounding area was severely affected by frequent long duration power cuts
particularly in summer season, which created demand for an integrated supply and
service provider for uninterrupted power supply solution, Mr. Sudhir Parswal had
foreseen its potential and as a visionary entrepreneur actualized his dream by taking
first step to start a Firm m/s Power Solution supply and service provider outlet at Bijnor
under the same name and style of M/s Sunjai Farm Traders. The response was
overwhelming and in a very short span Mr. Sudhir Parswal established himself in the
line of activity. Under his able guidance and leadership the outlet grew leaps and
bounds and become a synonym for Safety, Trust, Accuracy, Responsiveness and Time
(START).

project site, site layout, and soil condition and evacuation scheme. Such changes will
have commercial implications.

1. Installation Details:

The following details of the installations are as follows:-

any shades, facing south.

2. Structural anchoring Panels shall be mounted on GI structure

inclined at 24 º(15 º to 35 º for smart static)

service in future. The frames will be

lengths to provide the pre-determined

4. Commercials:

2. General Scope of Work:

1. Prepare full system design to include structural, electrical and mechanical

components, with construction drawings and specifications.

2. Procure equipment and materials and deliver to site.

3. Perform complete system installation.

4. Provision and installation of Electrical & Earthing.

5. Provision and Installation of DG back current relay ( L&T).

6. Test all electrical components in accordance with manufacturer instructions.

7. Installation of data logger (communication cables and relevant ports to be provided by

client till inverters).
8. Commission the system to full operability.

3. Expected support from Client:

Site-specific considerations will require assistance and cooperation from the client, as
outlined below:

1. Provide access to work site for delivery of equipment and materials prior to and
during project implementation.

2. Provide a suitable and secure space for storage of equipment and materials.

3. Facilitate interfacing with the client’s resident engineering staff for consultation
as needed.

4. Separate electrical loads as discussed in Part A (Grid Interfacing) and connect

solar output to building load system.

5. Provide communication cables till inverters for data logging.

6. All the Statutory clearances, if any, required for the Project.

10. Others terms & conditions:

I. CHANGES & DELETION:

In line with our policy of continuous improvement of specifications, we reserve the right
to modify the design and change the specification of any material, if in our opinion such
modification constitutes an improvement or is in accordance with revised standards or
manufacturing methods. Therefore, specifications, illustrations, dimensions and
weights given in our catalogues, drawings or photographs are not binding in detail.

II. ITEMS NOT INCLUDED:

a) Supply and installation of main 1 phase power connection.

b) Protected storage space at site.
c) Power for erection, testing and commissioning of the plant.
d) Any other item not specifically mentioned in Bill of Quantities.

III. VARIATION AND SCOPE OF WORK:

If there are any additions or changes to the scope of work outlined in our proposal and
its annexure, the value of the contract will be enhanced accordingly and payment will

IV. SITE FACILITIES:

The customer will provide at his cost, adequate, acceptable independent lockable
storage facilities to us for storage of equipment, materials, tools and tackles etc.
brought to the site from time to time during the execution of the contract.

Facilities including water and power required for erection, testing and commissioning
will be provided by you in time free of cost at points to be nominated by us

V. LIENS AND TRANSFER OF PROPERTY:

Property in all equipment/materials/supplies etc. brought to the site in execution of the

contract by us shall at all times lie with Supaasi Solar Auto Tracking Systems Pvt. Ltd
(notwithstanding the fact that the progress bill have been paid for). The right to
transfer of property in the job executed by us shall get transferred to you only upon full
payment of all the dues to Supaasi Solar Auto Tracking Systems Pvt. Ltd and upon
formally being handed over to the customer. Supaasi Solar Auto Tracking Systems
Pvt. Ltd reserves the right to remove any of such equipment/materials/supplies etc.
whether installed or in loose condition without any let or hindrance from the customer
from the work site.

VI. COMPLETION OF WORK:

The entire contract works are due to be completed within mutually agreeable period
from the date of signing of the acceptance of the order, on receipt of down payment
and also receipt of all technical information / data from our / your Architects / your
Consultants, necessary to enable us to proceed with the job and handing over of clear
site to us on approval of drawings. However, the execution of the work, and also the
completion date are subject to delays, if any, on your part in providing us with any.

material and services not included in the contract, or any default by sub-contractors or
reasons beyond the control including strike, lock out, fire, accident at the works site or
during transit of materials to site, war and war-like operations, hostilities, civil
commotion, capture, seizure, detention, blockade, labor disturbances, go-slow tactics,
work to rule, lay-off or closure of factory or portion thereof on account of political, labor
or other disturbances or otherwise and the consequences thereof and also any reason
amounting to Force Majeure. In no event, we shall be liable to consequential loss or
damage arising out of our connected with this contract in any way whatsoever.

VII. MATERIAL AND WORKMANSHIP WARRANTY:

Subject to the terms of payment being punctually complied with the equipment being

operated properly, the equipment covered by the contract work is guaranteed by us

against faulty materials and workmanship for a period of 60 months (5 years) from the
date of commissioning or 63 months (5 year 3 months) from the date of dispatch
whichever is earlier, by repairing or at our option replacing free of charge, the faulty
parts that may be found during such period.

This WARRANTY –

A. Does not extend to consequential damage or losses;

B. Is null and void if repairs and modifications are carried out without our
approval in writing;
C. Does not cover cleaning of Modules.

VIII. ARBITRATION:

Any dispute or difference whatsoever arising between the parties out of or relating to
the construction, meaning or operation or effect of this agreement shall, unless
resolved amicably, be settled by Arbitration of three Arbitrators one to be appointed by
each party and the third Arbitrator (who shall act as the presiding
Arbitrator) to be appointed by the two Arbitrators. All proceedings under such
Arbitration shall be held in Ghaziabad and would be in accordance with the provisions
of the Arbitration and Conciliation Act, 1996 and any statutory modifications or re-
enactment thereof.

It is agreed and understood that the Court having jurisdiction over Ghaziabad alone
shall be competent to entertain any Application or Petition pertaining to the Arbitration
Agreement and/or arbitral proceedings pursuant to this Clause.
