AGREEMENT OF LEGAL ADVISORY AND RETAINERSHIP

THIS AGREEMENT is made on 15th day of March 2007 between:

CHAUDHRY DAWOOD KHALID, Chief Executive and

Managing Partner of M/S. CHAUDHRY MOTORS, H-24,
Murree Road, Rawalpindi

AND

ISRAR AHMAD ABBASI Advocate High Court J/285 Murree

Road, Rawalpindi.

THE CHUDHRY MOTORS in a Registered Firm who is

authorized dealer of Pak Suzuki Motor Company Ltd, deals in

Suzuki Motors, Its workshop & parts & it shall hereinafter be

referred as FIRM. Israr Ahmed Abbasi in a practicing Advocte

of High Court having 18 years High Court Practice & running

his Law Chamber in the name & style of Brother’s Law

Chamber, J/285, Murree Road, Rawalpindi, hereinafter shall be

referred as Advocate.

 (1) That the FIRM after observing all its legal requirements is

willing to appoint & retain Israr Ahmed Abbasi Advocate

as the Legal Advisor & Advocate has accepted to be the

legal adviser of FIRM. Both the FIRM & Advocate has

hereby agreed as follows.

(2) That the FIRM has agreed to appoint & retain the

Advocate as its legal advisor under the terms and

conditions set forth herein for the initial period of on year

with effect from 15th of March 2007.

(3) That the FIRM shall pay Rs.10,000/- per mensem as

retainership fee to the advocate.

THE ADVOCATE WILL BE ASSIGNED FOLLOWING DUTIES.

a) To tender legal opinion & to take legal actions in

cases referred to him by the FIRM.

b) To examine cases referred to him for decision or

availing further legal remedy or otherwise to

challenge decision /judgments of trial/ appellate

court against the FIRM.

c) To conduct cases & appear on behalf of FIRM in

Courts of law, assigned to him without charging

professional fee.

d) The advocate shall not accept any case against the

FIRM nor he shall accept legal advisory alike

business.

e) The FIRM after due intimation to advocate may

terminate this agreement in case of misconduct on

the part of advocate.

f) The dissolution or insolvency of FIRM shall operate

as termination of this agreement.

KHALID on behalf of the FIRM & Advocate has set their

respective signatures to this Deed on this day of 18 th March

2007.
