SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THIS PRESENT:

That the CLARK INTERNATIONAL AIRPORT CORPORATION (“CIAC”), a

government-owned and controlled corporation duly organized under the Philippine
laws with principal office at the Corporate Office Building, Clark Civil Aviation
Complex, Clark Freeport Zone, Pampanga, Philippines, procured a GROUP LIFE
INSURANCE (“Insurance”) from MANULIFE PHILIPPINES on ___ October 2018
covering all of its regular employees as the “insured”, with an effectivity period of one
(1) year or from __ October 2018 to __ October 2019;

That the premium payment for the Insurance was advanced by the CIAC
Provident Fund Inc. (CPFI), an entity separate and distinct from CIAC and duly
organized under the Philippine laws with principal office at the Corporate Office
Building, Clark Civil Aviation Complex, Clark Freeport Zone, Pampanga, Philippines,
and was created primarily to provide retirement benefits and other related benefits to
the regular employees of CIAC;

That the CIAC is represented by its President and CEO, AARON N. AQUINO,
of legal age, Filipino Citizen, with postal address at Corporate Office Building, Clark
Civil Aviation Complex, Clark Freeport Zone, Mabalacat, Pampanga, 2023, as
evidenced by the Secretary’s Certificate herein attached as Annex A;

That the CPFI is represented by its President, DARWIN L. CUNANAN, of legal

age, Filipino Citizen, with postal address at Corporate Office Building, Clark Civil
Aviation Complex, Clark Freeport Zone, Mabalacat, Pampanga, 2023, as evidenced by
the Secretary’s Certificate herein attached as Annex B;

That on 16 August 2019, ___ (___) employees (insured) have ceased their
employment with CIAC as they have been transferred and absorbed by the private
operator (Luzon International Premiere Airport Development Corp.) of the Clark
International Airport (CRK);

That pursuant to the Insurance Policy, MANULIFE PHILIPPINES shall

reimburse CIAC the premium payments (on a pro-rata basis) of the employees who were
separated from service prior to the expiration of the effectivity period of the Insurance;

That I, AARON N. AQUINO as the President and CEO of CIAC, do hereby

authorize the President of CPFI, DARWIN L. CUNANAN, to do and perform the
following on my behalf:

1. Sign, deliver and receive all documents, papers and instruments for the
processing of the reimbursement of CIAC; and
2. Receive checks representing the reimbursement of CIAC.

and I hereby allow the check representing the reimbursement of CIAC to be

named and/or made payable to the CIAC Provident Fund Inc.

This authorization shall be effective until the check representing the

reimbursement of CIAC is received by the CPFI, unless sooner revoked.
 IN WITNESS WHEREOF, we have hereunto affix our signatures this 22nd day of
