MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This DEED is made and entered into the City of Digos, Davao del Sur,
Philippines, by and between:

____________________________, of legal age , Filipino Citizen and a


residents of Davao City, hereinafter referred to as the first PARTY.

AND

_____________________, both of legal ages , Filipino Citizen and a


resident of Davao City, hereinafter to us the SECOND PARTY;

WITNESSETH:

WHEREAS, the FIRST PARTY are the owners of a parcel of a land


containing an area of FIFTY SIX THOUSAND FORTY FIVE (56,045) SQAURE
METERS, more or less under Transfer Certificate of Title No. _____________
located at _______________;

WHEREAS, the FIRST PARTY agreed to sell the above-mentioned


property in the amount of TWO THOUSAND PESOS (P2,000.00) PER SQUARE
METER;

WHEREAS, the FIRST PARTY hired ____________________________ by


virtue of Authority To Sell to find, locate and negotiate investors for the selling of
the above mentioned property and conduct due diligence and legal review of all
transaction of the same;

WHEREAS, the SECOND PARTY is willing to help the FIRST PARTY to


sell the above-mentioned property and shall entitled to receive compensation
sharing of sale.

NOW THEREFORE, for and in consideration of the above mentioned


parties for herby mutually agree and bind themselves to the following, terms and
conditions, to wit:

1. That BOTH PARTIES agreed that the amount of the aforementioned


property shall be TWO THOUSAND (PHP 2,000.00) per square
meter;

2. That the SECOND PARTY shall receive a monetary consideration in


the amount of FIVE HUNDRED (500.00) PESOS per square meter as
finder’s fee from the FIRST PARTY;

3. That the amount of ONE THOUSAND FIVE HUNDRED PESOS


(P1,500.00) per square meter will be due to the FIRST PARTY as the
net selling price of the above mentioned described property;

4. That both parties consent/allow and conform that the legal consulting
due diligence and facilitation fees of ____________________________
shall be the jacked-up price (the difference between the actual selling price
of the property and the fixed price of the seller of P2,000.00 per square meter)
as stated in the authority to negotiate. And the same shall be directly
given by the buyer to
_______________________________simultaneous with the payment of
the full actual price.

5. That ___________________________ shall facilitate that both parties


shall receive infull the consideration under this agreement.
6. That any violations of any party to any provision of this agreement
shall be liable for damages.

7. Venue, any legal action for any controversy over this agreement shall

IN WITNESS HWEREOF, the parties have hereunto set their hands this ______
