Letter of Intent

Dear Mr. Ramesh Pandey

This is further to your proposal discussed with us on 24 th July 19 and on the date of the
issuance of this “letter of Intent”, to provide Mobile based EMPLOYEE TRANSPORT
APPLICATION to all our staff, we are pleased to confirm our intent of acceptance for the
aforementioned as per the following details.

Strategic alliance

This LOI has purely been issued for strategic alliance to counter the technological challenges
in ETMS and to stand firm in the price sensitive market. Any contract with the new client after
this will be based on mutual agreement keeping in view of the client requirements and his
financial capability.

Both Smart 24x7 and Mallick Travels are free to pitch each other services wherever they see
or foresee the business possibilities.

Equipment and applicability

The said Applications must be compatible to Android, IOS based phones. Additionally SMART
would ensure the regular updation of its application to always remain compatible to such
mobile platform

SMART shall provide regular reports, MIS and logs as and when required in addition to the
regular reports which are necessary and customary to make the whole operations functional.

Notifications

Manpower

SMART shall provide appropriate manpower for training Mallick Travels Staff on the systems.

Quality of products

SMART shall take full responsibility that the hardware/ software/ products and services have
to be of the highest standards possible and are in complete accordance with principles of
Safety. SMART shall vouch for all products/services, it is providing whether produced in
house or outsourced.

Termination

This aforementioned agreement/contract can be terminated at a Notice of 90 days by both

parties with no liabilities whatsoever apart from outstanding invoices. Breach of any
aforementioned conditions or reports of unacceptable behaviors or conditions shall constitute
grounds of penalizing action, including instant termination of services and damages may be
levied at the discretion of Mallick Travels. In such a scenario, outstanding payments shall be
withheld against the pending collection of damages. Any additional expenses towards the
damages shall be recovered from SMART.

Confidentiality

In execution of this LOI or otherwise, all information regarding the business or activities of the
Company shall at all times be treated by the Service Provider as confidential and shall not be
disclosed or circulated to the competitors except with the prior written consent of the
Company or to the extent that the information is or comes into public domain through no fault
of the Service Provider, or that such disclosure is required by law.
