SPECIAL POWER OF ATTORNEY

KNOW BY ALL MEN THESE PRESENTS:

We, ______________________, of legal age, with residence at


_________________________________________________________________, and
__________________________, of legal age, with residence at
_________________________________________________________________, do hereby name
constitute, and appoint ________________, of legal age, married, Filipino, to be our true
and lawful Attorney-in-Fact and in our name, place, and stead, do perform the
following specific acts:

1. To sell, transfer, convey, mortgage, or otherwise encumber the Property


covered by Transfer Certificate of Title No. ___________________ of the Registry of
Deeds of the Province of Cavite, located at ____________________, and/or any of its
improvements or subdivisions, in whole or in part, as well as any Title
derived therefrom, for whatever consideration and upon such terms and
conditions as the attorney-in-fact may deem proper;

2. To receive any offers for purchase of the Property, or a portion thereof, from
any interested party, and to otherwise negotiate and/or communicate with
the interested parties regarding the purchase of the Property;

3. To receive, ask, demand, sue for, recover, collect and to issue receipts for the
proceeds of the sale and/or development of the Property, either in cash,
check, or kind and to pay expenses for income taxes, real property tax and
any and all such expenses that may be agreed upon with the vendee, as well
as to encash any checks issued as payment for the sale; 

4. To sign, execute, receive and deliver, for and in our behalf, the Contract to
Sell, the Deed of Absolute Sale, Memorandum of Agreement and/or any and
all contracts, documents, agreements, instruments, including any
amendment or supplement thereto, as well as any and all tax returns
required by the Bureau of Internal Revenue, relating to or incidental to the
sale/transfer of the Property;

5. To commence, prosecute, defend and oppose all actions and other judicial or
administrative proceedings, including expropriation proceedings, relative to
or arising from and in connection with the disposition of, and all other
matters or causes of action pertaining to the Property. To enter into any
settlement and/or compromise agreement in any and all actions or court
proceedings that are pending or may otherwise arise as a result of
transactions involving the Property, with the corresponding authority to
sign, execute, and deliver any and all documents necessary to said
settlement;

6. To negotiate and enter into a joint venture agreement with any reputable
developer for the conversion and development of the Property under such
terms and conditions as the herein designated attorney-in-fact may deem
most beneficial; and to sign, execute, and deliver any and all documents,
including but not limited to a Joint Venture Agreement, in furtherance
thereof, with the corresponding authority to execute and deliver any waiver
or quitclaim of any and all rights that might have been granted to the
landowner by virtue of said agreement;

7. To immediately take possession, secure, manage, and administer the


Property; and subject to the approval of the application for land use
conversion, to develop the Property into mixed use residential subdivision.
Commercial, recreational and/or industrial estate, pursuant to any Joint
Venture Agreement entered into over the Property;

8. To sign, execute, and deliver the “Sworn Application for Land Use
Conversion” with the Department of Agrarian Reform pursuant to the
proposed conversion of the Property from agricultural use to mixed-use
residential, commercial, recreational and/or industrial uses and purposes;

9. To apply for and secure all necessary certification, authorities, permits,


clearances and approvals with the proper government agencies, including
but not limited to the Department of Agrarian Reform, Department of
Environment and Natural Resources, Department of Agriculture, National
Irrigation Administration, Housing and Land Use Regulatory Board, as may
be required or necessary for the conversion and development of the
Property, and to sign, execute, and deliver all documents of whatever nature
in furtherance thereof;

10. To apply for the issuance and/or correction of the corresponding tax
declaration with the Office of the Provincial Assessor of Cavite or Municipal
Assessor of Silang pursuant to the aforementioned Property, and secure the
release of the new tax declaration;

11. To apply for the consolidation and/or subdivision of the Property and to
execute, sign, enter into and deliver all documents and papers, of whatever
kind and nature, including but not limited to the subdivision plan, as may be
required and necessary in furtherance of the above granted authorities.

12. To name, appoint, authorize, and constitute any person to be their lawful
attorney-in-fact/authorized representative, to do and perform all acts which
the Corporation is authorized to do pursuant to the authority herein granted;

13. To do such any other act or thing that may be required necessary or
incidental to carry out effectively any and all of the purposes for which this
authority is hereby given;

14. That this Special Power of Attorney is coupled with interest and, therefore,
could not be cancelled or revoked without the consent of the above
designated Attorney-in-Fact.

Giving and granting unto said attorney-in-fact power and authority to do


every at necessary and required in connection with these presents, and hereby
ratifying and confirming all that it may do by virtue of these presents.
