LOAN AGREEMENT

This Loan Agreement with Mortgage made and entered into this ______ day of
__________ 2020, at Calamba City, by and among:

ROBERTO V. TINSAY JR. a Filipino citizen married to ELAINE B. TINSAY and


residents of Zone 1 Sayre Highway, Brgy. Kalasungay, Malaybalay City, Bukidnon,
hereinafter referred to as as the “BORROWER”;

-and-

NUTRIVA AGRI-VENTURES CORPORATION , a corporation duly organized and


existing under and by virtue of the laws of the Philippines with address and place of business
at Brgy. Lawa, Calamba City, Laguna represented in this transaction by EMIL ANTHONY
PO being duly authorized for the purpose, hereinafter referred to as the “LENDER”;

The Lender and the Borrower are collectively known as the “Parties”. The copy of the
Secretary’s Certificate showing the authority of Mr. Emil Anthony Po to represent the
company of the LENDER is herein attached as Annex “A”.

WITNESSETH: THAT

WHEREAS, the Borrower has requested a term loan in the amount of THREE MILLION
PESOS PESOS ONLY ((P3,000,000.00) from the Lender, payable in a period of three (3)
years, to be used exclusively for the repair and qualification of (eight) 8 existing units of
Poultry Houses located in Bgry. Alas-as, Dalwangan, Malaybalay City, Bukidnon.

WHEREAS, the Lenders have agreed to extend a term loan to the Borrower subject to
the terms and conditions set forth herein;
NOW, THEREFORE, for and in consideration of the foregoing premises and of the
mutual covenants and agreements hereinafter stated, the Parties hereto agree as follows:
1. The LENDER grants to the BORROWER a loan on the maximum amount of
THREE MILLION PESOS (P3,000,000.00) to be released to the Borrower upon
signing of Loan Agreement with Mortgage.
2. The BORROWER undertakes to pay their loan by amortization to be paid under the
following agreed schedule of payment:
Start of Amortization: April 31, 2021 with 8% Diminishing Balance-Based Interest Rate
per annum and payment
Star of Payment of Interest: October 31, 2020

2.1 The parties have agreed that payment of the amortization due may, at the
option of the Lender, be deducted from the nearest grower’s fee if one is due to the
Borrower. The latter authorizes the said deduction by virtue of this Agreement without

need of any other written authority. The Lender shall notify the Borrower immediately
after each deduction, if any, and shall furnish the Borrower with the statement of
account showing the deduction and the loan balance upon request.

2.2 In the event that there will be no due grower’s fee to the Borrower at the
date of any of the above amortization schedule, the Lender may collect the amortization
due from the Borrower who undertakes to pay within a period of three (3) days from
receipt of the collection notice or date of the schedule of amortization, whichever
comes earlier.

2.3 If the Borrower fails to make payment when due of any sum
provided above at the stated maturity, the Borrower shall continue to accrue on
such unpaid obligations and without prior written notice from the Lender, be
liable unconditionally to pay a Penalty Rate equivalent to three-fourths percent
(0.75%) per month of delay or a fraction thereof, based on the amount due and
payable, computed daily on a 30-day month basis, payable together with and in
addition to the principal and Interest and other charges due.

2.4 The failure of the Borrower to pay one (1) or more amortization that
has become due and payable shall render the Borrower in default, for purposes
of foreclosure of mortgage.

3. The BORROWER/S shall have the option to prepay the Loan in full which shall
result to the termination of the same.

4.. During the existence of this Agreement, the BORROWER/S shall enter into a
Broiler Contract Growing Agreement for a minimum period of 2 cycles which is for 36 months
or for the entire duration of this Agreement.

5. Failure to comply with any of the provisions of this Agreement gives the LENDER
the right to take such judicial steps or actions against the BORROWERS as the LENDER may
deem necessary and proper for the full protection and enforcement of its rights and interests.
The foregoing provisions notwithstanding, the LENDER shall likewise have the right to
exercise all other legal rights and remedies which may now or hereafter be available to them
under applicable laws.

6. The parties have agreed that this Agreement contains all the agreement of the parties.
Any amendment thereto must be in writing signed by the parties. In the vent that any provision
herein is rendered void or unenforceable either by the subsequent agreement of the parties or
declared by competent authority, the provisions that are not affected shall remain valid and
binding between the parties.

7. The BORROWERS irrevocably agrees that any legal action, suit or proceeding
arising out of or relating to this Agreement may be instituted either in the courts of Calamba
City, Laguna or of Malaybalay City, Bukidnon Republic of the Philippines for an action for
collection, et al. and in the province where the property is located for an action for foreclosure
of mortgage, and by execution and delivery of this Agreement, the BORROWERS submit to
and accept with regard to any such action or proceeding for itself and in respect of its
properties or assets, generally and unconditionally, the jurisdiction of any such court. 

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be duly
executed and signed by them and/or their respective duly authorized representative on the date
and at the place indicated below.
