2. Existing service provider of KPTL need to submit a declaration in their Company


Letter Head mentioning the equivalent EMD amount to be considered from their
outstanding bills.
3. The successful service provider shall have to submit a SD of Rs. 100,000 (Rupees
One Lakh only) in the name of “Kalpataru Power Transmission Ltd (KPTL)”.
4. KPTL needs SD of 100,000/- within seven (7) days OR ELSE EMD will be forfeited,
Contract will be null and void & we will award contract to alternate source.
5. KPTL will share the Bank Guarantee format to the successful service provider.
6. There will be no interest on EMD/SD.

PRICES SHALL BE FIRMING FOR IMMEDIATE FROM THE DATE OF CONTRACT.

IMPORTANT NOTE

Rates for LOW BED & Semi LOW BED inclusive of RTO & ODC charges. Except for normal trailer, Truck, RTO
& ODC charges exclusive of RTO & ODC charges . RTO ODC charges shall be paid on submission of original
challan.

TRANSPORTATION CONTRACT TERMS AND CONDITIONS

1. Payment: The transporter shall submit the bills/invoices along with all required documents as soon as
possible after delivery of consignment at the destination. Payment of the bills will be made within 60
days from receipt of proper bills duly supported by clear Receipt of Original Transporter/Driver copy
from the consignee and other documents as may be required, after deducting recoverable amount, if
any.; In the absence of all necessary documents and bills, the payment is likely to be withheld till we
receive information from the authorized person at the destination about the receipt of full quantity of
material/consignment in good condition.

2. Deployment of Truck for loading material: Trucks must be deployed at the place where consignments
are to be loaded within Twenty four (24) hours of our intimation by E- Mails or unless any other time is
mentioned in the e-mail. However, loading shall commence at 12 noon and in case trucks reach the
site after 12 noon then such trucks will be loaded on next working day only, and in that case Company
does not take any responsibility of loading the same and transporter will not be entitled to any
compensation for detention. If trucks are not arranged within reasonable period of 2-3 days from the
date of our intimation, then we shall arrange trucks from market through other transporter & all
additional cost will be to your account.

3. Loading/Unloading of Trucks: No truck will be loaded or unloaded on Sundays and Holidays unless
prior information is given by transporter and unloading arrangements are confirmed by us. Vehicle
shall be allowed for loading at its rated capacity and no overloading shall be allowed.

4. Transporter’s Obligations: The Transporter undertakes that it will provide trucks of good condition
with drivers having valid driving license and shall ensure that it has proper permits, insurance books of
each truck/vehicle, up to date vehicle tax paid receipts etc., in line with latest provisions of Motor
Vehicle Act 1988. The Transporter shall also ensure to comply with all relevant applicable laws. The
Company will be authorized to inspect the condition of the truck/vehicle, permits, insurance books of
each truck/vehicle, up to date vehicle tax paid receipts and driving license of the drivers and the
Transporter will produce the said documents for inspection to the Company whenever required to do
so. If the Company comes to the conclusion that any truck/vehicle is not of good condition or lacking
in any other respect, he can require the Transporter to take back the said truck/vehicle for which the
Transporter shall not be entitled to any charges. However, the Company will intimate to the
Transporter the reasons for requiring the truck/vehicle to be taken back.

5. Shortage / Damage: It will be sole responsibility of transporter to deliver the material to consignee
within the Standard Transit Time as specified in clause 15 (b) in full and in good condition. Any loss
suffered due to shortage, damage or transit delay will be to the transporter’s account.

6. Detention of Consignment / Truck:

a. Under no circumstances any consignment, in part or full to be detained or unloaded by


transporter in his godown or any other place other than the named destination for any reason or
dispute. In case any transporter does so, Company will take legal action against such erring

transporter and recover material cost and other loss suffered by the Company. Company reserves
the right of imposing penalty for Detention / Unloading of consignment enroute and same will be
recovered/adjusted from transporter’s pending bills/security deposit or by any other legal means.
b. Any detention caused to Incoming/Outgoing trucks in our factory premises under force-majeure
circumstances will not be entertained.
c. In case of detention of consignment by third party, the vendor shall immediately report to
consignor as well as consignee with reasoning in details. Also, the transporter shall strive to get
the vehicle released at the earliest without any cost to KPTL. In the event of any damage to
material loaded during detention by third party the cost of the same shall be borne by the
transporter.

6. Assignment and Sub-Contracting: The Transporter shall not without the prior consent in writing of the
Company, sub-contract, assign or transfer the contract of carriage of goods entrusted it, in whole or in
part.

7. Awarding Contract to other transporter: Company reserves its right to transfer a part or balance
quantity of the contract to any other transporter without assigning any reason or compensation in
case transporter is unable to lift the material or fulfill contractual obligation of the contract. Company
reserves its right to deliver the part or balance quantity to any other transporter and recover the
additional cost / losses from the transporter.

8. Weight: For our finished material, weight only as per our BOM weights shall be considered as final.

9. Goods & Service Tax Formalities: Wherever required transporter shall comply all Goods and Service
Tax Act formalities and the transporter will claim the actual amount along with supporting receipt in
your freight bill, which will be reimbursed, if admissible. Any over payment will be to transporter’s
account.

10. Termination: In case Company feels that the services of transporter are not satisfactory, Company
reserves its right to cancel the order and forfeit the Security Deposit and also recover the losses from
the transporter for non-fulfillment of contractual obligations. The Company shall have the right to
terminate this contract without assigning any reason by giving 15 days written notice to the
transporter.

11. Liability: Company will not be responsible in respect of any accident or damage to the vehicle of
liability directly or indirectly remotely occurred or caused, sustained or incurred in the event of death
of person(s) employed by the contractor during execution of the contract.

(a) The Transporter shall indemnify the Company against all actions, losses, liabilities, damages, claims,
costs, charges, demands and expenses that arise out of, relate to or are in connection with the loss of,
or damage to, any property (including but not limited to property of the Company) or injury to, or
death of, any person.

(b) If during the transit, the consignment are lost or damaged due to accident or any other reason
whatsoever, the Transporter will be liable for the loss or damage to the consignment. If the
consignments are lost or damaged in transit, the Transporter will immediately inform to the Company
about the loss or damage along with the place where the trucks are located/detained. The loss along

with the expenses incurred by the Company due to the loss or damages will be recovered from
transporter’s pending bills/security deposit or by any other legal means.

12. Transit Insurance: KPTL shall arrange for Transit Insurance.

13. Transshipment: No transshipment will be allowed during transit without our permission or it is pre-
decided for particular reason. This excludes the breakdown of vehicle on the route. No additional
charges will be paid for the transshipment carried out by the vendor in any eventuality. However, the
vendor shall arrange to update / issue E-Waybills to comply with statutory requirement for the said
transshipment of the material.

14. Tracking of Vehicle:

a. All vehicles has to be fitted with GPS tracking facility.

b. Transporter shall ensure that all vehicles to be fitted with GPS devices compulsorily, without any
additional cost to KPTL. In case the vehicles already have GPS device fitted then the transporter to
ensure that all real time data as required by KPTL for tracking vehicle is available through its
approved GPS service provider using the same device. If the same is not possible, then GPS device
of the KPTL’s authorized GPS service provider shall have to be installed.
c. No trucks shall be allowed to enter into the plant premises for lifting the material, if the trucks are
not fitted with operational GPS device.

15. Penalty: Essence of this contract is timely deployment of trucks to lift the consignment/material and
timely delivery of consignment/material at the destination.

a. Deployment of Trucks: Our dispatch department will place you the indent for deployment of
trucks, accordingly you have to arrange trucks. If you fail to deploy the trucks as per our
requirement, the backlog should be completed next day and if you fail on the next day, we shall
levy a penalty of Rs. 50/- per day per ton on the backlog quantity. In case of continued failure for
2-3 times to deploy the trucks we would be free to arrange trucks from other transporters and the
differential amount will be deducted from your pending bills/security deposit.
b. Transit Time: Standard Transit time (including grace period) for this location is (____ ________)
days from the date of LR till physical delivery at our destination. If you fail to deliver the material
within this time, we shall levy a penalty of Rs.50/- per day per Ton.

16. Return journey Cost : Transportation charges indicated therein do not include cost of transportation
for the return journey of the empty truck/vehicle.

17. Price Variation Clause: Rates mentioned in Purchase Order shall remain firm for FIRST SIX MONTHS
from the date of this Purchase Order. Thereafter it will subject to price escalation as mentioned below
:

“Any increase / decrease in diesel price in percentage will be applicable on 40% of total transportation
charges”.

For calculation purpose, increased prevailing diesel prices after six months from the date of the
Purchase Order will be considered as base price.

18. Distance Variation: You shall not charge anything if store destination is changed by 50 Kms OR less.
New rate will be applicable if new store location is shifted beyond 50 Kms.

19. Bank Guarantee: You will submit us the Bank Guarantee for sum of Rs. 25,00,000/- within 5 days
from the date of receipt of Purchase Order. You will be permitted to start work only after receipt of
Bank Guarantee. This Bank Guarantee should be valid for the tenure of this Project.

20. Jurisdiction: All disputes are Subject to Ahmedabad Jurisdiction only.
